This Terms of Service agreement (“Terms” or “Terms of Service” or the “Agreement”) is between you (“you” or “your” ) and Grace Legal Support Services LLC. (“we,” “our,” “us,” or “Grace Legal Support Services”), and governs your access to and use of our website located at www.gracelegalsupport.com (the “Website”) and related paralegal support services described below (the “Services”). By using the Website you accept and agree to be bound and abide by these Terms and our Privacy Policy. We reserve the right to change these Terms of Service from time to time without notice to you. Under no circumstances may you access or use the Services if you are under eighteen (18) years old. If you do not agree to some or all of these terms and conditions, then you are not authorized to access or use the Website or the Services and should not use the Website or the Services.

These Terms contain an arbitration provision. Disputes not settled through mediation shall be resolved by final, binding arbitration (“Arbitration”) administered by the American Arbitration Association (“AAA”) under the AAA's Commercial Arbitration Rules. Under any event of Arbitration, including but not limited to any action to compel, enforce an award of Arbitration or seek injunctive relief pursuant to these Terms of Service, the prevailing party shall be entitled to an award of their reasonable attorney's fees and costs for such proceeding, including any related trial or levels of appeal.


Services Provided


Virtual Paralegal Services provided through Grace Legal Support Services, LLC for the above-listed Client include but are not limited to:

  • Drafting of legal Pleadings and Motions;

  • Preparing Discovery Responses;

  • Drafting of Interrogatory Requests and Responses;

  • Conducting Legal Research;

  • Drafting initial case filing forms;

  • Corresponding with clients, third-parties, and opposing counsel;

  • Preparing Exhibit Binders for trial;

  • Conducting In-person Court Filings at all Courts through the Commonwealth of Massachusetts;

  • Scheduling Consultations, Meetings, Mediations, and Depositions;

  • Data Entry;

  • Conducting E-filings with all Courts throughout the Commonwealth of Massachusetts;

  • In-person Mobile Notary Services;

  • Administrative/Secretarial Work;

  • Editing and Proofreading; and

  • Any other tasks to which we may mutually agree.


Written Client Agreements

Our provision of specific Services to you, if you become a client of Grace Legal Support Services, is governed by a separate Service Agreement, the terms of which are binding against you. In the event the terms of any client Service Agreement conflicts with these Terms of Service, the Service Agreement shall prevail.


Prohibited Uses


You may use the Website only for lawful purposes and in accordance with these Terms.

By agreeing to the Terms of Service, you agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

  • To impersonate or attempt to impersonate another customer, or any other person or entity.

  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

  • Additionally, you agree not to:

    • Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

    • Use any device, software, or routine that interferes with the proper working of the Website.

    • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website

    • Otherwise, attempt to interfere with the proper working of the Website.

You understand and agree that any payment you make to us for any Services or other assistance is not attorney fees or legal representation fees.

Use of the Platform by Minors

The Website is not directed to children under the age of 13. We adhere to the Children’s Online Privacy Protection Act (COPPA) and will not knowingly collect Personal Information from any child under the age of 13. Minors (under the age of 18) are not permitted to use the Website. If a child under the age of 13 has provided us with Personal Information, or you believe that such information may have been provided, the parent(s) or guardian(s) of that child may contact us and request that such information be deleted from our records by sending a notice to support@gracelegalsupport.com.


Termination of Services/Access Restriction

Grace Legal Support Services reserves the right, in its sole discretion, to terminate your access to the Website and the related Services or any portion thereof at any time, without notice. The cause for such termination, discontinuance, suspension and/or limitation of access shall include, but is not limited to:

  • any breach or violation of our Terms or any other incorporated agreement, regulation and/or guideline;

  • by way of requests from law enforcement or any other governmental agencies;

  • the discontinuance, alteration and/or material modification to our Services, or any part thereof;

  • unexpected technical or security issues and/or problems;

  • any extended periods of inactivity;

  • any engagement by you in any fraudulent or illegal activities; and/or

  • the nonpayment of any associated fees that may be owed by you in connection with your account.

Hours of Operation

Our Services are available, Monday through Friday, from 09:00am to 05:00pm, EST.

We shall not provide Services on the following holidays:

  • New Year’s Eve, New Year Day, Patriot’s Day, Memorial Day, Independence Day, Labor Day, Veteran’s Day, Thanksgiving Day, Day after Thanksgiving Day, and Christmas Day.


Except in the event of an emergency, we provide a minimum of 72 hour notice of any office closures and additional observed holidays via email.

Confidentiality of Client Information

Confidential information (the “Confidential Information”) refers to any data or information which would reasonably be considered to be proprietary to a Client of ours, but not limited to, accounting records, business processes, and client records and that which is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to you.

We agree not to disclose, divulge, reveal, report or use, for any purpose, any Confidential Information of a Client, except as authorized by the Client.


Non-Solicitation

You agree not to, in any way, attempt to induce employees or contractors of Grace Legal Support Services to leave our employ, or attempt any effort to interfere with our relationship with our employees, clients or other service providers.


Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD GRACE LEGAL SUPPORT SERVICES, ITS THIRD PARTY TECHNOLOGY PLATFORM PROVIDER, CLIENTROL, AND ANY SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND OTHER THIRD-PARTY PARTNERS AND EMPLOYEES, HARMLESS FROM ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, DEMANDS, COSTS, AND EXPENSES OF EVERY KIND AND NATURE (INCLUDING ACTUAL, SPECIAL, INCIDENTAL, AND CONSEQUENTIAL), KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED TO, YOUR USE OF THE WEBSITE AND THE SERVICES. YOU WAIVE THE PROVISION OF ANY STATE OR LOCAL LAWS THAT LIMIT OR PROHIBIT SUCH A GENERAL RELEASE.


Waiver and Severability


Any failure by Grace Legal Support Services to enforce any right or provision of these Terms shall not constitute a waiver of such rights or provisions. Should any competent court or arbitrator find any provision herein is invalid or unenforceable, that provision will be enforced to the maximum extent permissible and any and all other provisions of these Terms will remain in full force and effect.


Controlling Jurisdiction

To the maximum extent permitted by law, this agreement is governed by the laws of the Commonwealth of Massachusetts and you hereby consent to the exclusive jurisdiction and venue of courts in Massachusetts in all disputes arising out of or relating to the use of the Website. Use of the Website is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. We will provide Services in compliance with all applicable laws, and ordinances with respect to jurisdictional paralegal services.


Comments, Concerns, and Disputes

All notices, requests, demands or other communications required or permitted by the terms of this Agreement must be given in writing and delivered to us as follows:

If a dispute arises under this Agreement, the parties agree to try to resolve the dispute with the help of a mutually agreed-upon mediator. Any costs and fees, other than attorney fees, associated with the mediation shall be shared equally by the parties. If it proves impossible to arrive at a mutually satisfactory solution through mediation, the parties agree to submit the dispute to a mutually agreed-upon arbitrator.
