Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nutshell mobile application and related services (“Nutshell”, “we”, “us”, or “our”). By creating an account or using Nutshell, you agree to these Terms.

If you do not agree with these Terms, please do not use the app.

1. Eligibility and Accounts

• You must be at least 13 years old (or the minimum age in your country) to use Nutshell.

• When you create an account, you agree to provide accurate information and keep it up to date.

• You are responsible for maintaining the confidentiality of your login details and for any activity that happens under your account. If you believe your account has been compromised, you should notify us promptly.

2. Subscription and Payments

• Nutshell may offer a paid monthly subscription that unlocks additional features.

• Subscriptions are managed and billed through Apple and/or RevenueCat. We do not store your card details.

• Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.

• You can manage or cancel your subscription at any time in your Apple account settings.

• We do not control Apple’s billing system and cannot issue refunds directly. Any refunds are handled according to Apple’s policies.

3. License to Use Nutshell

• We grant you a limited, non‑exclusive, non‑transferable, revocable license to use Nutshell for your personal, non‑commercial use, in accordance with these Terms.

• You may not copy, modify, distribute, sell, or lease any part of Nutshell, nor reverse‑engineer or attempt to extract the source code, except as allowed by law.

4. Your Content

• When you use Nutshell, you may submit questions and other text (“Content”). You retain ownership of your Content.

• You grant us a worldwide, non‑exclusive, royalty‑free license to store and process your Content as needed to operate and improve the app, including sending it to our third‑party AI provider to generate answers.

• You are responsible for your Content and for ensuring that it does not violate any laws or the rights of others.

5. Acceptable Use

You agree not to use Nutshell to:

• Break any laws or regulations.

• Infringe the rights of others, including privacy and intellectual property rights.

• Upload or submit content that is unlawful, harmful, abusive, harassing, hateful, or otherwise objectionable.

• Attempt to gain unauthorized access to any systems, accounts, or data.

• Interfere with or disrupt the operation of Nutshell or its infrastructure.

We may suspend or terminate your access to Nutshell if you violate these Terms or if we believe your use of the app may harm us, other users, or third parties.

6. Third‑Party Services (AI, Payments, etc.)

• Nutshell uses third‑party services to operate the app, including:

• Authentication and storage providers (such as Supabase)

• Subscription and purchase management providers (such as Apple and RevenueCat)

• AI providers (such as Perplexity) to generate answers from your questions

• Your use of Nutshell may also be subject to the terms and policies of these third‑party providers. We are not responsible for their actions, services, or content.

7. No Professional Advice

• Responses generated by Nutshell or its AI provider are for general information only and may not be accurate, complete, or up to date.

• Nutshell does not provide professional advice (including but not limited to legal, financial, or medical advice). You should not rely on the app as a sole source for important decisions and should consult a qualified professional when needed.

8. Disclaimer of Warranties

Nutshell is provided on an “AS IS” and “AS AVAILABLE” basis.

To the maximum extent allowed by law, we do not make any promises or warranties about Nutshell, including that it will be uninterrupted, error‑free, secure, or that any information obtained through the app will be accurate or reliable.

9. Limitation of Liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of Nutshell.

• Our total liability for any claims relating to Nutshell or these Terms will not exceed the amount you paid (if any) for Nutshell in the 3 months before the event giving rise to the claim.

Some jurisdictions do not allow certain disclaimers or limitations of liability. In those cases, our liability will be limited to the minimum extent allowed by law.

10. Changes to the App and Terms

• We may change or discontinue parts of Nutshell at any time, including features or subscription offerings.

• We may update these Terms from time to time. If we make material changes, we will try to notify you (for example, by updating the “Last updated” date or showing a notice in the app).

• By continuing to use Nutshell after changes take effect, you agree to the updated Terms.

11. Termination

• You may stop using Nutshell at any time and can delete your account by contacting us or using any in‑app tools we provide.

• We may suspend or terminate your access to Nutshell at any time, with or without notice, if we reasonably believe you have violated these Terms or present a risk to the app, other users, or third parties.

• Upon termination, your right to use Nutshell will end, but certain sections of these Terms will continue to apply (for example, intellectual property, disclaimers, and limitations of liability).

12. Governing Law

These Terms are governed by the laws of United States, without regard to its conflict of law rules. Any disputes will be resolved in the courts located in Utah, unless applicable law requires a different forum.
