These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you”) and Alphabloc Labs Ltd, a company incorporated in the British Virgin Islands and operating the Agent Arc software platform (“Agent Arc, we, our, us”).
By accessing or using the Agent Arc website, application, or any related software or API integration (collectively, the “Services”), you agree to be bound by these Terms and all documents expressly incorporated herein, including the Privacy Policy and the Risk Disclosure available on the Agent Arc website. If you do not agree, you must not access or use the Services. References to ‘Agent Arc’ mean Alphabloc Labs Ltd and its designated service-provider affiliates, excluding any entity that issues or administers digital tokens
Agent Arc may amend these Terms or any incorporated policies at any time. Updated Terms take effect upon posting on the Agent Arc website. Continued use of the Services constitutes acceptance of the revised Terms.
The Services provide a non-custodial software interface that enables users to connect their own exchange or wallet accounts (for example, Binance) via secure APIs to automate or execute trading strategies, including those generated by Agent Arc’s artificial-intelligence models (“AI Modules”).
Agent Arc does not:
hold, manage, or control user funds;
execute trades on behalf of users outside the parameters you authorize; or
act as a broker, dealer, investment adviser, or fund manager.
The Services interact with decentralized or third-party systems beyond Agent Arc’s control. Agent Arc merely facilitates user-authorized connections
All trading and asset custody occur on third-party exchanges or wallet platforms that are not controlled by Agent Arc. Your use of any third-party service is governed solely by that provider’s terms. Agent Arc is not responsible for any act, omission, security failure, or loss arising from third-party platforms or integrations.
Use of the Services is prohibited for:
residents or citizens of the United States, Singapore, or any European Union Member State;
persons located in or ordinarily resident in any jurisdiction subject to comprehensive sanctions (including, without limitation, Iran, North Korea, Syria, Cuba, and Crimea/Donetsk/Luhansk regions of Ukraine); or
any person or entity listed on applicable sanctions or watch lists maintained by the United Nations, U.S. OFAC, the U.K. Treasury, or the European Union.
You represent and warrant that you are not a “Restricted Person” and that your use of the Services complies with all applicable anti-money-laundering and counter-terrorist-financing laws.Agent Arc reserves the right to restrict access from additional jurisdictions if required by law or exchange policy.
You must be at least 18 years old and capable of entering into a binding contract. By using the Services, you represent that all information you provide is accurate and complete and that you will maintain the confidentiality of your exchange or wallet credentials.
Agent Arc is a software provider only. We never hold or control your funds or private keys. You are solely responsible for:
securing your API keys, wallet seed phrases, and passwords; and
understanding the permissions you grant through any integration.
Any loss of access credentials or unauthorized activity in your account is your responsibility.
AI Modules may generate insights, trade ideas, or performance metrics. Such information is automatically produced and provided for informational purposes only.
Agent Arc does not provide investment, legal, tax, or financial advice, and no fiduciary relationship exists between you and Agent Arc. Outputs from AI Modules may include simulated or hypothetical performance data; such data do not represent actual trading results
You are solely responsible for verifying all AI-generated outputs before taking any trading action.
Trading digital assets—particularly when using leverage—entails significant risk, including the possible loss of all funds. The default leverage ratio on Agent Arc is currently 1.5×, and users may adjust leverage or close positions directly in their own exchange accounts.
If you modify leverage or exit positions outside the app, performance metrics displayed within Agent Arc may become inaccurate. Agent Arc is not liable for any discrepancy or resulting loss. By adjusting leverage or executing trades directly through your exchange, you acknowledge that you, not Agent Arc, determine trading exposure and outcomes.
Certain functionalities may rely on blockchain smart contracts or third-party APIs. Smart contracts are experimental and may contain vulnerabilities. By using the Services, you acknowledge that transactions executed through such contracts are irreversible and that Agent Arc assumes no responsibility for software bugs, network congestion, or malicious exploits. Agent Arc does not audit or warrant any third-party smart contracts, APIs, or blockchain protocols.
Certain digital tokens associated with the Agent Arc ecosystem, including the PSYOPS token, are issued and administered by Morfyus League Ltd, an affiliate of Alphabloc Labs Ltd (the “Token Issuer”). Alphabloc Labs Ltd and Agent Arc do not issue, sell, or offer any tokens and provide software services only. References to the PSYOPS token are for informational purposes and do not constitute an offer, solicitation, or financial promotion. Trading of any token on decentralized exchanges or launchpads occurs independently of Agent Arc, and Agent Arc assumes no responsibility for token performance, availability, or market price. Any rights or obligations relating to tokens are governed solely by the Token Issuer’s separate terms.
You agree not to use the Services for any unlawful, fraudulent, or abusive purpose, including market manipulation, sanctions evasion, money-laundering, or attempts to gain unauthorized access to systems or data. Violations may result in immediate suspension or termination.
All intellectual-property rights in the Services, including software, trademarks, and content, belong to Agent Arc or its licensors.
Any feedback or suggestions you provide become the sole property of Agent Arc without compensation or obligation.
Agent Arc may charge fees for certain features, as disclosed within the app or website. You are solely responsible for any network (gas) fees, exchange fees, or applicable taxes arising from your use of the Services.
By using the Services, you acknowledge and accept all risks inherent in digital-asset trading, including but not limited to: extreme volatility, smart-contract failure, exchange insolvency, regulatory change, internet outages, and data inaccuracy. Past or simulated performance does not guarantee future results. You may lose all assets engaged in trading activities, including due to errors, market events, or system failures. You should only trade assets you can afford to lose.
Agent Arc is not your agent, broker, intermediary, or fiduciary. You bear sole responsibility for evaluating and executing any transaction.
The Services are provided “as is” and “as available.” Agent Arc disclaims all warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Agent Arc, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Services.
The total aggregate liability of Agent Arc shall not exceed USD 100 or the amount you paid directly to Agent Arc for Services in the six months preceding the event giving rise to the claim.
19. Indemnification
You agree to defend, indemnify, and hold harmless Agent Arc and its affiliates from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your:
(a) use of the Services; (b) violation of these Terms; or (c) infringement of any rights of a third party.
Agent Arc shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, cyberattacks, network failures, government actions, or changes in law affecting digital-asset markets.
Agent Arc may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or applicable law. Upon termination, all provisions that by nature should survive will remain in effect.
These Terms and any dispute or claim arising from them shall be governed by the laws of the British Virgin Islands.
Any dispute shall be finally settled by binding arbitration under the International Chamber of Commerce (ICC) Rules, seated in Tortola, BVI, and conducted in English.
Each party waives any right to a jury trial or to participate in a class or representative action. The arbitration award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Your use of the Services is subject to the Privacy Policy, which explains how we collect, use, and protect personal data.

Assignment: You may not assign these Terms without prior written consent. Agent Arc may assign its rights to any affiliate.
Severability: If any provision is held invalid, the remainder shall remain in force.
Entire Agreement: These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Agent Arc.
Language: These Terms are in English; translations are for convenience only.
Headings: Headings are for reference and do not affect interpretation.
Nothing in these Terms or in the Services constitutes an offer, solicitation, or recommendation to purchase or sell any security, token, or other financial instrument. The Services are software utilities only.
By using Agent Arc, you acknowledge that you have read, understood, and agreed to these Terms.
