Terms of Service — Zalvy

By downloading or using Zalvy ("App"), provided by Winston Brady, you agree to these Terms. If you don't agree, do not use the App.
1. Acceptance — Using the App means you accept these Terms and our Privacy Policy. You must be at least 13 years old to use the App. If you are between 13 and 18, you need a parent or guardian's consent.
2. The Service — Zalvy is a nutrition, fitness, and study tool that uses AI to estimate calories, macros, and food quality, suggest meals, track workouts, record voice notes for AI summaries, solve problems via photo snapshots, generate AI flashcards, and manage study libraries or notes.
3. Accounts — You must provide accurate info, keep your credentials secure, and be responsible for account activity. You must be at least 13 years old to create an account. If you are under 18, you need the consent of a parent or guardian.
4. Eligibility — You must be legally able to form a contract in your jurisdiction.
5. Subscriptions & Payments — Plans renew automatically. Billing is handled via app stores. No refunds for partial periods, subject to the refund policies of Apple and Google.
6. Free Scans & Credits — Scan limits may be adjusted with notice. Unused credits do not roll over.
7. Acceptable Use — No reverse engineering, scraping, AI training, overloading, or using the App for illegal purposes.
8. AI Accuracy & Medical Disclaimer (CRITICAL) — Zalvy is not a medical device or a registered dietitian. AI estimates may be inaccurate. You must verify all nutrition and health info with a qualified professional. Never use this App to make medical decisions, manage allergies, or detect pathogens.
9. Health Warning — Consult a physician before starting any diet or exercise program. Stop if you experience pain, dizziness, or discomfort. We do not guarantee specific health or weight loss results.
10. Your Content — You retain rights to your photos, notes, voice recordings, and data. You grant us a license to process and store your content solely to provide and improve the App's features.
11. Privacy — Our Privacy Policy explains how we collect and protect your data. By using the App, you consent to this data processing.
12. Third-Party Services — The App integrates with and relies upon third-party services and infrastructure providers to deliver its functionality, including but not limited to Firebase, RevenueCat, Google Gemini, LinkJolt, and any future analytics, advertising, hosting, or backend providers. We do not control, endorse, or assume responsibility for the content, performance, privacy policies, practices, or availability of any third-party services. Your interaction with any third-party service is governed solely by the terms and policies of that third party, and you acknowledge that we are not liable for any issues, outages, or damages arising from your reliance on or use of these third-party platforms.
13. Availability & Changes — We may modify or discontinue features at any time without notice.
14. Intellectual Property — All software, design, and branding are owned by Winston Brady.
15. Disclaimers — The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
16. Limitation of Liability — To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages (including health outcomes). Our total aggregate liability is limited to the amount you paid us in the past 12 months, or USD $100, whichever is greater.
17. Indemnification — You agree to hold us harmless from claims or expenses arising from your use of the App or your violation of these Terms.
18. Termination — We may suspend/terminate accounts at our sole discretion for violations.
19. Governing Law & Disputes — These Terms are governed by the laws of New Brunswick, Canada. Any dispute will be resolved by binding arbitration in New Brunswick (except small claims). You waive any class action rights.
20. Entire Agreement and Future Modifications
These Terms and the Privacy Policy constitute the entire agreement between you and us. We reserve the right to change, modify, or amend these Terms, including changing the governing law, operating jurisdiction, or geographical location of the business, at our sole discretion at any time. Any such modifications shall be effective immediately upon posting the updated Terms within the App. Your continued download, access, or use of the App following the effective date of any modifications constitutes your absolute and binding acceptance of the revised Terms in their entirety, regardless of your location or any change in our operating jurisdiction.
