Reminiscing about How to KYSS (Know Your Shareholders): How Urgently do We Need to Introduce Shareholder Identification Regime?
Recently, the overwhelming majority of the literature has proposed the introduction of a shareholder confirmation regime along the lines of the United Kingdom and continental Europe. The new round of corporate law revision has also included it in the discussion. Perhaps we have already learned how to KYSS and just need to be more confident. This article re-examines the above opinions based on the actual operation of the financial market and the position of stakeholders, and proposes different possible directions for the legislative revision.

It is a wonderful coincidence that in 1970, on the west coast of the Pacific, the Supreme Court of Japan issued a landmark decision allowing corporations to make political contributions, and on the east coast of the Pacific, Milton Friedman, a renowned American economist, published an article in the New York Times Magazine opposing corporate donations on the basis of shareholder primacy. With the recent wave of ESG, the classic and novel question of whether and to what extent corporations, as for-profit legal entities, are allowed to make donations has resurfaced. This case report will analyze the possible significance of the recent Shizuoka District Court decision based on the development of corporate law over the past 50 years.

In 2014, Japan became the first country in Asia to adopt the UK Stewardship Code. Quite impressive for a civil law country to take this action, but can corporate governance reforms be completely free from the influence of its internal DNA? This essay adds another clear example of path dependency in legal regulatory transplantation.

Given the highly flexible nature of soft law, it is to some extent appropriate to leave its development, enforcement and evaluation to the capital market. Excessive administrative intervention may eventually lead to side effects. Using the example of corporate governance reform in Taiwan, this essay provides a starting point for rethinking the division of roles between the public sector and the capital market, as well as between hard law and soft law.
