Terms & Conditions (T&Cs) – ViViD Global Services

These Terms & Conditions (“Terms”) govern the access, browsing, and use of the websites, platforms, and services of ViViD Global Services (“Company”, “we”, “our”, or “us”). By using our Website(s) or Services, you (“User”, “Client”, “Customer”, “You”) expressly acknowledge and agree to be bound by these Terms.

If you do not agree, you must immediately cease use of our Website(s) and Services.

1. Acceptance of Terms

4.2. Even if we are advised of the possibility of such damages, liability is expressly disclaimed.

4.3. If any liability is imposed by a court of competent jurisdiction, ViViD Global Services’ maximum cumulative liability shall not exceed INR 1,000 (One Thousand Rupees only), regardless of cause of action.

5. Indemnification

5.1. You agree to indemnify, defend, and hold harmless ViViD Global Services, its affiliates, owners, officers, employees, and agents from any and all claims, demands, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use or misuse of our Services.

• Your violation of these Terms.

• Any third-party claim resulting from your actions.

6. Intellectual Property

6.1. All content, materials, designs, logos, and intellectual property on our Website or Services belong exclusively to ViViD Global Services.

9.1. ViViD Global Services reserves the right to terminate or suspend user access at any time, with or without notice, for any reason, including but not limited to:

• Misuse of Services.

10. Governing Law & Jurisdiction

10.1. These Terms are governed by and construed under the laws of India.
 

10.2. You agree that the exclusive jurisdiction shall lie with the courts in Vasai, or Mumbai, India.

11. Dispute Resolution

11.1. In the event of any dispute, parties shall first attempt to resolve the matter amicably in writing within 30 days.
 

11.2. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India).
 

11.3. The arbitration shall be conducted in English, seated in Vasai, or Mumbai, India., and the arbitrator’s decision shall be final and binding.
 

11.4. Users waive the right to class actions, consolidated actions, or jury trials.

12. Entire Agreement

These Terms constitute the entire agreement between you and ViViD Global Services, superseding all prior communications, understandings, or representations.

13. Consent

By using our Website or Services, you expressly acknowledge that:

• ViViD Global Services assumes no legal responsibility, liability, or obligation for any outcomes, damages, or disputes.

• Your sole and exclusive remedy for dissatisfaction is to stop using our Services.
