Terms of Service
These are my standard terms of service for all design projects. Please take a moment to review them carefully. If you notice anything that may be a concern, feel free to reach out before the project starts so we can discuss and adjust where needed to suit your specific project
PAYMENT TERMS
The Client agrees to pay the Designer according to the project timeline and payment schedule.
Late Payment:
In the event of a late payment, the subsequent stage will not proceed and final files will NOT be released.
REVISIONS
The contract will includes 2 rounds of revisions. Additional revisions beyond the scope will be subject to additional charges.
Confidentiality:
Confidentiality Clause:
Both parties agree to keep confidential any proprietary information received from the other party during the term of this agreement.
INTELLECTUAL PROPERTY
Ownership:
All preparation materials, sketches, visuals, including the electronic files used to create the project remain the property of Vincent Goh Studio. The final artwork/digital files will become your property ONLY upon final payment of the project.
Final payment ensures that ONLY the agreed design becomes your property. Any previous ideas/concepts remain mine, unless any prior agreement has been made.
Miscellaneous:
Governing Law:
The agreement shall be governed by and construed in accordance with the laws of Malaysia.
Entire Agreement:
The agreement contains the entire understanding between the parties and supersedes all previous agreements and understandings.
TERMINATION AND CANCELLATION
Termination Clause:
Either party may terminate the agreement with written notice if the other party breaches any material term of this agreement.
Cancellation Clause:
The Client may cancel the contract at any time by providing written notice to the Designer. In the event of cancellation, the Client agrees to pay a cancellation fee to compensate the Designer for work completed up to the point of cancellation.
30% upfront upon project initiation are non-refundable.
