These Terms of Use govern your access to and use of the Underlay mobile application and related services provided by Underlay. By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, you must not use the App.
The App is licensed to you under the Apple Standard End User License Agreement where applicable. These Terms supplement that license and govern your use of Underlay’s services and subscription features.
1. The App
Underlay is an iOS application that helps users create and refine photographs using the iPhone camera and on-device overlay and filter tools.
The App is intended for personal, non-commercial use unless Underlay expressly agrees otherwise in writing.
2. Eligibility
You may use the App only if you meet the minimum age and other eligibility requirements applicable in your jurisdiction and under Apple’s platform rules.
3. Acceptable Use
You agree to use the App only in compliance with applicable laws and these Terms.
You must not misuse the App, interfere with its operation, attempt to gain unauthorized access to any systems or data, reverse engineer the App except where such restriction is prohibited by law, or use the App in a way that infringes the rights of others.
4. Subscriptions and Payments
Certain features of the App may require a paid auto-renewable subscription. Underlay may offer a free trial period and an annual subscription plan, both of which may automatically renew unless canceled in accordance with Apple’s subscription rules.
Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period.
You can manage or cancel subscriptions in your App Store account settings. Fees are non-refundable except as required by applicable law or Apple’s policies.
5. Intellectual Property
The App, including its software, design, visual elements, trademarks, and related content, is owned by or licensed to Underlay and is protected by applicable intellectual property laws.
Subject to these Terms and the Apple Standard End User License Agreement, you receive a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose.
6. Availability and Changes
Underlay may update, modify, suspend, or discontinue all or part of the App at any time, with or without notice.
We may also update these Terms from time to time. Continued use of the App after updated Terms take effect constitutes acceptance of the revised Terms.
7. Disclaimers
The App is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Underlay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
Results created with the App may vary depending on device hardware, camera performance, lighting, operating system behavior, and user settings. We do not guarantee uninterrupted, secure, or error-free operation.
8. Limitation of Liability
To the maximum extent permitted by law, Underlay will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the App.
To the maximum extent permitted by law, Underlay’s total liability for all claims arising out of or relating to the App will not exceed the amount you paid for subscriptions to the App during the twelve months preceding the event giving rise to the claim.
9. Termination
You may stop using the App at any time by deleting it from your device and canceling any active subscription.
Underlay may suspend or terminate access to the App or certain features if you violate these Terms or if continued operation of the App is no longer feasible.
