Terms of Use

Welcome to ToDoWise! These Terms of Use govern your use of our iOS application, ToDoWise, developed and owned by Miguel Acosta Del Vecchio (referred to as "we," "us," or "our").

By accessing or using ToDoWise, you agree to comply with and be bound by these Terms of Use. If you do not agree to these terms, please do not use ToDoWise.

1. User Agreement

1.1. Acceptance: By using ToDoWise, you agree to be bound by these Terms of Use and our Privacy Policy.

1.2. Eligibility: You must be at least 13 years old to use ToDoWise. By using ToDoWise, you represent and warrant that you are at least 13 years old.

1.3. Changes: We reserve the right to modify or replace these Terms of Use at any time. Your continued use of ToDoWise after any changes indicate your acceptance of the revised terms.

2. User Content

2.1. Todo List: ToDoWise allows users to create projects, tasks, and ideas within the todo list feature. Users can input descriptions, due dates, reminders, priorities, sources, and up to five images per idea. All user-generated content is stored securely in both Firebase Cloud and on the user's device as a JSON file.

2.2. Journal: Users can create daily journal entries and save a "Picture of the Day." These entries are stored securely in the cloud, and users can access their past journal entries at any time.

2.3. Responsibility: You are solely responsible for your use of ToDoWise and for any content you generate, including compliance with applicable laws and regulations.

3. General Payment Terms

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are non-refundable, except required by law.

4.1. Price. We reserve the right to determine pricing for the Service. Any applicable sales taxes, levies, value-added taxes, or duties imposed by taxing authorities are calculated during the check-out based on your location. We may change the price of any feature of the Service; if this occurs, we will provide you advance notice of the changes before they apply.

4.2. Authorization. You authorize us and our third-party payment processors to charge all sums for the orders that you make and any level of Service you select as described in these Terms or published by us, including all applicable taxes, to the payment method specified in your account. If you pay any fees with a credit card, we or our third-party payment processors may seek pre-authorization of your credit card account prior to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.

4.3. Subscription Service. The Service may include automatically recurring payments for periodic charges ("Subscription Service"). If you activate a Subscription Service, you authorize us or our third-party payment processors to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. The "Subscription Billing Date" is the date when you purchase your first subscription to the Service. Your account will be charged automatically on the Subscription Billing Date all applicable fees and taxes for the next subscription period (e.g., monthly billing periods will be billed on the same day each month). The subscription will continue unless and until you cancel your subscription or we terminate it. You must cancel your subscription before it renews in order to avoid billing of the next periodic Subscription Fee to your account. We or our third-party payment processor will bill the periodic Subscription Fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information). 

4.4. Delinquent Accounts. We may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any the unpaid amount, including collection fees.

4. Intellectual Property

4.1. Ownership: All content, features, and functionality of ToDoWise are owned by Miguel Acosta Del Vecchio and are protected by copyright, trademark, and other intellectual property laws.

4.2. License: We grant you a limited, non-exclusive, revocable license to use ToDoWise for your personal use only. You may not reproduce, distribute, modify, or create derivative works of ToDoWise without our prior written consent.

5. Privacy

5.1. Data Collection: We collect and process personal data in accordance with our Privacy Policy. By using ToDoWise, you consent to such collection and processing.

5.2. Security: We take reasonable measures to protect the security of your data; however, we cannot guarantee that unauthorized third parties will not be able to circumvent our security measures.

6. Limitation of Liability

6.1. Disclaimer: ToDoWise is provided on an "as is" and "as available" basis. We make no warranties or representations about the accuracy or completeness of ToDoWise or the content provided therein.

6.2. Limitation: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

7. Governing Law

7.1. Jurisdiction: These Terms of Use shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions.
