AGREEMENT BETWEEN USER AND QUOTES.

1. General provisions

Welcome to the Quotes application, provided by AKOUA GROUPE. The terms “we”, “our”, “our”, “Quotes”Access to our mobile or tablet application, or any other functionality or other AKOUA GROUPE platform (collectively, the "application") is offered to you subject to your acceptance without modification of all the terms, conditions and notices set forth below (collectively, the "Terms"). We recommend that you print a copy of these Terms for future reference. Please read these terms carefully, as they contain important information on the limitations of liability. We also recommend that you read our Privacy Policy, which governs the use of our app and sets out the terms on which we may process any personal information we collect about you or that you provide to us, and which is incorporated by reference in these Terms. The Privacy Policy can be viewed here. By accessing or using our app, you acknowledge and agree that you have read, understood and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these terms, please do not use or access our app or contact our support center here.

2. Changes to the Terms

We may modify these Terms at any time to comply with regulatory requirements or if our business practices change. We will use reasonable efforts to notify you of any material changes to these Terms. However, each time you wish to use our Application, please review these Terms to ensure that you understand which ones apply at that time. Your use of our Platform will be governed by the most recent version of the Terms available on the application. We recommend that you regularly read the Terms available on the application to be sure that you are informed of any changes that may affect you.

3. Access and Use of the Platform

The application is currently made available to you free of charge for your personal and non-commercial use (this is reserved for Quotes services and Quotes partners).

We do not guarantee that access to the Application, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or modify all or part of the application without notice.

You must not abuse the Application by knowingly introducing viruses, Trojan horses, worms, logic bombs or any other material which is malicious or technologically harmful. You must not attempt to gain unauthorized access to the Application, the server on which the Application is stored or any server, computer or database connected to the Application. You must not attack the Platform via a denial of service attack or a distributed denial of service attack. We will report any such breach to the appropriate law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a violation, your right to use the Application will cease immediately.

6. Use of the app

As a condition of use of our Platform, you declare:

• be at least 18 years old;

• be legally able to create binding legal obligations;

• That you will use the application in accordance with these Terms;

• That you will only use this application for your private use in order to search for legitimate offers;

• If you are using the Platform on behalf of another person, that you will inform them of the Terms that apply to all searches and/or bookings you have made on their behalf, including any rules and restrictions that relate to it;

• that all information you provide to our platform is true, accurate, current and complete;

• if you have a Citations account, that you will protect your account information, supervise and be fully responsible for all use of your account by you and anyone other than you.

We reserve the right, in our sole discretion, to deny anyone access to our Platform and the services we offer for breach of these Terms.

The Products presented on the application are displayed in the currency you have selected. If you do not select any currency, the relevant currency for the corresponding top-level domain will be used by default. Our currency conversion is for informational purposes and is not updated in real time. Therefore, this conversion should not be considered accurate and real-time. Certain Products may also be sold in a currency other than the one you have predefined or chosen for the display of search results. Actual rates may vary and your payment service provider may charge a conversion fee and apply the exchange rate valid on a different date.

You can join the Quotes community by creating a member account in the Profile area. Members can actively participate in the development of the application through the administrative functions. Unregistered users can read Quotes content for free.

In order to create an account, you will need to provide certain personal information. After your account is deleted, we will retain your personal information only as long as necessary or as long as the law requires us to. Other than your username, no personal information is made visible. For more information, please see our Privacy Policy.

Citations allows only one account registration per person. You are responsible for the accuracy and completeness of your personal information.

You are responsible for the use of your account and for the confidentiality of your user account information, in particular your password. You must not disclose them to third parties. We have the right to deactivate your account or password at any time if, in our opinion, you have failed to comply with these Terms of Use. If you know or suspect that someone other than you knows your user identification code or password, you must immediately notify Citations on the email akouagroupe@gmail.com.

8. User Obligations and Prohibited Activities

In particular, you must not create and post User Content that:

• is advertising disguised as commentary;

• has no specific content for a commented item;

• is not objective or intentionally inaccurate;

• is immoral, pornographic or otherwise offensive;

• violates the rights of third parties, in particular copyrights;

• violates applicable laws in any way or constitutes a criminal offense;

• contains viruses or other computer programs that may damage the

software or hardware or which may affect the use of computers;

• is a survey or an email chain; Where

• aims to collect or use the personal data of other users, in particular for commercial purposes.

Additionally, you agree not to:

• use our application or its content for commercial purposes;

• make speculative, false, or fraudulent reservations or reservations in advance of demand;

• access, monitor or copy any content or information from our Platform using any robot, "spider", "scraper" or other automated means or manual process for any purpose without our express written permission;

• violate any robot exclusion file restrictions on our Platform or circumvent or circumvent other measures employed to prevent or limit access to our Platform;

• take any action that imposes or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;

• create hyperlinks to any part of our Platform (including without limitation the path to any service) for any purpose without our express written permission which we may withdraw at any time at our discretion; Where

If your activity on our Application shows signs of fraud, abuse, or suspicious activity, Citations may deny you its services and terminate any associated Citations account. If you have engaged in fraudulent activity, Citations reserves the right to take all necessary legal action and you may be liable for any financial losses suffered by Citations, including legal costs and damages. To dispute the cancellation of a reservation or the blocking or closure of an account, please contact Citations customer service.

9. Links from and to the Platform

Our Application may contain hypertext links to websites operated by third parties other than Citations. Such hypertext links are provided for your reference only. We do not control these websites, applications (facebook, whatsapp, insta….) and are not responsible for their content or the confidentiality or other practices of these entities. These Terms will not apply to your use of any third-party website or application that you access through our Application. Your use of a Third-Party Application may be subject to additional terms of use, which we suggest you read carefully before visiting such Application.

In addition, it is your responsibility to take precautions to ensure that any links you select (whether from our application or other Citations platform or other websites) are free of such things as viruses, worms, Trojan horses, defects and other items of a destructive nature. The inclusion of hyperlinks to such websites does not imply our endorsement of the content of such websites or any association with their operators.

10. Intellectual Property Rights

We own or license all intellectual property rights in our application and the Content (including, but not limited to, the price and availability of the services) and the infrastructure used to provide such Content. Although you may make limited copies of your itinerary (and related materials) for bookings made through our application, you agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license under license, create derivative works of, transfer, sell or resell any information, software, product or service obtained on or through this application.

If you copy or use any part of the App in violation of the Terms, your right to use the App will cease immediately and you must destroy any copies of the materials you have made.

You agree not to generate any page impressions or automated content on the application.

11. Privacy and Cookies

Quotes believes in protecting your privacy. Any personal information we collect about you when you browse and use our Platform will be used in accordance with our Privacy Policy. To learn more about what data we collect about you and how we use it, please see our current Privacy Policy, which also governs your use of the app and, as set out above.

12. Availability

We do not guarantee that our application will always be available, uninterrupted, secure or free from bugs or viruses.

We decline all responsibility in the event of delay or non-performance resulting from a case of force majeure as defined in article 1218 of the Civil Code, including, without limitation, war, terrorism, riots, embargoes, acts civil or military authorities, fires, floods, accidents, strikes, epidemics or other natural disasters, failures of means of transport, fuel, energy, workers or materials, or breakdowns of public or private telecommunications networks.

13. Our liability is limited

Citations makes no warranty as to the suitability of any Content displayed on our app for any purpose. The display on our Application of any Product or any Content does not in any way imply, suggest or constitute sponsorship or endorsement of such Hotel Product or Content by such Provider, or any affiliation between such Provider and Citations. All Content and other information provided on our app is provided "as is" without warranty of any kind.

The Service Providers are independent of Citations and are not agents or employees of Citations services. Citations is not liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any Provider, including for personal injury, death, property damage, or any other damages or expenses resulting therefrom. Citations shall not be liable for any cancellation, overbooking, strike, force majeure or other causes qualified as force majeure or not resulting from a breach of its legal or contractual obligations. Citations is not responsible for interrupted accessibility to our Platform and may perform technical or maintenance work on the application at a time of its choosing.

Citations is not liable for (i) consequential damages, (ii) damages resulting from a case of force majeure within the meaning of article 1218 of the Civil Code, (iii) damages that would not have been caused by breach of its obligations under these Terms or its legal obligations. Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, (c) or any other liability which cannot be excluded or limited by law.

14. Dispute Resolution

Quotes, is committed to customer satisfaction, so if you have a problem or dispute, we will attempt to resolve your concerns. However, if we are unable to do so, you may submit a complaint, as explained in this section.

You may give us the opportunity to resolve any dispute or complaint relating in any way to the Application, any relationship with our customer service agents, any service or product provided, any statement made by us, or our Privacy Policy. Privacy (“Complaints”) by contacting the Citations Customer Support Center. If we are unable to resolve your Complaints you may seek redress in court.

For professionals (including commercial end users) and to the extent permitted by law, these terms and conditions and the provision of our services will be governed by and interpreted in accordance with Togolese law, and any dispute arising from these general terms and conditions and our services will be subject exclusively to the competent courts of Lomé, Togo.

For consumers, these Terms and the provision of our services are governed and interpreted in accordance with Togolese law. However, as a consumer, you will benefit from all the mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your right as a consumer to rely on mandatory provisions of local law and your statutory rights. You and we agree that non-exclusive jurisdiction is assigned to the courts of Lomé, Togo. However, if you are a consumer and resident of another country, you and we may also bring an action in that country.

If you have any questions or complaints regarding the app, please contact our support center. We will do our best to respond to you quickly.

16- Our partners

Mentioned partners of Citations are the entities appearing in the different categories of the application and those wishing to take advantage of the announcement and slider pages to give more visibility to their product or entities. The application offers them the possibility of giving another visibility to their entities (through the information, images that they will add to the application).

However Citations reserves the partnership conditions which may or may not be financial. Citations reserves the right to cut off or block the account of a partner who does not respect the partnership conditions after compliance reminders.

17. Général

Notre exécution des présentes Conditions est soumise aux lois et procédures légales en vigueur, et rien dans les présentes Conditions ne limite notre droit de nous conformer à la loi ou aux demandes ou exigences gouvernementales ou légales relatives à votre utilisation de notre Plateforme ou aux informations qui nous ont été fournies ou que nous avons recueillies en rapport avec cette utilisation.

Ces Conditions ne créent ou n’impliquent aucun droit à l'égard de toute personne qui n'y est pas partie.

Nous pouvons transférer nos droits et obligations en vertu des présentes Conditions à une autre organisation, mais cela n'affectera pas vos droits ou nos obligations en vertu des présentes Conditions. Vous ne pouvez transférer vos droits ou obligations en vertu des présentes Conditions à une autre personne que si nous y consentons par écrit.

Si une partie quelconque de ces Conditions est reconnue comme étant non-valable, illégale ou inapplicable, la validité, la légalité et le caractère exécutoire des autres dispositions ne seront en aucun cas affectés ou compromis. Notre manquement ou retard dans l'application de toute disposition des présentes Conditions à tout moment ne constitue pas une renonciation à notre droit d'appliquer la même disposition ou toute autre disposition des présentes à l'avenir.

Les noms fictifs d'entreprises, de produits, de personnes, de personnages et/ou de données mentionnés sur l’application ne sont pas destinés à représenter un individu, une entreprise, un produit ou un événement réel.
