PREMISSA

Il Conferente commissiona al Ricevente la trasmissione e la messa in onda dei contenuti dallo stesso inviati, alle condizioni di seguito elencate.

OGGETTO DELLA COMMISSIONE

Il presente accordo disciplina la fornitura, selezione, gestione, archiviazione e diffusione di contenuti audio-video-immagini-documenti o altro (i "Contenuti") trasmessi dal Conferente al Ricevente per la pubblicazione, riproduzione e messa a disposizione del pubblico sulle piattaforme digitali, web, satellitari o di altro tipo presente e futuro, nessuna esclusa, e streaming gestite dal Network o da terzi da esso autorizzati, nonché le norme relative all'incorporamento (embed) del player ufficiale del Network.

TERMINI E CONDIZIONI DI UTILIZZO

0. AMBITO DI APPLICAZIONE TEMPORALE

I presenti termini si applicano a ogni contenuto inviato, caricato o trasmesso dal Conferente al Ricevente, con efficacia estesa a tutti i materiali precedentemente inviati e a quelli forniti in futuro.

1. ASSENZA TOTALE DI COSTI E COMPENSI

Il servizio di messa in onda è offerto a titolo gratuito. Nessun compenso, pagamento o contributo spese sarà richiesto al Conferente per l’invio o la trasmissione dei contenuti. Il Network si sostiene esclusivamente tramite donazioni libere (IBAN: IT50N3608105138245395745413 – Angelo Damiani).

2. TITOLARITÀ E DIRITTI DEL CONFERENTE

Il Conferente mantiene la titolarità sui materiali inviati e ogni diritto di sfruttamento commerciale e di qualsiasi altro tipo, nonché diffusione su qualsiasi mezzo social, web, radio, TV o altro, garantendo che l'esercizio di tali diritti non contrasti con la licenza d'uso concessa al Ricevente per la diffusione editoriale.

3. DICHIARAZIONE SUI DIRITTI D'AUTORE E MANLEVA

Il Conferente è a conoscenza che il Network trasmette esclusivamente contenuti liberi da diritti d'autore (pubblico dominio o licenze libere).

Manleva Estesa: Il Conferente garantisce la piena liceità dei contenuti inviati e conferma che sono liberi da diritti d’autore o altri diritti di terzi, nessuno escluso, sollevando Angelo Damiani, i suoi collaboratori, le piattaforme partner e i server di hosting da ogni pretesa, richiesta risarcitoria o danno proveniente da terzi in merito ai diritti d’autore.

4. LICENZA DI SFRUTTAMENTO ED ESCLUSIVA

Licenza di Sfruttamento: Il Conferente concede al Ricevente LICENZA DI SFRUTTAMENTO (L. 633/1941) ed autorizzazione irrevocabile, mondiale e perpetua allo sfruttamento commerciale dei materiali inviati e inseriti nelle trasmissioni del Ricevente (riproduzione, diffusione streaming/TV/web, distribuzione e modifica), rinunciando a qualsiasi royalty.
Titolarità del Prodotto Editoriale: Il Conferente concede una licenza non esclusiva sui Contenuti grezzi, ma riconosce al Ricevente la titolarità esclusiva sui Prodotti Editoriali (montaggi, trasmissioni, puntate, rielaborazioni di flussi live) realizzati dal Network.
Esclusiva: Il Conferente concede al Ricevente l'esclusiva per ogni forma di trasmissione televisiva o radiotelevisiva dei Prodotti Editoriali realizzati dal Ricevente. È vietato al Conferente concedere a terzi diritti di sfruttamento televisivo delle trasmissioni di proprietà del Ricevente contenenti il materiale grezzo da egli inviato e inserito nelle trasmissioni.
Proprietà Editoriale: Le trasmissioni del Network sono opera di ingegno di esclusiva proprietà del Ricevente, che ne detiene il diritto perpetuo di archiviazione, replica e messa in onda on-demand.

5. NATURA DEL SERVIZIO E REGOLE DELLA COMMUNITY

È vietato l'invio di materiale illegale o diffamatorio. Il Conferente si obbliga a manlevare il Ricevente da ogni responsabilità derivante dai contenuti inviati.

6. GARANZIE E TUTELA DEI MINORI

Il Conferente garantisce di essere l'unico titolare dei diritti sui contenuti. In caso di minori, è obbligatorio il consenso scritto di entrambi i genitori (Art. 320 c.c.).

7. DIRITTO ALL'OBLIO E TEMPI DI RIMOZIONE

Il Conferente prende atto che, data la natura editoriale dell'archivio, la rimozione immediata di contenuti già pubblicati potrebbe non essere tecnicamente o operativamente possibile senza pregiudicare l'integrità del prodotto editoriale complessivo. Pertanto, l'eventuale richiesta di cancellazione del materiale inviato verrà presa in carico ed evasa nel tempo strettamente necessario a non provocare danni economici, tecnici o legali ad Angelo Damiani o a terzi a cui le trasmissioni siano state cedute o fornite. Una volta esauriti tutti gli adempimenti tecnici e contrattuali necessari, la richiesta del Conferente sarà soddisfatta nel più breve tempo possibile.

8. LEGGE APPLICABILE E FORO COMPETENTE

Il presente contratto è regolato dalla legge italiana. Per ogni controversia è competente esclusivamente il Foro di Savona se l'utente è un professionista o azienda.

9. CONCESSIONE CODICE DI INCORPORAMENTO (EMBED)

L'uso del codice è concesso a titolo precario. Il Ricevente ha facoltà insindacabile di disattivare il collegamento in qualsiasi momento.

PROCEDURA DI ACCETTAZIONE DELLE CLAUSOLE VESSATORIE (Artt. 1341-1342 c.c.)

Il Conferente dichiara di approvare specificamente, ai sensi degli artt. 1341 e 1342 c.c., le seguenti clausole:

Art. 4 (Cessione diritti ed esclusiva);
Art. 7 (Limiti e tempi del Diritto all'oblio);
Art. 8 (Foro esclusivo di Savona);

COLLABORATION, CONTENT SUBMISSION, AND CODE EMBEDDING AGREEMENT (RSI-TV NETWORK)

By and between the undersigned: Angelo Damiani, owner of RSI-TV Network, with registered office in Via Fontanassa 19/2, 17100 Savona (SV), Italy, Fiscal Code: DMN NGL 49C21 D960E, hereinafter referred to as the "Recipient";

AND

(Collectively referred to as the "Parties")

PREMISE

The Provider engages the Recipient to broadcast and air the content submitted by the Provider, under the terms and conditions set forth below.

PURPOSE OF THE AGREEMENT

This Agreement governs the supply, selection, management, archiving, and distribution of audio-video-image-document or other material (the "Content") submitted by the Provider to the Recipient for publication, reproduction, and public availability across digital, web, satellite, streaming, or any other present or future platforms managed by the Network or authorized third parties, without exception, as well as the rules regarding the embedding of the Network’s official player code.

TERMS AND CONDITIONS OF USE

0. TEMPORAL SCOPE OF APPLICATION

These terms apply to any content submitted, uploaded, or transmitted by the Provider to the Recipient, with retroactive effect extending to all previously submitted materials as well as those provided in the future.

1. TOTAL ABSENCE OF COSTS AND FEES

The broadcasting service is provided free of charge. No compensation, payment, or expense contribution shall be requested from the Provider for submitting or transmitting content. The Network is sustained exclusively through voluntary donations (IBAN: IT50N3608105138245395745413 – Angelo Damiani).

2. OWNERSHIP AND RIGHTS OF THE PROVIDER

The Provider retains ownership of the submitted materials and all commercial exploitation rights, as well as rights for distribution across any social media, web, radio, TV, or other media, guaranteeing that the exercise of such rights does not conflict with the license granted to the Recipient for editorial distribution.

3. COPYRIGHT DECLARATION AND INDEMNIFICATION

The Provider is aware that the Network exclusively broadcasts content free from copyright restrictions (public domain or free licenses). Extended Indemnity: The Provider guarantees the full legality of the submitted content and confirms that it is free from copyright or third-party rights without exception, fully indemnifying and holding harmless Angelo Damiani, his collaborators, partner platforms, and hosting servers against any claims, damages, or legal demands originating from third parties regarding copyright.

4. EXPLOITATION LICENSE AND EXCLUSIVITY

Exploitation License: The Provider grants the Recipient an EXPLOITATION LICENSE (Italian Law 633/1941), providing an irrevocable, worldwide, and perpetual authorization for the commercial exploitation of the submitted materials included in the Recipient's broadcasts (reproduction, streaming/TV/web broadcasting, distribution, and modification), waiving any royalty rights.
Ownership of the Editorial Product: The Provider grants a non-exclusive license on the raw Content, but acknowledges the Recipient’s exclusive ownership of the Editorial Products (edits, broadcasts, episodes, reworked live streams) produced by the Network.
Exclusivity: The Provider grants the Recipient exclusivity for any form of television or radio broadcasting of the Editorial Products created by the Recipient. The Provider is strictly prohibited from granting third parties any TV exploitation rights to broadcasts owned by the Recipient that contain the raw material provided by the Provider.
Editorial Ownership: The Network's broadcasts are intellectual property under the exclusive ownership of the Recipient, who retains the perpetual right of archiving, replaying, and providing on-demand access.

5. NATURE OF SERVICE AND COMMUNITY RULES

The transmission of illegal or defamatory material is strictly prohibited. The Provider undertakes to indemnify and hold harmless the Recipient against any liability arising from the submitted content.

6. GUARANTEES AND PROTECTION OF MINORS

The Provider guarantees to be the sole rights holder of the submitted content. In the case of minors, explicit written consent from both parents is mandatory (Art. 320 of the Italian Civil Code).

7. RIGHT TO BE FORGOTTEN

The Provider acknowledges that, given the editorial nature of the archive, the immediate removal of previously published content may not be technically possible without compromising the integrity of the overall editorial product. Therefore, any request for content removal will be processed within the time strictly necessary to prevent operational or financial harm to Angelo Damiani or to third parties to whom the broadcasts have already been provided or licensed. Once all necessary technical and legal obligations are fulfilled, the Provider's request will be executed in the shortest possible time.

8. APPLICABLE LAW AND JURISDICTION

This Agreement is governed by Italian law. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Court of Savona, provided the user acts as a professional or business entity.

9. EMBED CODE CONCESSION

The authorization to use the embed code is granted on a revocable, precarious basis. The Recipient reserves the sole and unappealable right to disable the connection at any time.

SPECIFIC APPROVAL OF UNFAIR/ONEROUS CLAUSES (Artt. 1341-1342 of the Italian Civil Code)

The Provider explicitly declares to have read and specifically approved, pursuant to Articles 1341 and 1342 of the Italian Civil Code, the following clauses:

Art. 3 / 3-bis (Indemnity and Licenses);
Art. 4 (Transfer of Rights and Exclusivity);
Art. 7 (Limitations to the Right to be Forgotten);
Art. 8 (Exclusive Jurisdiction of Savona);
Art. 9 (Revocation of Embed Code).
