Song License Agreement (SAMPLE)

Single Song Publishing Agreement
This Single Song Publishing Agreement is made and entered into as of [Date] by and between TDC25 Music Production (“Songwriter”), a [Pittsburgh, PA U.S.A.] resident, and [Publisher/Artist’s Name] (“Publisher/Artist”), a [City/State/Country] resident.

1. Grant of Rights:
Songwriter hereby grants to Publisher/Artist an exclusive worldwide right and license to publish, use, perform, reproduce, distribute, and exploit the Composition, including but not limited to the right to record, synchronize, and license the Composition in any and all media and formats now known or hereafter devised.

2. Composition:
The Composition is a musical composition entitled [Title of Song] (the “Composition”). Songwriter warrants that he/she is the sole author and owner of the Composition and that the Composition is original and does not infringe on any rights of any third party.

3. Royalties:
Songwriter shall receive 50% of all net income derived by Publisher/Artist from the exploitation of the Composition. Net income shall be calculated as gross income from the exploitation of the Composition less all reasonable and necessary expenses incurred by Publisher/Artist in connection with such exploitation.

4. Reporting and Payment:
Publisher/Artist shall provide Songwriter with an annual accounting of all income and expenses related to the Composition. Royalties shall be paid to Songwriter quarterly, within 90 days of the end of each calendar quarter.

5. Term:
This Agreement shall commence on the date hereof and shall continue in full force and effect until the expiration of the copyright in the Composition.

6. Termination:
This Agreement may be terminated by either party upon 90 days' written notice to the other party in the event of a material breach of this Agreement by the other party.  

7. Entire Agreement:
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

8. Governing Law:
This Agreement shall be governed by and construed in accordance with the United States laws of the State of Pennsylvania.
