Welcome to Surfly! This User Agreement (“Agreement” or “Terms”) is a legally binding contract between you (“you,” “your,” or “User”) and Surfly Inc. (“Surfly,” “we,” “us,” or “our”). This Agreement governs your access to and use of the Surfly mobile application (the “App”), our website, and any related services, features, or content offered by us (collectively, the “Service”).
PLEASE READ THIS AGREEMENT CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT DOWNLOAD, ACCESS, OR USE THE SERVICE.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use Surfly. By using the Service, you represent and warrant that you meet this age requirement.
To use certain features of the App, you must register for an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain the security and confidentiality of your password and login credentials.
Promptly update your information if it changes.
Notify us immediately at security@surflyapp.com if you suspect any unauthorized access to or use of your account.
You are solely responsible for all activities, content uploads, and interactions that occur under your account.
“User Content” means any text, graphics, images, photos, audio, video, messages, profile information, or other materials that you upload, post, send, or transmit through the Service. You retain all ownership rights in your User Content.
By posting or transmitting User Content on or through the Service, you grant Surfly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, publish, and distribute that User Content for the purpose of operating, developing, providing, and improving the Service.
You represent and warrant that you own or have the necessary rights and permissions to grant the license above. You assume all risks associated with your User Content, including anyone's reliance on its accuracy or legality.
Surfly is a platform built for safe, engaging social connections. You explicitly agree not to engage in any of the following prohibited behaviors:
Illegal Use: Using the Service for any unlawful purpose or to promote illegal activities.
Harassment and Abuse: Defaming, harassing, bullying, stalking, intimidating, or abusing any other user.
Inappropriate Content: Posting or transmitting content that is pornographic, violently graphic, hate speech, or defamatory.
Intellectual Property Infringement: Posting content that violates anyone else’s copyright, trademark, privacy, or publicity rights.
Commercial Exploitation: Selling, renting, or leasing access to the Service, or executing unauthorized commercial campaigns or spam.
Technical Interference: Attempting to circumvent security mechanisms, reverse-engineer the App, or introduce viruses, malware, or scraping bots into our systems.
Surfly reserves the right, but does not assume the obligation, to monitor, review, or filter User Content. We have the absolute discretion to remove, block, or delete any User Content at any time, with or without notice, if we determine it violates this Agreement or our community standards.
We may suspend, deactivate, or terminate your account and your access to the Service immediately, without prior notice or liability, if:
You breach or violate any provision of this Agreement.
Your behavior poses a legal or financial risk to Surfly or its community.
We receive a valid legal order or law enforcement request to do so.
Upon termination, your license to use the Service ceases instantly, and you must delete the App from your devices.
Except for User Content, all rights, title, and interest in and to the Service—including the App's design, code, graphics, interfaces, trademarks, and logos—are and will remain the exclusive property of Surfly and its licensors.
We grant you a personal, worldwide, revocable, non-assignable, and non-exclusive license to download and use the App on your personal device solely to enjoy the Service in accordance with these Terms.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, Surfly disclaims all warranties, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Any warranty that the Service will be uninterrupted, secure, error-free, or free of viruses.
Any responsibility for the conduct of, or content posted by, any user on the platform. Your interactions with other users are solely at your own risk.
To the maximum extent permitted by law, in no event shall Surfly, its affiliates, directors, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your access to or use of (or inability to access or use) the Service.
The conduct or content of any third party or user on the Service.
Any content obtained from the Service.
Unauthorized access, use, or alteration of your transmissions or content.
In no event shall Surfly's aggregate liability for all claims relating to the Service exceed one hundred U.S. dollars ($100.00 USD) or the amount you paid us, if any, in the past twelve months.
You agree to defend, indemnify, and hold harmless Surfly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
Your access to or use of the Service.
Your User Content.
Your breach or alleged breach of this Agreement.
Your violation of any third-party rights, including intellectual property or privacy rights.
This Agreement and any disputes arising out of it will be governed by and construed in accordance with the laws of [Insert Jurisdiction, e.g., the State of California / Hong Kong], without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled by binding arbitration in accordance with local rules.
If any provision of this Agreement is found to be invalid or unenforceable by a court or arbitration panel, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect. This Agreement constitutes the entire agreement between you and Surfly regarding the Service.
