Key Rules and Important Information for Lot Users

General Overview

Sudano Parking, LLC operates a self-service parking lot that is open to the public at all times. Payment for parking is required for every vehicle, at all hours, every day of the year. By choosing to park in the lot, drivers agree to abide by all posted policies, terms, and conditions. Failure to comply may result in a parking citation, immobilization (“booting”), or towing and impoundment of the vehicle.

Agreement to Terms

These Terms and Conditions (the "Terms") are a binding legal agreement between you and Sudano Parking, LLC ("Sudano," "we," "us," or "our"). The terms "user," "you," and "your" refer to the individual or entity that uses the websites, applications, and other online or offline services provided by us, including physical locations where our technology is used (collectively, the "Services").

By using our Services—whether as an online user or as a visitor to a physical Sudano Location—you agree to be bound by these Terms. If you do not agree, you must not use the Services or park in any Sudano Location.

If you use the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity, and your acceptance will be deemed acceptance by that entity.

Changes to these Terms or the Services

Except for binding arbitration and waiver of class action rights, Sudano reserves the right to modify or replace these Terms at any time, at our sole discretion. You are responsible for reviewing any such modifications. Changes take effect immediately unless otherwise stated. If a change is material, we will notify you as required by law. Continued use of the Services after changes means you accept the revised Terms.

We may modify, suspend, discontinue, or terminate the Services at any time, with or without notice, without liability except as otherwise provided by law.

Payment Terms:

By submitting a payment, you authorize Little Italy Properties, LLC or Sudano Parking, LLC to debit your bank account or charge your credit/debit card for the total amount for the date chosen.

Payment Requirements: Payment Required 24/7/365: Every vehicle, including those using handicap spaces, must pay for parking at all times.

Advance Payment: Payment must be made immediately after parking and before leaving the vehicle. Accepted payment methods are detailed on signage in the lot.

No Payment, No Parking: If payment cannot be made for any reason (including system malfunction), drivers must not leave their vehicles in the lot and should park elsewhere.

Receipts: A final electronic or printed receipt is required before leaving the vehicle; if a receipt cannot be obtained, do not park in the lot.

Temporary Tags: Drivers with temporary tags must enter the full alphanumeric code on the tag (excluding the date).

Pay for All Spaces Used: Vehicles or trailers occupying multiple spaces must pay for each space, using variations of the license plate number as instructed.

One Payment, One Vehicle, One Lot: Payments cannot be transferred to other vehicles or lots. Left-over time or receipts from one vehicle cannot be used for another.

Correct License Plate Entry: Drivers must accurately enter their license plate number for verification.

Duration: Payment must cover the entire time the vehicle is parked. Insufficient payment may result in ticketing, booting, or towing.

Kiosks: No change or refunds are provided. Use correct change or a credit/debit card.

Payment Methods: Sudano Parking, LLC’s Reservation System accepts several methods of payment to accommodate your needs, including: American Express, Discover, MasterCard, and Visa via Zelle, CashApp, or PayPal

Pricing and Availability: Sudano Parking, LLC’s Reservation System parking reservations on behalf of company and independently owned and operated parking facilities. Sudano Parking, LLC’s Reservation Service does not control the parking prices, operations at the parking lots, determine parking availability or charge you for any parking fees or services provided. Your parking rate is set when your reservation is submitted online. Your reservation rate may not be combined with any additional coupons, special offers or other promotions when you exit the parking lot. Special discounts run by the independent parking facility cannot be used or combined with a purchase on Sudano Parking, LLC’s Reservation Service.

Credit Card Billing: Your credit card is charged when you submit your reservation online. Your credit card statement will show the purchase was from Little Italy Properties, LLC or Sudano Parking, LLC. If your stay is LESS than your reservation dates and time, NO REFUND will be issued.

Enforcement and Penalties

Violations of any policies may result in a parking citation, vehicle immobilization, or towing and impoundment, with associated fees.

Citations will be placed on the windshield or mailed to the vehicle owner’s address. Instructions for payment or dispute are provided on the citation.

Enforcement is continuous (24/7/365).

If help is needed with payment, drivers can call the provided assistance number. However, if unable to pay, they must park elsewhere.

Drivers are responsible for reading and following all signs and ticket instructions.

Parking Payments and Monthly Permits

Sudano requires payment for use of the Services (or certain portions thereof). By using our Services, you agree to the pricing, payment, and billing policies posted or otherwise communicated to you. Sudano offers multiple options to use the Services including options for Hourly or Daily Basis (a “Parking Payment”) or purchasing a Monthly Permit with a monthly payment ("Monthly Permit"). Special pricing and/or eligibility terms may apply to certain offers and Monthly Permits.

General

Whether you make a Parking Payment or purchase a Monthly Permit (each, a "Transaction"), you expressly authorize us (or our third-party payment processor) to charge you for such Transaction and future Transactions via the payment features of the Services. We may ask you to supply additional information relevant to your Transaction, including your credit card number(s), the expiration date of your credit card(s) and your email and postal addresses for billing and notification (such information, "Payment Information"). We (or our third-party payment processor) may authorize charges using your Payment Information in anticipation of Monthly Permit or other Service-related payments in advance. In some instances, your available balance or credit limit may be reduced to reflect the authorization. You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Transaction, you authorize us to provide your Payment Information to third parties so we can complete your Transaction and to charge your payment method for the type of Transaction you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). All payments for Transactions are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars. For certain Payment Information, the issuer of the payment method may charge you certain additional fees (e.g., foreign transaction fees or processing fees). You will be solely responsible for such fees. You remain responsible for any amounts we are unable to collect for your use of the Services.

Service Fee

Each Transaction is subject to a fee (each a "Service Fee"). Service Fees are charged in connection with each Transaction and are calculated based on a formula specific to the Services. The application of a Service Fee and the rate is set by Sudano in its sole discretion.

Monthly Permits and Renewal

For certain features of the Services you'll need a Monthly Permit. If you purchase a Monthly Permit, you will be charged the Monthly Permit fee for the applicable period, plus any applicable taxes, and other charges, at the beginning of your Monthly Permit. Monthly Permits may include additional terms and conditions as may be described at the time of purchase or in other communications we send to you. The Monthly Permit Fee is non-refundable except as expressly set forth in these Terms or in accordance with applicable law. If any Monthly Permit Fee is not paid in a timely manner, or your transaction cannot be processed, we reserve the right to suspend, disable, cancel or terminate your access to the Services or cancel your Monthly Permit. You will be responsible for renewing each month.

Termination/Cancellation Policy

We may terminate your Monthly Permit at our sole discretion and without any notice. If we cancel your Monthly Permit, we may give you a prorated refund based on the amount of time remaining that you cannot use, provided, however, that we will not be obligated to grant you a refund if we terminate your Account or your Monthly Permit because we determine, in our sole discretion, that your actions or your use of the Services violates these Terms or any applicable law or has harmed another user.

No refunds will be given for unused reservations. Copyrights and Trademarks: Sudano Parking, LLC’s Reservation Service is owned and operated by Sudano Parking, LLC. All contents of this Site are copyright of Sudano Parking, LLC. All rights reserved. Any and all material on this Site may not be used without the prior written consent of Sudano Parking, LLC. Intellectual property owned, controlled or licensed by Sudano or by third parties who have licensed their materials to Sudano Parking, LLC are protected by U. S. and International copyright laws.

Acceptable Site Use: Users are strictly prohibited from violating the security of this Site, including, but not limited to: accessing data not intended for such user; attempting to interfere with service to any user, host or network; submitting a virus to the Site, overloading, flooding, spamming, or crashing; unauthorized to access to another parties account; attempting to probe, scan or test the vulnerability of a system or network; to breach security or authentication measures without prior authorization. Any violations of this Site, including programming, or any part of the system may result in civil or criminal action. This Site may not be used for any purpose other than as intended. Any overuse or abuse of this Site may result in the denial of access to any or all of the Services provided by this Site.

We may terminate your access to and use of the Services, at our sole discretion, at any time and with or without notice to you. Upon any termination, discontinuation or cancellation of the Services or your Account, the following Sections will survive: Parking Payments and Monthly Permits, General Prohibitions and Sudano's Enforcement Rights, Termination, Disclaimers, Representations; Release and Indemnity, Limitation of Liability, Governing Law and Forum Choice, Arbitration and Class Action Waiver, General Terms, and any other provisions that are necessary to effectuate those sections.

Changes to the Monthly Permit

We may change the Monthly Permit terms or Monthly Permit Fees at any time on a going forward basis in our discretion. If the pricing for your Monthly Permit increases, we will notify you. We may choose in our sole discretion to add, modify, or remove benefits and features from a Monthly Permit. Your continued use of the Services after the changes become effective will constitute your acceptance of the changes. If you do not wish to continue with the new fees or features, you may cancel your Monthly Permit. If you accept the new Monthly Permit, its terms and conditions will apply for that renewal and all renewals going forward.

Proof of Purchase

Proof of Purchase may be requested at the location. Each permit is only valid on the date displayed and at the facility identified on this permit. Without this proof, your vehicle will be subject to the posted parking rate provided availability exists. Permit is good for a single entry and no in & out privileges. Parking will be guaranteed for the day and spaces shall be on an unreserved, first come, first served basis. No refunds for permits after purchase. Not valid for RVs or over-sized vehicles. Any vehicle parked in an unauthorized area is subject to removal from the facility at the sole cost and expense of customer. This permit is your only contract and is not transferable. It licenses you to park and lock one vehicle in a designated area at your own sole risk. Sudano Parking, LLC does not guard or assume care, custody or control of your vehicle or its contents and is not responsible for fire, theft, damage or loss. Sudano Parking, LLC issues this permit as your contract for timekeeping purposes only. Only a license to park is granted hereby and no bailment is created. This is not a claim check. This is your entire contract and no one may enlarge, modify or waive any of its terms. By your acceptance of it you agree to all foregoing terms.

Prohibited Activities and Conduct

The following activities are strictly prohibited: trespassing, loitering, soliciting, unauthorized dumping, littering, and public urination.

No parking, standing, or stopping in driveways, roundabouts, or unauthorized areas.

Park only in designated, marked spaces. Do not create additional spaces.

Do not give money to or accept advice from strangers; the company will not issue refunds or dismiss tickets resulting from such interactions.

General Prohibitions and Sudano’s Enforcement rights

You agree you will not use the Services for a purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Sudano. By way of example, and not as a limitation, you agree not to do any of the following:

A. Post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar, or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;

B. In connection with your access to or use of the Services, cause a nuisance, annoyance, or inconvenience, or take actions that result in property damage, whether to a Sudano Location or any third party;

C. Use, display, copy, modify, distribute, license, lease, sell, resell, transfer, perform, transmit, stream, broadcast, mirror, frame, or otherwise exploit the Services or any individual element within the Services, Sudano's name, any Sudano trademark, logo or other proprietary information, or the layout and design of any webpage or form contained on a webpage, without Sudano's express written consent;

D. Access, tamper with, or use non-public areas of the Services, Sudano 's computer systems, Sudano Locations, or the technical delivery systems of Sudano's providers;

E. Attempt to probe, scan, or test the vulnerability of any Sudano system or network, or breach any security or authentication measures;

F. Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Sudano or any of Sudano's providers or any other third party to protect the Services;

G. Scrape, access, monitor, index, frame, link, or copy any content on the Services by accessing the Services in an automated way, using any robot, spider, scraper, web crawler, or using any method of access other than manually accessing the publicly-available portions of the Services through a browser or accessing the Services through any approved mobile application, application programming interface, or client application;

H. Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;

I. Use any meta tags or other hidden text or metadata utilizing a Sudano trademark, logo URL or product name without Sudano's express written consent;

J. Use the Services, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms;

K. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive, or false source-identifying information;

L. Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Services;

M. Interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;

N. Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;

O. Create multiple Accounts;

P. Use another user's Account to access the Services;

Q. Impersonate or misrepresent your affiliation with any person or entity;

R. Falsely imply Sudano's endorsement or partnership, or otherwise mislead others as to your affiliation with Sudano;

S. Access the Services or content in order to build a similar or competitive website, product, or service;

T. Violate any applicable law or regulation; or

U. Encourage or enable any other individual to do any of the foregoing.

Sudano is not obligated to monitor access to or use of the Services or to review or edit any User Content. However, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. Sudano further reserves the right to report unlawful activity to law enforcement or other regulatory authorities.

Liability and Consent

Sudano and the property owner are not liable for loss or damage to vehicles or property, or for bodily injury.

By parking, drivers consent to allow enforcement agents and their affiliates to use all available means to contact the owner for outstanding fees, including mail, text, phone, or email, and to use collection agencies or law firms as needed.

DISCLAIMER AND LIMITATION OF LIABILITY

NO SPECIFIC RESULT IS GUARANTEED FROM THE USE OF THIS SITE OR SERVICES. SUDANO PARKING, LLC EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR ANY ACTS, OMISSIONS AND/OR CONDUCT OF PARKING FACILITY OPERATORS, THIRD PARTY USERS OF THIS SITE, ADVERTISERS OR SPONSORS. SUDANO PARKING, LLC AND/OR IT’S AFFILIATES OR PARKING FACILITY OPERATORS, SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR DAMAGES OF ANY KIND AND NATURE WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INCIDENTAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, LOST PROFITS, AND/OR DEATH OR PERSONAL INJURY, LOST DATA THAT ARISE IN WHOLE OR IN PART FROM THE USE OF OR INABILITY TO ACCESS, THIS SITE OR THE SERVICES OF THIS SITE, WHETHER BASED UPON ANY LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO, WARRANTY, CONTRACT AND/OR TORT, WHETHER CURRENTLY IN EXISTENCE OR DEVELOPED AND/OR RECOGNIZED IN THE FUTURE. THIS CONTRACT LIMITS OUR LIABILITY-READ IT THIS IS A LICENSE TO PARK ONLY, NOT A BAILMENT. IN ACCEPTING THIS CONTRACT, HOLDER AGREES TO USE OPERATOR'S GARAGE OR LOT AT HOLDER'S OWN RISK. THE OWNER'S AND OPERATORS OF THIS PARKING FACILITY HEREBY SPECIFICALLY DISCLAIM ANY RESPONSIBILITY, EXPRESS OR IMPLIED, TO PROTECT AGAINST THE LOSS OF OR DAMAGE TO YOUR VEHICLE OR ITS CONTENTS. NO EMPLOYEE OR AGENT MAY ALTER OR ENLARGE OUR LIABILITY HEREUNDER ORALLY OR OTHERWISE. PARKING IN THIS FACILITY SHALL CONSTITUTE AN ACKNOWLEDGMENT AND ACCEPTANCE OF THIS CONDITION ON YOUR RIGHT TO USE OUR PARKING FACILITY. NOTE HOURS OF OPERATION AND RATES ARE POSTED. PLEASE LOCK YOUR CAR AND TAKE YOUR KEYS. The information on this Site may not be accurate and/or may contain errors, typographical or otherwise. Sudano Parking, LLC makes no representations or warranties about the accuracy or reliability of this Site. THE USE OF THIS SITE IS AT YOUR OWN RISK.

The services and Sudano locations are provided "as is," without warranty of any kind. Without limiting the foregoing, we explicitly disclaim any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade. We make no warranty that the services or Sudano locations will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any information or content on or available in connection with the services or Sudano locations. The performance of the services can vary due to several factors, including without limitation: specific mobile device limitations and capabilities; mobile device service provider or network limitations and capabilities; mobile device multi-tasking; mobile device memory; gps "lock" time, availability, and accuracy; mobile device settings; internet availability; messaging opt outs; and services availability, operability, or errors. Sudano makes no representations or warranties with respect to the performance, operability, or availability of the services. 

You explicitly agree that your use of the Services, and Sudano Locations is at your own and sole risk. You are responsible for determining your own safety and the safety of your vehicle and any articles left in your vehicle at any Sudano Location. We are not responsible for damage to your vehicle, loss of your vehicle, or loss of articles left in your vehicle or for any personal injury in any circumstances, including, without limitation: fire, weather, or other act of God; theft or other criminal activity of any kind; mechanical defects; accidents; or your use of the Services, whether in motion or at rest. We are not responsible for any Penalties you incur or receive, even if the Services were used in connection with a Transaction. "Penalty" means any penalty, parking fine, ticket, summons, or citation; your vehicle being wheel booted, wheel locked, towed, or impounded; and/or other methods of enforcing any notices, signs, rules, or directions provided by relevant government authorities; traffic attendants; or other authorized people or entities (collectively, "authorities"), including, without limitation, enforcement of rules relating to spaces or zones designated as "no parking," "emergency," "tow-away," "handicapped," "reserved" and the like, time or day limitations and vehicle size limitations. You are solely responsible for resolving with the relevant authorities any issues that you may have regarding Penalties.

Your sole and exclusive remedy for any breach by us of any term or condition set forth in these Terms is to cease using the Services.

The total liability for Sudano and/or any affiliates to you for all claims arising from the use of this Site, materials and parking facilities is limited to $200.00.

Arbitration

a.   Any and all disputes, controversies or claims between you and us in any way relating to, or arising from the use of this Site or the Services provided hereunder (including its validity, interpretation, enforceability or breach as well as the enforceability of this Section) shall be subject to arbitration in Baltimore City, Maryland administered by the Parking Authority of Baltimore City. The arbitrator shall apply the laws of the state of Maryland, including principals of equity, but without regard to principals of conflicts of law. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction hereof.

b.   Such arbitration shall be filed and maintained as an individual matter, and not as a class-action, collective action or other action involving more than one individual plaintiff, claimant or petitioner, nor in any manner alleging that the one bringing the arbitration matter is serving (or seeking to serve) in any representative capacity. You and we each hereby waive any and all rights or interests in pursuing a class or collective action, or any group or multi-claimant action in regard to controversies arising out of the use of this Site or the Services, in the interests of pursuing the streamlined and cost-effective alternative of individual arbitration proceedings as described herein. Accordingly, you and we also agree that the arbitrator of any such controversies may not join, consolidate, coordinate or jointly manage the claims of more than one person for any purpose (i.e., prehearing, discovery, hearing or otherwise), and may not otherwise preside over any form of class, collective or representative proceeding.

c.   Each party to the Arbitration shall bear his/her own costs, including, without limitation, attorneys’ fees, and shall each pay one-half (1/2) of all arbitration fees and costs including those of the arbitrator.

Indemnity

You agree to defend, indemnify, and hold harmless Sudano Parking, LLC, its affiliates, parent or subsidiary companies, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of this Site, the information set forth in it and/or the Services accessed through its use, or your breach of the terms of these Terms of Use. ACE Parking shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

Severability

If for any reason any provision of these Terms of Use shall be held invalid or unenforceable in whole or in part, the remainder of these Terms of Use shall remain in full force and effect.

General Terms

A. Customer Support

To find more information about our Services, or if you need assistance with your Account, please call the Property Manager at (443)865-9466. In the event of any conflict between these Terms and information provided by customer service or other portions of our website, these Terms will control.

B. Reservation of Rights

Sudano and its licensors exclusively own all right, title, and interest in and to the Services, including all associated intellectual property rights. You acknowledge that the Services are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the explicit limited license granted in these Terms; or (ii) to use or reference in any manner company names, logos, product or service names, trademarks, or service marks of Sudano or its licensors.

C. Entire Agreement

These Terms (and any additional terms, contracts, rules, and conditions that Sudano may post through the Services), and, if applicable, other license agreements constitute the entire and exclusive understanding and agreement between Sudano and you regarding the Services, and these Terms supersede and replace all prior oral or written understandings or agreements between Sudano and you regarding the Services. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

D. Assignment.

You may not assign or transfer these Terms, by operation of law or otherwise, without Sudano 's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Sudano may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

E. Notices.

Sudano may give notice by any means of communication reasonably anticipated to notify you of the information provided. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing or be delivered in a particular manner. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form. By way of example only, such communication may be a general notice on the Services or via email to the email address listed on your Account. It is your obligation to update your Account information so that we may contact you as may be necessary. Such notice shall be deemed to have been given 48 hours after dispatch.

F. Waiver of Rights.

Sudano 's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Sudano. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

G. Section Titles.

The section titles in the Terms are solely used for the convenience of the parties and have no legal or contractual significance.

H. Statute of Limitations.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. This statute of limitations provision does not apply to residents of New Jersey.

I. No Third-Party Beneficiaries.

You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.

18. Contact Information
