Terms of Use

1. Acceptance of Terms
   By accessing or using the Studio Joy website (the “Site”) and purchasing or downloading any digital products or designs (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must immediately cease all use of the Site and Services.

2. Scope of Services
   Studio Joy is a design company based in Charleston, South Carolina. We currently offer digital design / interior design / web design / photography services, digital downloads and pre-designed digital assets (the “Digital Products”). Studio Joy may, at its sole discretion, offer personalized or custom design services in the future. We are not limited to the services listed, nor are we obligated to provide these services at any given time. Any future offering of personalized designs shall be subject to additional terms and/or fees as published by Studio Joy at that time.

3. User Interaction
   The only interactive feature available on the Site is a contact form through which you may submit inquiries. You agree that you will not use any automated means to submit content or otherwise interact with the Site. Studio Joy reserves the right to refuse or remove any submission at its discretion. Studio Joy does not agree to reply to any inquiries and reserves the right to respond to inquiries at our discretion. 

4. Intellectual Property
   All content, designs, graphics, text, images, digital files, and other materials on the Site or included in any Digital Products (collectively, the “Materials”) are the exclusive property of Studio Joy or its licencors and are protected by U.S. and international copyright, trademark, and other intellectual property laws unless specified otherwise (e.g.  A Google Image file).
   a. License Grant. Upon successful purchase or download of a Digital Product, Studio Joy grants you a limited, non-exclusive, non-transferable, revocable license to use the Materials for personal, non-commercial purposes only.
   b. Prohibited Uses. You may not reproduce, distribute, publicly perform, publicly display, sell, license, create derivative works from, or otherwise use the Materials for any commercial purpose, nor may you sublicense or transfer any rights to third parties. Any unauthorized use of the Materials is strictly prohibited and will constitute a breach of these Terms and may violate copyright, trademark, and other laws.

5. Payment and Refund Policy
   All prices are quoted in U.S. dollars. Payment for Digital Products must be made through the payment methods offered on the Site.
   a. No Refunds. Studio Joy does not offer refunds for Digital Products once downloaded or accessed.
   b. Delivery Failure. If you can provide verifiable evidence that you did not receive the Digital Product you purchased, you may submit a written request for a refund or replacement download to charlotte@studio-joy.org. Any refund is at the sole discretion of Studio Joy and is not guaranteed.

6. Disclaimer of Warranties and Limitation of Liability
   a. Disclaimer of Warranties. The Site, Services, and Materials are provided “as is,” “with all faults,” and “as available,” without warranty of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or noninfringement. Studio Joy does not warrant that the Site or Services will be uninterrupted, error-free, or completely secure.
   b. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall Studio Joy, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or related to your use of the Site, Services, or Materials, even if advised of the possibility of such damages. Studio Joy’s aggregate liability for any claim arising from or related to these Terms or your use of the Site, Services, or Materials shall not exceed the amount you paid to Studio Joy in the six (6) months preceding the claim.

7. Prohibited Conduct
   You agree not to:
   a. Use the Site or Services for any unlawful purpose or in violation of these Terms.
   b. Attempt to gain unauthorized access to any portion of the Site or Services or to any other systems or networks connected to the Site.
   c. Use the Site or Services in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use.
   d. Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Materials without the expressed written permission of Studio Joy.

8. Indemnification
   You agree to indemnify, defend, and hold harmless Studio Joy and its affiliates, officers, directors, employees, agents, and licencors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or in any way connected with your breach of these Terms or your use of the Site or Services.

9. Dispute Resolution and Governing Law
   These Terms and any dispute arising under or in connection with these Terms shall be governed by and construed in accordance with the laws of the United States and the State of South Carolina, without regard to its conflict of laws principles. You agree that any legal action or proceeding against Studio Joy arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Charleston County, South Carolina.

10. Severability
    If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will continue in full force and effect.

11. Reservation of Rights
    Studio Joy reserves all rights not expressly granted in these Terms. No waiver by Studio Joy of any right or provision under these Terms shall be effective unless in writing and signed by an authorized representative of Studio Joy.

12. Changes to Terms
    Studio Joy may modify these Terms at any time by posting a revised version on the Site. Studio Joy is not required to notify users, viewers, customers, etc. of any term updates. The date of the latest revision will be reflected in the “Effective Date” above. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms.
