Welcome to Smart Scout. These Terms and Conditions (“Terms”) govern your access to

and use of the Smart Scout mobile application and related services (the “Platform”),

operated by Smart Scout (“we”, “us”, or “our”).

By accessing or using Smart Scout, you agree to be bound by these Terms. If you do not

agree, you must not use the Platform.

1. Eligibility

Smart Scout is a football-focused platform for athlete discovery.

• Users aged 16 or over may create and manage their own account.

• Users under 16 may only use the Platform through a parent- or

legal-guardian-managed account, with the parent or guardian taking full

responsibility for the account activity.

• You must be legally permitted to use the Platform in your country of residence.

2. User Accounts

You are responsible for:

• Providing accurate and truthful information

• Maintaining the security of your login credentials

• All activity conducted through your account

We reserve the right to suspend or terminate any account that violates these Terms or

poses a risk to other users or the Platform.

3. User Types

Athletes (Players)

Athletes may create and manage player profiles, upload football-related content (including

videos, images, statistics, achievements and playing history), and subscribe to paid

athlete plans where applicable. Athletes are solely responsible for ensuring that all

information and content provided is accurate, lawful, and up to date.

Scouts

Scouts may create scout profiles and access athlete profiles and content for the purposes

of talent identification and recruitment assessment.

All scout accounts are subject to manual review and approval by Smart Scout prior to

activation. As part of our safeguarding and integrity procedures, this review process may

include identity verification, professional credential checks, and confirmation of

appropriate background checks (including Disclosure and Barring Service (DBS) checks or

equivalent), where relevant and appropriate.

Smart Scout reserves the absolute right, at its sole discretion, to approve, reject, suspend,

or revoke scout accounts at any time, with or without notice.

For the avoidance of doubt, Smart Scout: - Does not guarantee trials, contracts,

scholarships, or professional opportunities - Does not act as a sports agent, intermediary,

or representative for any athlete or scout - Does not endorse, supervise, or assume

responsibility for the conduct, communications, decisions, or actions of scouts, athletes,

clubs, or third parties.

Smart Scout is a closed searchable database for registered and verified Scouts to discover

new talent with a view to recruit that talent for their teams. It is also a platform for players

to highlight their skills and achievements in order to get discovered.

4. Subscriptions and Payments

• Athlete accounts are available on a paid subscription (£5.99 per month unless

otherwise stated).

• Scout accounts are free of charge.

For paid subscriptions: - Payments are processed via third-party providers (e.g. Stripe or

in-app purchases) - Subscriptions renew automatically unless cancelled before the

renewal date - No refunds are provided except where required by law

Pricing may change with prior notice through the Platform.

5. User Content, Video Hosting and Moderation

Ownership and License

Users retain ownership of all content they upload to the Platform, including videos,

images, text, and profile information (“User Content”). By uploading User Content, you

grant Smart Scout a non-exclusive, worldwide, royalty-free, sub-licensable license to host,

store, process, stream, display, and make such content available on the Platform solely for

the purposes of operating, maintaining, improving, and promoting Smart Scout and its

services.

Video Hosting Infrastructure

All video and media content uploaded to Smart Scout is stored on cloud infrastructure

operated and managed by Smart Scout, including services provided by Amazon Web

Services (AWS). While we take reasonable technical and organisational measures to

protect stored content, we do not guarantee uninterrupted availability or permanent

retention of any User Content.

Content Review and Moderation

All highlight videos and selected user uploads are subject to manual review and

moderation prior to approval and publication on the Platform. Reviews are conducted by

the Smart Scout team through internal administrative systems to assess whether content:

- Relates solely to football activities - Is appropriate for display on a platform used by

minors and adults - Complies with these Terms and applicable laws.

Smart Scout does not guarantee that all content will be reviewed immediately and is not

responsible for any delay in approval or publication.

Right of Removal

Smart Scout reserves the right, at its sole discretion, to approve, reject, restrict, disable, or

remove any User Content at any time, with or without notice, including content that is

reported by users or deemed inappropriate, misleading, unlawful, or inconsistent with the

purpose of the Platform.

User Deletion

Users may delete their own content, including videos, through their video library. Deleted

content will be removed from public view and active systems within a reasonable

timeframe, subject to technical, legal, or backup requirements.6. Acceptable Use

You agree not to: - Impersonate any person or organisation - Harass, abuse, or exploit

other users - Use automated tools to scrape or collect data - Use the Platform for

unauthorised commercial purposes

7. Privacy & Data Protection

Your use of Smart Scout is governed by our Privacy Policy, which complies with the UK

GDPR and Data Protection Act 2018.

Parents or guardians managing under-16 accounts consent to the processing of the child’s

data in accordance with the Privacy Policy.

8. Intellectual Property

All Platform content excluding user-generated content — including software, branding,

logos, and design — is owned by or licensed to Smart Scout and protected by intellectual

property laws.

You may not copy, modify, or distribute this content without written permission.

9. Termination

We may suspend or terminate accounts that: - Breach these Terms - Engage in fraudulent,

abusive, or illegal activity - Damage the Platform or its users

You may delete your account at any time through your settings.

10. Limitation of Liability

To the fullest extent permitted by law, Smart Scout is not liable for: - User-generated

content - Scout decisions or behavior - Missed opportunities or lack of exposure -

Temporary technical issues or downtime

Our total liability is limited to the amount paid by you in the previous 12 months.11. Indemnity

You agree to indemnify and hold harmless Smart Scout from any claims arising from your

use of the Platform or breach of these Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales, and any disputes shall be

subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via

the app or email. Continued use constitutes acceptance.
