Shortica Ltd. Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Shortica Ltd. (“Shortica,” “we,” “us,” or “our”) governing your access to and use of (i) the website located at www.shortica.com (the “Site”), including all services, features, and content accessible or downloadable from the Site, and (ii) any Shortica application (including mobile applications), service, or product licensed, downloaded, or otherwise accessed by you through third-party websites or sources (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
Eligibility
The Service is intended solely for individuals who are at least eighteen (18) years of age, or the age of digital consent in your jurisdiction, whichever is higher. By accessing or using the Service, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms.
Account Registration and Security
In order to access certain features of the Service, you may be required to register an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to ensure its accuracy.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Shortica immediately of any unauthorized use of your account or any other breach of security.
Subscription, Payment, and Refunds
Certain features or content of the Service may be accessible only upon payment of applicable subscription fees. All fees and payment terms will be disclosed to you prior to purchase.
All payments are non-refundable except as required by applicable law. If you believe you have been charged in error, you must notify Shortica in writing at [legal@shortica.com] within 30 days of the charge.
If you purchase a subscription to a paid Service with renewing billing cycles, you may cancel the subscription at any time before the end of the current billing period. The cancellation will take effect at the end of that billing period. You will retain access to the paid Service from the time you cancel until the start of the next billing period and you will not receive a refund or credit for any remaining days in your current billing period.
Shortica reserves the right to modify subscription fees or introduce new fees at any time, upon reasonable advance notice to you.
Intellectual Property Rights and License
The Service and all content and materials therein, including but not limited to text, graphics, images, audio, video, software, designs, trademarks, logos, and the “look and feel” of the Service (collectively, “Shortica Content”), are the exclusive property of Shortica or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, Shortica grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Shortica Content solely for your personal, non-commercial use.
Except as expressly permitted herein, you shall not copy, reproduce, distribute, modify, publicly display, publicly perform, transmit, download, record, resell, create derivative works from, or otherwise exploit any part of the Service or Shortica Content without the prior written consent of Shortica. You are expressly prohibited from downloading, recording, or reselling any Shortica Content, whether by technical means, manual methods, or through the use of third-party tools or services. All rights not expressly granted herein are reserved by Shortica and its licensors.
Copyright Infringement and DMCA Policy
Shortica respects the intellectual property rights of others and expects users to do the same. If you believe that any material on the Service infringes your copyright, you may submit a written notification to Shortica’s designated Copyright Agent at [legal@shortica.com] containing the following information:
a physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;
identification of the copyrighted work claimed to have been infringed;
identification of the material that is claimed to be infringing and information reasonably sufficient to permit Shortica to locate the material;
your contact information;
a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
a statement, made under penalty of perjury, that the information in your notification is accurate and that you are authorized to act on behalf of the copyright owner.
Upon receipt of a valid notification, Shortica may remove or disable access to the allegedly infringing material and may terminate the accounts of repeat infringers in appropriate circumstances.
Prohibited Conduct
You agree not to:
use the Service for any unlawful, fraudulent, or unauthorized purpose;
circumvent, disable, or otherwise interfere with security-related features of the Service;
attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service;
use, copy, adapt, modify, create derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, transmit, or otherwise exploit any part of the Service or Shortica Content except as expressly permitted by these Terms;
use the Service for any commercial purpose without Shortica’s express prior written consent.
Termination
Shortica reserves the right, in its sole discretion, to suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to violation of these Terms.
Upon termination, all rights and licenses granted to you hereunder shall immediately cease, and you shall have no further right to access or use the Service. Shortica shall have no liability to you for any termination of your access to the Service.
Disclaimers
THE SERVICE AND ALL SHORTICA CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.
SHORTICA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHORTICA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SHORTICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SHORTICA’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50) OR THE AMOUNT YOU PAID SHORTICA, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Modifications to Terms
Shortica reserves the right to modify or update these Terms at any time, in its sole discretion. Any changes will be effective immediately upon posting on the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [the State of Israel], without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [Tel Aviv-Jaffa], and you hereby consent to the personal jurisdiction and venue of such courts.
Miscellaneous
These Terms constitute the entire agreement between you and Shortica regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
You may not assign or transfer these Terms, by operation of law or otherwise, without Shortica’s prior written consent. Shortica may freely assign these Terms.
No waiver by Shortica of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
