Terms and Conditions of Sale

PREAMBLE
These Terms and Conditions of Sale (TCS) govern all activities and services offered by SARL GIACHELLO, registered with the Carcassonne Trade and Companies Register under number 939 384 558, with its registered office located at Domaine les Fontanelles, 11700 Puichéric, and a share capital of €500. Any order or subscription placed on the website https://www.santiagogiachello.com constitutes full and unconditional acceptance by the Client of these TCS.
These TCS may be amended at any time. The applicable conditions are those in effect on the date of the order or subscription. Clients will be informed of any changes via a notification on the website or by email.

DESIGNATION
SARL GIACHELLO offers:

• Esencia de Tango: an online pre-recorded training program on Argentine tango, including private lessons via videoconference.

• Private lessons and coaching sessions via videoconference, tailored for tango dancers.

• The organization of events and workshops related to Argentine tango, such as Immersion Tango.

• Educational and artistic content on Argentine tango, available in various formats.
  Specific appendices may be added to these TCS to specify conditions applicable to certain events or specific services.

THE CLIENT
The Client must be a legally capable adult. The information provided during the subscription process must be accurate and up to date. SARL GIACHELLO reserves the right to refuse or cancel a subscription if the provided information is incomplete or incorrect.

PERSONAL DATA PROTECTION (GDPR)
In accordance with the French Data Protection Act of January 6, 1978, as amended by Law 2018-493 of June 20, 2018, and the General Data Protection Regulation (GDPR) effective May 25, 2018, the Client has the right to access, correct, delete, and transfer their personal data, as well as the right to restrict or object to data processing. To exercise this right, the Client can send an email to: giachellosarl@gmail.com.

SERVICES
The key features of the services are described on the website. These descriptions are provided for informational purposes only and do not constitute contractual obligations. SARL GIACHELLO endeavors to provide the most accurate information possible.
Specific obligations may apply to the Client for certain services, such as adhering to class schedules, having the necessary equipment, or demonstrating appropriate behavior during events.

PRICING AND PAYMENT TERMS
All prices listed on the website are in euros and include all taxes (VAT). Payments can be made online via credit card or bank transfer. SARL GIACHELLO reserves the right to modify its prices without prior notice. The prices applicable are those in effect at the time of the order.
The Client guarantees they have the necessary authorization to use the selected payment method. For payments made in installments, the Client ensures their credit card remains valid until the final installment is paid.

PARTIAL INVALIDITY
If any provision of these TCS is deemed invalid or unenforceable, the remaining provisions shall remain in effect.

NON-WAIVER
The failure of SARL GIACHELLO to exercise a right or enforce a provision of these TCS shall not constitute a waiver of such right or provision.

APPLICABLE LAW
The Client fully accepts and acknowledges that these Terms and Conditions of Sale are governed by French law, as well as any disputes or claims that may arise between the Client and SARL GIACHELLO. Furthermore, the Client agrees that, in the event of a dispute, French courts shall have jurisdiction.

Annex 1 - ESENCIA DE TANGO

DEFINITION
The Esencia de Tango training is an online pre-recorded Argentine tango course. This concept is created and owned by GIACHELLO SARL, whose registered office is located at Domaine les Fontanelles, Las Planos, 11700 Puichéric, and is registered under R.C.S. Carcassonne number 939 384 558.
Any order placed on the webpage https://www.santiagogiachello.com/formation-tango of the website www.santiagogiachello.com implies full and unconditional acceptance of these General Terms and Conditions of Sale (GTC) by the Client. These terms are subject to change and updates. The applicable terms will be those displayed on this page at the time of registration. These GTC are governed by French law unless otherwise required by mandatory provisions, such as those arising from the Rome Convention on the law applicable to contractual obligations dated June 19, 1980.

THE CLIENT
The Client must be a legally capable adult individual. The information provided to GIACHELLO SARL at the time of subscription must be complete, accurate, and up to date. GIACHELLO SARL may, if necessary, request confirmation of this information and the Client's identity by any means.
GIACHELLO SARL reserves the right to decline or cancel a subscription if it does not meet the above criteria.

SERVICES
The essential characteristics of the Services are made available to the Client in the program and description of the Esencia de Tango training. Although great care is taken with the descriptions, they are non-binding, even if GIACHELLO SARL strives to ensure they are as accurate and true to reality as possible.

PRIVATE VIDEO CONFERENCE LESSONS
The three private lessons provided via videoconference as part of the Esencia de Tango training require the Client to:

• Have access to a stable internet connection.

• Use a computer, tablet, or smartphone with functional camera and audio capabilities.

• Book and attend their three lessons within a maximum period of 4 months from the subscription date to the Esencia de Tango training. Appointment slots will be proposed, and the Client must book their lessons within this timeframe. Beyond this period, the lessons will be forfeited and cannot be rescheduled or partially refunded.
  Each private lesson lasts 45 minutes and will be provided to the Client and their dance partner.

PRICING
All prices displayed on the website are in euros and include all taxes (TTC). GIACHELLO SARL reserves the right to change its prices without prior notice. The prices applicable to the Client correspond to those displayed on the website at the time of subscription.

SUBSCRIPTION
A subscription is only validated after the Client has acknowledged and accepted the GTC and completed the payment. GIACHELLO SARL reserves the right to refuse, cancel, or terminate subscriptions at any time for legitimate reasons.

ACCESS RIGHTS
The training is designed to be followed by one or two people. Each subscription grants access to the online platform hosting the Esencia de Tango training. The Client may request additional access for their dance partner by emailing info@santiagogiachello.com and providing their partner's name, first name, and email address.
Access to Esencia de Tango training requires a stable internet connection. Subscriptions allow unlimited access to the training content.

LANGUAGE
The Esencia de Tango training is conducted in Spanish with subtitles available in French or English, which can be activated via video settings.

PAYMENT
The Client guarantees they have the necessary authorizations to use the selected payment method when validating their order. Providing GIACHELLO SARL with their credit card number constitutes express authorization to debit their account for the subscription price. Payment platform records serve as proof of any financial transactions between the Client and GIACHELLO SARL. For installment payments, the Client ensures their credit card remains valid until the final installment is paid.

RIGHT OF WITHDRAWAL
In accordance with Article L. 121-20 of the French Consumer Code, “the consumer has a period of fourteen clear days to exercise their right of withdrawal without providing reasons or incurring penalties, except for return shipping costs, if applicable.” This period starts from the date of receipt of the products. To simplify exercising this right, GIACHELLO SARL requests Clients notify them by email at giachellosarl@gmail.com. Clients may indicate whether they prefer a refund or an exchange of the service.
When the right of withdrawal is exercised, GIACHELLO SARL undertakes to reimburse the Client for the total amount paid without undue delay and no later than 14 days from the date of receipt of the service.
Refunds are subject to all these conditions being met.

REFUNDS
Beyond the 14-day withdrawal period, the Esencia de Tango training is non-exchangeable, non-refundable, and non-transferable.

FORCE MAJEURE
GIACHELLO SARL is not liable for service interruptions caused by technical issues beyond their control (internet outages, non-functional equipment, etc.).
GIACHELLO SARL is not liable for failure to perform any contractual obligations due to force majeure. An alternative solution will be proposed to the Client.

PERSONAL DATA
The website collects personal data related to its Clients during the subscription process. This information is intended for processing subscriptions and training follow-ups. It is kept confidential by GIACHELLO SARL and will not be shared with third parties.
In compliance with the French Data Protection Act of January 6, 1978, amended by Law 2018-493 of June 20, 2018, and the General Data Protection Regulation (GDPR) effective since May 25, 2018, the Client has the right to access, rectify, delete, and transfer their data, as well as the right to restrict or oppose data processing. INTELLECTUAL PROPERTY AND COPYRIGHT
The Esencia de Tango training is an original concept created and developed by GIACHELLO SARL. Any reproduction or use without prior consent from GIACHELLO SARL is strictly prohibited and may result in legal action under Intellectual Property laws.
All training materials, regardless of their format (paper, digital, electronic, etc.), are protected by intellectual property and copyright laws. The Client agrees not to use, share, or reproduce any part of this material for organizing or delivering training sessions.
