Nearlly Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Nearlly ("the App"). The App and its services, including social networking, messaging, event discovery, posting local updates, and meetup planning, are provided by Team Nearlly ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the App.

By creating an account, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the App.

2. Eligibility and Parental Responsibility

You must be at least 18 years old to create an account and use the App. By using the App, you represent and warrant that you meet this age requirement and that you have the full legal capacity to enter into this agreement. If you are using the App on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

The App is not intended for individuals under 18 years of age. We do not knowingly collect personal information from individuals under 18. If a person under 18 years old uses the App, their parent(s) or legal guardian(s) are solely and entirely responsible for their activity, behavior, and any and all consequences, including but not limited to any physical, emotional, or financial harm. We are not responsible or liable for any use of the App by minors, regardless of how they gained access.

3. User Accounts and Responsibilities

• Account Creation: To use certain features of the App, you must register for an account and provide accurate, current, and complete information. You are solely responsible for all activities that occur under your account.

• Account Security: You are responsible for safeguarding your password and other account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

• Lawful Use: You agree to use the App only for lawful purposes and in accordance with these Terms. You are responsible for all your actions and content posted, uploaded, or transmitted through the App.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the App for any illegal purpose.

• Uploading or transmitting any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

• Harassing, intimidating, or impersonating any person or entity.

• Infringing upon the intellectual property rights of others.

• Introducing viruses, Trojan horses, or any other malicious code.

• Attempting to gain unauthorized access to the App's systems or other user accounts.

5. User-Generated Content and Event Disclaimer

• Responsibility for Content: You are solely responsible for all content you submit, post, or display on or through the App. We do not endorse or assume any liability for any user-generated content, including event descriptions, meetup plans, or local updates.

• App as a Platform Only: You acknowledge that Nearlly is merely a platform and a facilitator for communication between users. We are not responsible for, nor do we endorse or verify, the content, quality, safety, or legality of any events, meetups, or interactions between users that are discovered or planned through the App.

• Assumption of Risk: You understand and agree that attending any event or meetup or interacting with any user discovered through Nearlly is done at your own risk. We are not a party to any agreement or transaction between users. We do not supervise or control the actions or behavior of any users, hosts, or participants. We are not liable for any personal injury, death, property damage, or any other loss or harm that may result from or in connection with any user's conduct, or from any event or meetup.

6. Disclaimer of Warranties

THE APP AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, OR FROM ANY EVENT, MEETUP, OR INTERACTION PLANNED OR DISCOVERED THROUGH THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Nearlly and its affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the App, your violation of these Terms, or your violation of any third-party rights, or your participation in any event or meetup planned or discovered through the App.

9. Termination

We may suspend or terminate your account and access to the App at any time, for any reason or no reason, with or without notice. You may terminate your account by [e.g., following the instructions in the App's settings].

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Kerala, India, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the App or by other reasonable means. Your continued use of the App after such changes constitutes your acceptance of the new Terms.
