P.R.D (Public Relations Development) Association STATUTE by the Law 1901

PRD-Art.001: It is founded between the adherents to the present statutes of an association governed by the law August 16, 1901 and 1 decree of July 1901 for having the title: P.R.D (PUBLIC RELATIONS DEVELOPMENT) .

PRD-Art.002: P.R.D: (Public Relations Development) is an international organization, for general public interest, apolitical, which aims to: sponsor and defending ultimate relations between different communities around the world and civil liberties, political, sociology-economic and traditional opportunities under the universal statement of INTERNATIONAL P.R.D: (PUBLIC RELATIONS DEVELOPMENT) ORGANIZATION and increasing the level of family life, providing defense and well-being, job, shelter and a clean environment, according to international standards and fulfillment of the aspirations of human beings.

PRD-Art.003: P.R.D: (Public Relations Development) international organization REGISTERED OFFICE The head office is located in 03 allee des beeches, 78510 Triel-Sur-Seine France, but It may be transferring by simple decision of the board of Directors.

PRD-Art.004: The duration of the association is unlimited.

PRD-Art.005: The association is made up of active members or members. These are all natural or legal persons interested in the object of the association and adhering to the statutes and its rules of procedure. The members accede to an annual subscription fixed by the Assembly. They are, by right, members of the General Assembly with deliberative vote.

PRD-Art.006: The association is open to all, without condition or distinction. To be part of the association, it is necessary to be approved by the board of directors, which decides, at each of its meetings, on the requests of admission presented.

PRD-Art.007: CONTRIBUTIONS Active members are those who have made the commitment to pay annually a free sum of between 1m euros and 10 euros as contribution.

PRD-Art.008: Membership is lost by: b) Death; c) The cancellation pronounced by the board of directors for non-payment of the subscription or for serious motive, the interested party having been invited and notified by registered letter or by e-mail or by SMS message or via a social network to provide explanations in front of the office and / or in writing.

PRD-Art.009: The association PRD (Public Relations Development) may join other associations, unions or groups by decision of the Board of Directors for same objectives as partner.

PRD-Art.010: RESOURCES The resources of the association include: 1 The amount of entrance fees and dues; 2 Grants 3 Grants from the European Union, State, departments and communes. 4 All the resources made available by the laws and regulations in force.

PRD-Art.011: The ordinary general meeting includes all the members of the association for whatever reason. They meets at least once a year. At least fifteen days before the date fixed, the members of the association are convened by the secretary. The agenda is on the convocations. The chairman, assisted by the members of the board, presides over the meeting and explains the moral situation or the activity. The treasurer reports on his management and provides the financial statements (balance sheet, income statement and appendix) for approval by the treasurer. The General Assembly sets the amount of the annual membership fees and the entrance fee to be paid by the different categories of members Only the items on the agenda can be discussed Decisions are taken by majority vote of the members present or represented After the agenda has been exhausted, the outgoing members of the board are renewed. All deliberations are taken by show of hands, except for the election of the members of the board. The decisions of general meetings are binding on all members, including absent or represented.

PRD-Art.012: If necessary, or at the request of at least one of the members of the Board of Directors, the chairman may convene an extraordinary general meeting, in accordance with the conditions set out in these articles of association and only for the amendment of the articles of association or the dissolution. The procedure for convening is the same as for the ordinary general meeting. The deliberations are taken by a majority of the members present.

PRD-Art.013: The association is directed by a council of 3 members, elected for 1 year by the assembly members are eligible for re-election. In case of vacation, the council provisionally provides for the replacement of its members. They are finally replaced by the next general meeting. The powers of the members thus elected shall expire at the expiry of the term of the members replaced. The board of directors shall meet at least once every six months, at the call of the chairman, or their final replacement by the next general meeting. Decisions are taken by majority vote; in the event of a tie, the chairman has the casting vote.

PRD-Art.014: THE BOARD The board of director’s elects from among its members an office composed of:

1) A president

2) A vice-president

3) A secretary

4) A treasurer

The office prepares the meetings of the board of directors whose decisions he carries out and deals with day-to-day business in the interval between the meetings of the board of directors. The President is responsible for executing the decisions of the office and assisting the smooth running of the association; he represents the association in all acts of civil life and is vested with all powers to this effect. He goes to court on behalf of the association, both in demand and in defense. He may delegate this power, for a specific act, to another member of the Board of Directors. The Vice-President's main role is to assist the President in his duties. In order to divide powers between these two bodies, the Vice-President may also be assigned certain specific tasks reserved exclusively for him in the management and administration of the association. Regarding correspondence and archives. He drafts the minutes of the proceedings and transcribes them on the registers. He keeps the special digital register, provided by law, and ensures the execution of the prescribed formalities. The Treasurer is in charge of all that concerns the management of the patrimony of the association. I make payments and collect revenues under the supervision of the President. It keeps a regular accounting of all operations and reports to the annual General Assembly which decides on the management.

PRD-Art.015: ALLOWANCES all the functions, including those of the members of the board of directors and the office, are free and voluntary, only the expenses incurred by the fulfillment of their mandate are reimbursed on receipts. The financial report presented to the ordinary general meeting presents, by beneficiary, the reimbursements of expenses of mission, displacement or representation.

PRD-Art.016: RULES OF PROCEDURE An internal regulation may be established by the board of directors, which then makes it approved by the general meeting. This possible regulation is intended to fix the various points not provided for by the present statutes, in particular those which have relates to the internal administration of the association.

PRD-Art.017: DISSOLUTION In the event of dissolution in accordance with the terms set out in Article 12, one or more liquidators shall be appointed, and the net assets, if any, shall be vested in an organization with a non-profit or non-profit purpose. Association with similar goals in accordance with the decisions of the extraordinary general meeting which decides on the dissolution. The net assets cannot be vested in a member of the association, even partially, except taking back a contribution.
