Welcome to Poison Records ("we," "our," "us," or the "Label"). By accessing our website, submitting your music to our roster, or utilizing our distribution and digital infrastructure services, you ("Artist," "Licensor," "User," or "You") agree to comply with and be bound by the following comprehensive Terms of Service. Please read these terms carefully before submitting any materials or engaging with our platform.
1. ACCEPTANCE OF TERMS
By accessing the Poison Records website, submitting information through our digital intake forms, or utilizing any services provided by Poison Records, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms of Service. If you do not agree to all of these terms, you are strictly prohibited from using our website or services.
2. ARTIST RIGHTS AND OWNERSHIP (THE 100% POLICY)
Poison Records operates on a strict artist-first independence model.
Retention of Rights: You, the Artist, retain one hundred percent (100%) of your master rights, publishing rights, copyright ownership, and intellectual property associated with all musical compositions, sound recordings, artwork, visual assets, and associated media submitted to or distributed via Poison Records.
100% Earnings: Poison Records claims zero percent (0%) of your royalties, streaming revenues, synchronization fees, or financial earnings generated from your catalog. All profits, payouts, and financial proceeds resulting from the commercial exploitation or streaming of your music belong exclusively to you.
Our Role: Poison Records acts solely as an operational and logistical facilitator to upload, manage, and coordinate your music distribution to digital service providers (DSPs). We do not purchase, assign, transfer, or encumber your artistic property in any capacity.
3. SUBMISSIONS AND ROSTER ONBOARDING
Submission Process: Artists seeking to join the Poison Records roster must submit accurate information through our designated digital channels (including web forms and official communication protocols).
Review Period: Submitted materials are subject to review by our internal crew. The standard evaluation period ranges from two (2) to twenty-four (24) hours, though high volumes of submissions may occasionally cause brief delays.
Right of Refusal: Poison Records reserves the right to accept or reject any artist submission, track, or project at its sole discretion, without providing detailed justification, financial compensation, or recourse.
4. USER CONDUCT AND WEBSITE USAGE
You agree to use the Poison Records website and associated digital touchpoints strictly for lawful purposes. You shall not:
Transmit any malicious code, viruses, worms, malware, or destructive software through our contact points or embedded systems.
Attempt to gain unauthorized access to our internal databases, administrative dashboards, or roster infrastructure.
Impersonate any artist, representative, or affiliate of Poison Records or submit fraudulent credentials during the onboarding process.
Engage in any behavior that disrupts, overloads, or impairs the functionality of our web presence or digital tools.
5. INTELLECTUAL PROPERTY OF THE LABEL
All visual elements, layout designs, code structures, branding, logos, trademarks, and text content displayed on the Poison Records website are the exclusive property of Poison Records and are protected under international copyright and trademark laws. Unauthorized reproduction, duplication, or commercial exploitation of the Label's brand identity is strictly prohibited.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Poison Records, its founders, affiliates, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, data, audio files, goodwill, or business interruption—arising out of or in connection with your use of our website, distribution delays, or platform downtime, even if advised of the possibility of such damages.
7. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Poison Records and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or any third-party claims regarding copyright infringement or ownership disputes originating from the audio or visual assets you submit.
8. MODIFICATIONS TO TERMS
Poison Records reserves the right to modify, amend, or update these Terms of Service at any time without prior notice. Continued use of our website or services following any modifications constitutes your formal acceptance of the revised terms.
9. GOVERNING LAW
These Terms of Service shall be governed by and construed in accordance with applicable local and international digital commerce regulations, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be resolved exclusively through direct negotiation or standard digital arbitration.
