PERFECT TENANT INNOVATION TERMS OF SERVICE

These Terms of Service, also referred to as Terms, govern your access to and use of the Perfect Tenant Innovation mobile application, web platforms, and related services, collectively referred to as the Services. By accessing or using PTI, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Introduction and Acceptance

Perfect Tenant Innovation, also referred to as PTI, we, our, or us, provides technology platforms that support housing operations, tenant engagement, maintenance coordination, and optional wellness-related tools. These Terms constitute a legally binding agreement between you and PTI.

By accessing or using the Services, you represent that you are at least 18 years old, have the legal capacity to enter into this agreement, agree to be bound by these Terms, and agree to comply with all applicable laws and regulations.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

PTI is a technology platform that facilitates housing-related workflows, including tenant engagement and communication tools, maintenance coordination and service provider matching, optional tenant screening integrations, payment processing through third-party providers, rewards and incentive programs, community and social features, and optional wellness-related tools.

PTI does not own, manage, lease, or inspect properties. PTI does not make housing decisions or determinations. PTI does not guarantee rental outcomes. PTI does not act as a landlord, property manager, or housing authority. PTI does not provide legal, financial, or housing advice.

PTI is a technology facilitator that provides tools and platforms. All housing decisions, property management, and service provision are made independently by landlords, tenants, and service providers.

3. Eligibility and Accounts

Age Requirement

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age.

Account Creation

To use certain features, you must create an account. You agree to provide accurate, current, and complete information, maintain and update your information to keep it accurate, maintain the security of your account credentials, notify PTI immediately of any unauthorized access, and be responsible for all activity under your account.

Account Security

You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, ensuring that anyone using your account complies with these Terms, and notifying PTI immediately of any security breach. PTI is not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Roles

The Services support different user roles.

Tenant Users

Tenant users are individuals seeking or occupying rental housing. Tenants may create profiles and submit applications, participate in optional rewards programs, request maintenance services, communicate with landlords and service providers, and use optional wellness features with separate consent.

Landlord Users

Landlord users are property owners or managers. Landlords may access tenant screening results in summary form, coordinate maintenance requests, communicate with tenants and service providers, and manage property information. Landlords make independent housing decisions. PTI does not influence, guarantee, or control landlord decisions.

Service Provider Users

Service Provider users are independent contractors who offer maintenance or repair services. Service providers are independent contractors, not employees of PTI, set their own rates and terms, are responsible for their own licensing, insurance, and compliance, and operate independently of PTI. PTI is not responsible for service provider actions, quality of work, or compliance with laws.

5. Acceptable Use

You agree not to misuse the Services.

Prohibited Activities

Providing false, misleading, or inaccurate information. Impersonating others or misrepresenting your identity. Harassing, abusing, or threatening other users. Discriminating against users based on protected characteristics. Violating any applicable laws or regulations. Attempting to access accounts, data, or systems without authorization. Interfering with platform operations, security, or functionality. Sending unsolicited communications or spam. Engaging in fraudulent activity or misrepresentation. Violating fair housing laws or regulations. Attempting to reverse engineer, decompile, or disassemble the Services. Scraping, crawling, or data mining without authorization.

Violations

Violation of these Terms may result in immediate suspension or termination of your account, legal action, reporting to law enforcement, and other remedies available under law.

6. Tenant Screening and Background Checks

Screening Services

PTI may facilitate access to third-party screening services through verified providers including Checkr, TransUnion, and RentPrep. Screening may include criminal background checks, credit reports and scores, eviction history, employment verification, and identity verification.

Landlord Decisions

Landlords make independent housing decisions based on screening results. PTI does not guarantee rental outcomes. PTI does not make housing determinations. PTI does not influence landlord decisions. PTI does not provide housing advice.

Authorization

By submitting an application, you authorize screening in compliance with the Fair Credit Reporting Act, collection and use of information for screening purposes, sharing of screening results with landlords in summary form only, and retention of screening records as required by law.

Screening Results

Screening results are provided as is. PTI does not verify or guarantee accuracy of third-party screening data. You may dispute inaccurate information through the screening provider. PTI is not responsible for screening provider errors or delays.

7. Payments and Fees

Payment Processing

Payments are processed by third-party providers, including Stripe. PTI does not store full payment card information. PTI uses tokenized payment methods for security. PTI relies on third-party payment processors for security and compliance.

Fees

You agree to pay applicable fees associated with your use of the Services, including service fees if applicable, background check fees charged by third-party providers, payment processing fees, and other fees disclosed at the time of service.

Refunds

Refunds are subject to service-specific policies. Background check fees are generally non-refundable once processing begins. Service fees are subject to specific service terms. Payment processing fees are non-refundable. Contact support for refund requests.

Payment Disputes

Payment disputes should be directed to PTI support for service-related issues, your payment provider for payment processing issues, and the service provider for service quality issues.

8. Rewards and Incentives

Voluntary Participation

PTI may offer optional rewards and incentive programs to encourage engagement. Participation is completely voluntary, does not affect rent, lease renewal, housing eligibility, or services, does not create any obligation or requirement, and does not influence landlord decisions.

Program Modifications

PTI may modify rewards programs at any time, discontinue rewards programs with notice, change reward values, eligibility, or terms, and limit rewards availability.

No Retaliation

PTI prohibits use of platform data to pressure tenants to participate in rewards programs, penalize tenants for non-participation, retaliate against tenants for exercising their rights, or discriminate based on participation status.

Rewards Terms

Rewards are subject to separate terms and conditions. Rewards may have expiration dates. Rewards are non-transferable unless otherwise stated. PTI reserves the right to verify eligibility.

9. User Content and License

Your Content

You retain ownership of content you submit to the Services, including profile information, photos and images, messages and communications, reviews and feedback, and other user-generated content.

License to PTI

By submitting content, you grant PTI a limited, non-exclusive, worldwide, royalty-free license to use, store, and display your content solely to operate and improve the Services, share your content with other users as necessary for Services functionality, and use your content for analytics and service improvement, anonymized where possible. This license is limited to operating the Services, does not grant PTI ownership of your content, and terminates when you delete your content subject to retention requirements.

Your Representations

You represent and warrant that you have the right to grant this license, your content does not violate any third-party rights, your content complies with these Terms and applicable laws, and your content is accurate and not misleading.

Content Removal

PTI may remove content that violates these Terms, violates applicable laws, infringes third-party rights, is harmful, offensive, or inappropriate, or is reported by other users.

10. Intellectual Property

PTI’s Intellectual Property

The Services, including software, code, technology, trademarks, logos, brand names, content, designs, layouts, documentation, and materials, are owned by PTI or its licensors and are protected by intellectual property laws.

Limited License

PTI grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes and use PTI content as necessary to use the Services. This license does not grant ownership, prohibits copying, modifying, or distributing PTI content, prohibits reverse engineering or creating derivative works, and terminates upon termination of your account.

Restrictions

You may not copy, modify, or distribute PTI’s intellectual property, use PTI trademarks or logos without permission, reverse engineer or decompile the Services, remove copyright or proprietary notices, or create derivative works based on the Services.

11. Third-Party Services

Third-Party Providers

PTI uses third-party services to provide the Services, including Firebase for authentication, database, analytics, and crash reporting, Stripe for payments, LiveKit for social audio rooms, background check providers including Checkr, TransUnion, and RentPrep, and other service providers as necessary.

Third-Party Terms

Your use of third-party services is subject to third-party terms of service, privacy policies, and limitations. PTI is not responsible for third-party service availability, actions or decisions, errors or delays, or compliance with laws.

Third-Party Links

The Services may contain links to third-party websites or services. PTI does not endorse third-party websites or services and is not responsible for their content or practices. PTI recommends reviewing third-party terms and privacy policies.

12. Data and Privacy

Privacy Policy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you also agree to our Privacy Policy.

Data Collection

PTI collects and uses information as described in the Privacy Policy, including account and profile information, usage and analytics data, communications and content, and sensitive information for screening purposes.

Data Security

PTI implements security measures to protect your information, but no system is 100 percent secure. PTI cannot guarantee absolute security. You are responsible for protecting your account credentials.

Data Retention

PTI retains information as described in the Privacy Policy and as required by law. Some information may be retained for legal compliance, service functionality, and as required by applicable laws.

13. Disclaimers

Services Provided As Is

The Services are provided as is and as available without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness.

No Guarantees

PTI does not guarantee uninterrupted or error-free service, specific outcomes or results, accuracy of third-party information, availability of features or services, or compatibility with all devices or systems.

Independent Actions

Landlords act independently and make their own decisions. Service providers are independent contractors. Third-party services operate independently. PTI is not responsible for their actions or decisions.

No Housing Advice

PTI does not provide legal advice, financial advice, housing advice, or property management advice. Consult qualified professionals for advice.

14. Limitation of Liability

Liability Cap

To the maximum extent permitted by law, PTI’s total liability for any claims arising out of or related to the Services is limited to the amount paid by you to PTI in the twelve months preceding the claim.

Excluded Damages

PTI is not liable for indirect, incidental, or consequential damages, lost profits, revenue, or data, business interruption, emotional distress, or punitive damages except where prohibited by law.

Exceptions

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, PTI’s liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless PTI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses including legal fees arising out of your use of the Services, your violation of these Terms, your violation of any third-party rights, your content or conduct, and your interactions with other users. This obligation survives termination.

16. Dispute Resolution

Informal Resolution

You agree to attempt informal resolution before initiating a formal claim. Contact PTI support at [perfecttenantinnovation@gmail.com](mailto:perfecttenantinnovation@gmail.com), describe the dispute in detail, and allow 30 days for resolution.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration. Arbitration will be conducted by a neutral arbitrator in accordance with applicable rules and will take place in Montgomery, Alabama, or as agreed. You waive the right to a jury trial except where prohibited by law.

Exceptions

Disputes not subject to arbitration include disputes that may be resolved in small claims court, disputes seeking injunctive relief, and disputes where arbitration is prohibited by law.

Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or consolidated proceeding.

17. Termination

Termination by You

You may delete your account at any time by going to Settings, Account, Delete Account and following the deletion process. Some information may be retained as required by law.

Termination by PTI

PTI may suspend or terminate your account for violation of these Terms, violation of laws, misuse of Services, fraudulent activity, or any other reason at PTI’s discretion.

Effect of Termination

Upon termination, your right to use the Services ceases immediately. Your account access will be terminated. Some information may be retained as required by law. Provisions that survive termination will continue to apply.

18. Service Modifications

PTI reserves the right to modify the Services at any time, suspend the Services for maintenance or updates, discontinue features or services with notice, and change functionality, design, or availability. PTI is not obligated to maintain specific features and may modify Services without prior notice except for material changes where notice is possible.

19. Force Majeure

PTI is not liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, acts of God, government actions, internet failures, telecommunications failures, cyberattacks, security breaches, or other events beyond PTI’s reasonable control.

20. Changes to Terms

Updates

PTI may update these Terms to reflect changes in Services, comply with legal requirements, or improve clarity.

Notice of Changes

Material changes will be communicated through email, in-app notification, or posting on our website.

Acceptance

Continued use after changes constitutes acceptance. If you do not agree, stop using the Services, delete your account, and contact PTI with concerns.

21. Severability

If any provision is found unenforceable or invalid, it will be modified to be enforceable to the maximum extent possible or severed if modification is not possible. All other provisions remain in effect.

22. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and PTI regarding the Services, superseding all prior agreements. They may not be modified orally and may only be modified in writing as described herein.

23. Assignment

PTI’s Right to Assign

PTI may assign these Terms to an affiliate, successor, or acquirer of PTI’s business or assets.

Your Right to Assign

You may not assign these Terms without PTI’s prior written consent. Any attempted assignment is void.

24. Waiver

PTI’s failure to enforce any provision does not waive the right to enforce it later or enforce other provisions. Waivers must be in writing and signed by PTI.

25. Notices

Notices to You

PTI may provide notices by email, in-app notification, or posting on our website.

Your Responsibility

You are responsible for keeping your email current, checking notices regularly, and notices are deemed received when sent.

26. Export Control

The Services are subject to United States export control laws. You agree to comply with export laws, not export to prohibited countries, and not use the Services in violation of restrictions.

27. Governing Law

These Terms are governed by the laws of the State of Alabama and applicable United States federal law, without regard to conflict of law principles. Any legal action will be brought in Montgomery County, Alabama, or the United States District Court for the Middle District of Alabama.

29. Acknowledgment

By using the Perfect Tenant Innovation Services, you acknowledge that you have read these Terms of Service, understand these Terms of Service, agree to be bound by these Terms of Service, and agree to comply with all applicable laws and regulations. If you do not agree, you must not access or use the Services.
