This agreement ("terms") outlines the conditions governing your usage of the website at Nemo Video (the "site") and its services (collectively, the "services"). These terms constitute a binding legal agreement between you and Nemo Video regarding your access to and use of the services. If you disagree with any portion of these terms, please refrain from accessing or using the site, services, or any information contained therein. Your use of the site and/or services signifies your agreement to comply with each term outlined below. We reserve the right to modify content and services at any time by posting updated terms on the site and notifying registered users via email. We may also restrict features or limit access without prior notice. If you continue using the site or services after changes are implemented, you are deemed to have accepted these modifications. If changes are unacceptable, you should discontinue use of the site or services.
Nemo Video may, at its sole discretion, decline to provide services to any individual or entity and modify eligibility criteria at any time. This provision is void where prohibited by law, and access rights are revoked in such jurisdictions. Use of the services is also subject to Nemo Video's privacy policy, available at https://sites.google.com/view/nemovideo-privacy-policy/home?authuser=1, which is incorporated into these terms by reference. The services are available only to natural persons, including those acting as authorized representatives of legal entities.
You affirm that you are of legal age to enter into these terms, or if not, that you have obtained parental or guardian consent. If accepting these terms on behalf of an entity, you confirm having the authority to bind that entity, in which case "you" and "your" will refer to that entity as well as yourself. If you disagree with these terms, you may not use the site or other services.
Services and Registration
Nemo Video employs artificial intelligence systems to create digital content generated by users through the Services (such content, "Assets"). To access the Services, site registration is required. Multiple membership tiers are available: a no-cost option ("Free Tier") and various paid subscription options. Free Tier users have restricted rights, while paid subscription users receive rights corresponding to their selected tier. During registration, you'll create a profile including your username, email, and optional personal information. Upon successful registration, you become a Website Member and agree to abide by the current Terms. All Services are licensed, not sold. Each user must maintain a unique account and is responsible for all account activity. Except for business or enterprise users, you must not share your account credentials or access with others. Violation of these Terms may result in immediate termination of your service rights, and Nemo Video reserves the right to ban you and any identifiers associated with your account.
Transfer of Personal Information
We process and store information in the United States and other countries. By using our Services, you authorize Nemo Video to transfer your personal information across national borders and to countries where Nemo Video and its partners operate.
Links to Third Party Sites
The Site may include hyperlinks to websites not controlled by Nemo Video. You acknowledge that Nemo Video is not responsible for and does not endorse the content or use of these websites, including their information accuracy, reliability, or statements made therein. You understand that such third-party sites and services are governed by separate agreements, and you agree to be bound by those terms. Your interactions with entities promoted through the Services, including payment, delivery, and associated terms, are solely between you and that entity. You agree that Nemo Video bears no responsibility for losses or damages resulting from such dealings or from the promotion of such entities through the Services.
Fees and Payments
Nemo Video offers both free and paid Services. Information about paid subscriptions is available on the Site or by contacting adam@nemovideo.com. You may subscribe monthly with payments in U.S. dollars automatically renewing based on your chosen plan. You can discontinue service and cancel your subscription anytime through the website or by emailing Nemo Video at adam@nemovideo.com if you run into problems with the website. Credits shall remain valid for 180 days from the date of issuance. No refunds or credits will be provided for amounts already paid if you cancel or if Nemo Video terminates your service rights due to terms violations. Nemo Video may change prices at any time, but for subscribers, pricing changes won't apply until your next renewal or thirty (30) days after notification, whichever occurs later.
Taxes
Unless otherwise indicated, subscription fees ("Fees") exclude federal, state, local, and foreign taxes, duties, and similar assessments ("Taxes"). You are responsible for all Taxes related to your subscription, and Nemo Video may invoice you accordingly. You agree to promptly pay such Taxes and provide Nemo Video with payment documentation or additional evidence as reasonably required. If any Fee payment becomes past due, Nemo Video may suspend your service access after providing written late payment notice. Creating multiple accounts to benefit from the Free Tier is prohibited. If Nemo Video determines you're not using the Free Tier in good faith, standard fees may be charged or your service access terminated.
Licensing Terms
6.1 Nemo Video Moderation Policy
All Service usage, regardless of subscription tier, must comply with Nemo Video's Moderation Policy. Non-compliance constitutes a breach of license grants under these Terms, and Nemo Video reserves its rights to pursue legal remedies for such breaches.
6.2 Subscription License
Subject to your compliance with these Terms, applicable laws, and other limitations, Nemo Video grants you a non-exclusive, limited, non-transferable, non-sublicensable, non-assignable, revocable license to access and use the Services for business or personal purposes within the limitations of your subscription tier. You own your original content in Assets created with the Services, and Nemo Video assigns to you all copyright rights it may have in your original content, with these restrictions:
(i) Assets cannot be used to train artificial intelligence models, systems, networks, or similar technology; and
(ii) all Asset usage remains subject to limitations in the Nemo Video Moderation Policy. Violating these restrictions will immediately terminate this Agreement, reverting all rights to Nemo Video. You must cease all Asset use and, upon request, return or destroy any Asset copies. These restrictive obligations survive termination or expiration of these Terms.
6.3 Community Assets
Nemo Video may provide certain Assets owned or licensed by Nemo Video as part of the Services ("Community Assets"). Subject to your compliance with these Terms, conditions herein, applicable laws, and other limitations, Nemo Video grants you a non-exclusive, limited, non-transferable, non-sublicensable, non-assignable license to use Community Assets for personal or commercial purposes. Nemo Video may use Community Assets, including any modifications, to train Nemo Video models or systems.
6.4 Reservation of Rights
Nemo Video reserves all rights not expressly granted under these Terms.
6.5 Licenses to Nemo Video
By using the Services, you grant Nemo Video and its successors and assigns a perpetual, worldwide, non-exclusive, sublicensable, fully paid, royalty-free, irrevocable license to use, copy, reproduce, process, adapt, modify, publish, transmit, prepare derivative works of, publicly display, publicly perform, sublicense, or distribute text prompts and images you input into the Services or Assets produced at your direction, solely as necessary for Nemo Video to:
(i) provide, maintain, promote, and improve the Services, or
(ii) comply with applicable law and enforce Nemo Video policies. You agree this license is provided in exchange for your license to use the Services, not for monetary compensation, as your Service usage constitutes sufficient compensation for these rights. These licenses to Nemo Video survive termination or expiration of these Terms.
Member Responsibilities and Restrictions
7.1 Rules and Conduct
As a usage condition, you agree not to use the Services for purposes prohibited by these Terms. For example, you shall not (and shall not permit any third party to) take any action (including using the Site, Assets, or Nemo Video models or derivatives) that:
(i) violates applicable laws, rules, or regulations;
(ii) infringes intellectual property, privacy, publicity, or other rights;
(iii) is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of privacy, tortious, obscene, offensive, furthering self-harm, or profane;
(iv) creates Assets exploiting or depicting child exploitation or abuse;
(v) generates or disseminates verifiably false information intended to harm others;
(vi) impersonates others;
(vii) generates or disseminates personally identifying information;
(viii) creates Assets implying or promoting terrorist organization support; or
(ix) creates Assets condoning or promoting violence against legally protected categories.
Members are solely responsible for all Member content including prompts entered into the Site or Services and represent, warrant, and covenant that they own or hold valid licenses for any content uploaded or input into the Site or Services.
7.2 Restrictions
Additionally, you shall not (directly or indirectly):
(i) impose unreasonable loads on Nemo Video's infrastructure;
(ii) interfere with Services operations;
(iii) bypass access restriction measures;
(iv) extract data except through authorized APIs;
(v) reverse engineer non-open source code components;
(vi) develop competing products;
(vii) use automated methods to access Services, generate Assets, or extract data;
(viii) reproduce, duplicate, sell, or exploit any portion of the Site or Services without permission; or
(ix) use Assets to train AI models or systems. Automated systems that exceed normal human usage rates are prohibited, though public search engines may index materials with permission. Nemo Video forbids reverse-engineering, protocol exploration, or system testing without authorization, including network monitoring tools or penetration testing.
7.3 Asset Uses
You are solely responsible for:
(i) content, images, text, or prompts entered into the Services; and
(ii) personal, private, or commercial uses of Assets. You must secure all necessary clearances, rights, permissions, or licenses for content or prompts and Asset usage. Nemo Video has no obligation to monitor your Service or Asset usage or notify you of restrictions. All Asset use is at your own risk.
7.4 Ownership
You acknowledge that all intellectual property rights in the Services, Site, and Nemo Video Assets belong to Nemo Video or its licensors. These Terms don't transfer any rights except those expressly granted. Nemo Video reserves all rights not specifically granted, with no implied licenses. All Nemo Video logos and designations are trademarks of Nemo Video or its licensors. Other trademarks are property of their respective owners and cannot be used without permission. Certain features of Nemo Video's products may be protected under patent applications or other intellectual property rights.
7.5 Copyright Infringement Claims
Nemo Video respects intellectual property rights. Assets may unintentionally resemble copyrighted material. The Digital Millennium Copyright Act (DMCA) provides recourse for copyright owners who believe online material infringes their rights. If you believe Services materials infringe your copyright, you may request removal or blocking. If you believe someone wrongly filed an infringement notice against you, you may send a counter-notice. Notices must meet DMCA requirements (see http://www.copyright.gov/). 7.6 Feedback
You grant Nemo Video a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use any suggestions, enhancement requests, recommendations, or other feedback related to the Service ("Feedback"). Nemo Video will treat Feedback as non-confidential and non-proprietary. You agree not to submit confidential or proprietary information.
7.7 Term and Termination
These Terms remain effective while you use the Services. Nemo Video may terminate your access for non-compliance, potentially destroying account information and Assets. Either party may terminate Services upon written notice or, for Members, by ceasing Service use. To terminate your account, follow instructions on the Services. Termination may involve deletion of your Assets, for which Nemo Video bears no liability. Fees are non-refundable. Upon termination, all your rights and licenses end immediately, though provisions that should naturally survive will continue, including disclaimers, indemnity, and liability limitations.
7.8 Disclaimers
Nemo Video makes no representations or warranties regarding site quality, suitability, accuracy, or completeness of information or results obtained from site use. To the maximum extent legally permitted, the site, services, materials, submissions, content, assets, and information are provided "as is," "as available," and "where-is" with no warranty of merchantability, fitness for purpose, or non-infringement. Nemo Video provides no warranties against viruses, spyware, malware, or service availability.
7.9 Indemnity
You agree to defend, indemnify, and hold harmless Nemo Video, its affiliates, and their respective officers, directors, employees, contractors, agents, suppliers, licensors, and representatives from liabilities, losses, claims, and expenses (including attorney fees) arising from:
(i) your use or misuse of Services or Assets;
(ii) third-party claims that your Assets, prompts, or data sources infringe intellectual property or proprietary rights; or
(iii) your violation of these Terms or laws. Nemo Video reserves the right to assume defense control at your expense, and you agree to cooperate. You cannot settle claims without Nemo Video's written consent. Nemo Video will reasonably attempt to notify you of claims upon discovery.
Limitations of Liability
8.1 Disclaimer of Consequential Damages
Nemo Video shall not be liable for damages resulting from displaying, copying, downloading, or using materials, content, or assets. You understand that Nemo Video shall not be liable for lost profits, revenue, data, indirect, incidental, special, or consequential damages arising from service use or substitute goods procurement, regardless of whether Nemo Video was advised of such possibility.
8.2 Limitation of Direct Damages
Our liability for damages is limited to the greater of fifty US dollars (U.S. $50) or the amount you paid Nemo Video in the six months preceding the claim event. Some jurisdictions don't permit consequential damage exclusions, so limitations may not fully apply.
8.3 Allocation of Risk and Material Term
This liability limitation section survives agreement termination. These provisions allocate risks between parties and are fundamental to the agreement. Fees reflect this risk allocation, and limitations apply notwithstanding remedy failures and to the fullest legal extent.
8.4 Governing Law
This Agreement is governed by California law as applied to agreements between California residents performed entirely within California, without regard to conflict of law principles. In disputes arising from this Agreement, the prevailing party may recover costs including reasonable attorney fees. The UN Convention on Contracts for International Sale of Goods is excluded. Emergency injunctive relief may be sought in any competent jurisdiction. Other disputes shall be subject to California State Courts in San Francisco County or the US District Court for Northern California, with parties submitting to exclusive jurisdiction and venue and waiving forum non conveniens defenses, except that in judgment enforcement actions, personal jurisdiction shall be non-exclusive.
General Provisions
9.1 Electronic Communications
Site information constitutes electronic communication. By communicating through the Site or email, you're engaging electronically with Nemo Video. You agree that Nemo Video may communicate by email and/or site postings, and that such communications, including notices, disclosures, and agreements, are equivalent to written communications with the same force and effect. Notices to Nemo Video must be sent to addresses specified in these Terms or to adam@nemovideo.com.
9.2 Force Majeure
Neither party is liable for breaches arising from uncontrollable circumstances (including acts of god, fire, casualty, flood, pandemic, epidemic, war, labor disputes, governmental action, internet failure, telecommunications or infrastructure failures), provided prompt notification occurs. If performance is affected for over thirty days, the unaffected party may terminate this Agreement immediately with written notice.
9.3 Entire Agreement
These Terms, including the Privacy Policy and incorporated terms, constitute the complete agreement between you and Nemo Video regarding Service use. Failure to exercise any right doesn't waive it. Section titles are for convenience only. Invalid provisions will be modified to be enforceable while maintaining original intent, while other provisions remain unaffected. These Terms create no employee-employer, agency, partnership, or joint venture relationship. You cannot assign, subcontract, delegate, or transfer these Terms without Nemo Video's written consent. Nemo Video may assign its rights and obligations without your consent. Terms bind assignees.
9.4 Notices
Except as otherwise stated, all notices must be in writing and are deemed received when personally delivered, when receipt is electronically confirmed, or two days after sending via overnight delivery service.
