Introduction

These Mobile Application Standard Terms and Conditions written on this webpage shall manage your use of our mobile application, MyNexus accessible at MyNexus.

These Terms will be applied fully and affect your use of this Mobile Application. By using this Mobile Application, you agreed to accept all terms and conditions written in here. You must not use this Mobile Application if you disagree with any of these Mobile Application Standard Terms and Conditions. Fees and payment; Responsibility for usage charges

Access to and use of MyNexus itself is free, but we do offer additional features that require fees. MyNexus reserves the right to charge fees for certain features. We will notify you when we intend to charge for a service or feature. You will always have the choice whether to use those features. If you continue to use any service or feature after you have been notified of any applicable fees, that use constitutes your acceptance of any new or increased fees.

Through MyNexus, you may be able to access and use products or services operated by other individuals or companies who are not employed or controlled by MyNexus (such as, a payment platform to request and/or make payments). If you use any of these products or services, you must review and agree to the additional terms and conditions and privacy policy, as well as pay any applicable fees required to use those products. Any information you agree to provide will be governed by that business' privacy policy.

Note that, by using the Services, you may receive email or text messages on your phone or mobile device, which may cause you to incur usage charges or other fees or costs in accordance with your wireless or data service plan. Any and all such charges, fees, or costs are your sole responsibility. You should consult with your wireless carrier to determine what rates, charges, fees, or costs may apply to your use of the Services.

Registration and security

As a condition to using Services, you may be required to register with MyNexus by selecting a password and providing your name and a valid email address. You will provide MyNexus with accurate, complete, and updated registration information. You may not select or use the name or email of another person with the intent to impersonate that person; or use a name subject to any rights of any person other than you without appropriate authorization.

MyNexus reserves the right to refuse registration of or to cancel a MyNexus account in its sole discretion. You will be responsible for maintaining the confidentiality of your account and password. You may not transfer your account to anyone without express prior written consent of MyNexus. Violation of any of the foregoing may result in immediate termination of your account, revocation of your ability to use the Services, and may subject you to state and federal penalties and other legal consequences. MyNexus reserves the right, but will have no obligation, to investigate your use of the Services in order to determine whether a violation of the Agreement has occurred or to comply with any applicable law, regulation, legal process or governmental request.

Intellectual Property Rights

Other than the content you own, under these Terms, MyNexus and/or its licensors own all the intellectual property rights and materials contained in this Mobile Application.

You are granted limited license only for purposes of viewing the material contained on this Mobile Application.

Restrictions

You are specifically restricted from all of the following: publishing any Mobile Application material in any other media; selling, sublicensing and/or otherwise commercializing any Mobile Application material; publicly performing and/or showing any Mobile Application material; using this Mobile Application in any way that is or may be damaging to this Mobile Application; using this Mobile Application in any way that impacts user access to this Mobile Application; using this Mobile Application contrary to applicable laws and regulations, or in any way may cause harm to the Mobile Application, or to any person or business entity; engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Mobile Application; using this Mobile Application to engage in any advertising or marketing.

Certain areas of this Mobile Application are restricted from being accessed by you and MyNexus may further restrict access by you to any areas of this Mobile Application, at any time, in absolute discretion. Any user ID and password you may have for this Mobile Application are confidential and you must maintain confidentiality as well.

Your Content

In these Mobile Application Standard Terms and Conditions, "Your Content" shall mean any audio, video text, images or other material you choose to display on this Mobile Application. By displaying Your Content, you grant MyNexus a non-exclusive, worldwide irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your Content must be your own and must not be invading any third-party’s rights. MyNexus reserves the right to remove any of Your Content from this Mobile Application at any time without notice.

Your Privacy

No warranties

This Mobile Application is provided "as is," with all faults, and MyNexus express no representations or warranties, of any kind related to this Mobile Application or the materials contained on this Mobile Application. Also, nothing contained on this Mobile Application shall be interpreted as advising you.

Limitation of liability

In no event shall MyNexus, nor any of its officers, directors and employees, shall be held liable for anything arising out of or in any way connected with your use of this Mobile Application whether such liability is under contract. MyNexus, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Mobile Application.

Indemnification

You hereby indemnify to the fullest extent MyNexus from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

MyNexus is permitted to revise these Terms at any time as it sees fit, and by using this Mobile Application you are expected to review these Terms on a regular basis.

Assignment

The MyNexus is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between MyNexus and you in relation to your use of this Mobile Application, and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the State of US, and you submit to the non-exclusive jurisdiction of the state and federal courts located in us for the resolution of any disputes.
