CERTIFICATE OF ASSOCIATION


OF THE


Middle Cumberland Association of School Librarians



KNOW ALL MEN BY THESE PRESENTS that this Certificate of Association is entered into on the 3 day of November 2022, as evidenced by a majority vote of the Members of this Association reflected in the minutes of this Association on the date aforesaid and as further evidenced by the signature of the President of this Association on the aforesaid date.


NAME OF ASSOCIATION: The name of this Association shall be Middle Cumberland Association of School Librarians (MCASL).



ADDRESS OF ASSOCIATION: The address of this Association shall be the address of the sitting President of this Association as reflected in the minutes of this Association at the first meeting of this Association each calendar year.


PURPOSE OF ASSOCIATION: The purposes of this Association shall be as follows:


1. To join together at meetings and at such other locations as the Association may so choose for the mutual society, enjoyment, pleasure and recreational interests of the Membership of this Association within the meaning of Section 501(c)(7) of the Internal, Revenue Code.


2. To engage in activities, plan and take trips, and to organize and attend programs of mutual interest to and for the mutual enjoyment, pleasure and recreation of the Membership of this Association which may include, but shall not be limited to: programs and events pertaining to issues of interest to librarians, and to those who work or have worked in the field of education.


3. To associate with other persons or the membership of other associations including, but not limited to: the Kentucky Association of School Librarians and other associations or educators who share similar social and recreational interests to the Membership of this Association when the Membership of this Association, by majority vote, so chooses


DURATION OF ASSOCIATION: The duration of this association shall be perpetual or until the Membership of this Association, by majority vote, chooses to dissolve this Association, whichever shall first occur.


MEMBERSHIP: The Membership of this Association shall include all persons who share the purposes set forth herein and who comply with such other rules governing membership as the Membership of this Association may establish from time to time by majority vote. This Association shall not discriminate in its Membership based upon race, religion, sexual orientation, disability or national origin.


OFFICERS: The officers of this Association shall be those elected by a majority vote of the Membership of this Association at such intervals as the Membership of this Association, by majority vote, deems appropriate. No officer of this Association shall be compensated for his/her service.


EMPLOYEES: This Association shall not have any employees.


FINANCES: The primary source of income of this Association shall be from the payments of dues as determined by majority vote of the Membership of this Association and from such other contributions or bequests from the Membership of this Association as may accrue to its benefit. No more than 35% of this Association’s annual gross receipts shall be derived from non-member sources. No contribution to this Association shall qualify as tax deductible.


ACTIVITIES AND OPERATING PROCEDURES: The activities and affairs of this Association shall be decided by a majority vote of its Membership when deemed necessary or appropriate. Those activities shall include, but not be limited to: matters related to dues and finances, matters related to membership, setting meeting dates, planning programs, planning social and recreational outings, providing for the reimbursement of expenses incurred by Members of this Association, deciding legal issues which may affect this Association and providing for the election and removal of officers. All decisions made by the Membership of this Association shall be subject to majority vote and shall be recorded in Minutes which shall be maintained by an Officer or Member of this Association as determined by majority vote.


DISSOLUTION: The Membership of this Association may choose to dissolve this Association by majority vote at any time. Upon dissolution, the Membership shall determine, by majority vote how to dispose of any moneys it may possess. Any moneys in the possession of this Association at the time of dissolution shall either be: distributed on a pro rata basis to all current Members at the time of dissolution or distributed to another social organization that shares like interests and purposes as this Association.

MCASL Bylaws

Article I. Membership

All persons who are employed in, or retired from, school media work in the MCASL District are encouraged and eligible to become voting members upon payment of stated annual dues. Other interested persons may become non-voting associate members upon paying stated annual dues.

Article 2. Dues

The Middle Cumberland Association of School Librarians determines the amount of the dues. The association’s dues are currently in the amount of $10.00 per year, payable at the beginning of the fiscal year.

Article 3. District

Section A.

The Middle Cumberland Association of School Librarians is comprised of school librarians who live or work in the following counties: Boyle, Casey, Garrard, Lincoln, McCreary, Pulaski, Rockcastle and Wayne.

Article 4. Affiliations

Section A.

The Middle Cumberland Association of School Librarians is a district organization of the Kentucky Association of School Librarians. This Association functions under its own Constitution and Bylaws, no article of which is to conflict with any article of the Constitution or Bylaws of the Kentucky Library Association or the Kentucky Association of School Librarians.

Article 5. Nomination of Officers

Section A.

Nominations for officers will be made from the floor during the business section of the spring meeting. All candidates must be members of the Kentucky Library Association.

Section B.

The school media specialist, whether she/he be serving in the capacity of president or vice president, shall serve as the MCASL representative on the Board of the Kentucky School Media Association. Candidates must expect to be able to attend the majority of meetings held in that year by the Kentucky School Media Association to be eligible to run for office. If she/he cannot attend a meeting, she/he is responsible for finding an appropriate replacement for that particular meeting --preferably the secretary or treasurer if she/he is a school media specialist.

Section C.

Candidates for secretary/treasurer shall be nominated from the floor. Media specialists employed in any type of media center are eligible for this position.

Article 6. Election and Term of Office

Section A.

The term of office for each shall be one year beginning at the close of the KASL Summer Refresher in July.

Section B.

The Executive Committee fills by appointment all vacancies for the unexpired terms of officers.

Article 7. Committees

Section A.

Standing, special, and/or ad hoc committees may be created or dissolved by the President with the approval of the Executive Committee.

Section B.

The President appoints all committee chairpersons for a term of one year, beginning at the close of the KASL Summer Refresher in July.

Section C.

No committee chair or individual member of a committee shall be allowed to represent, engage, or obligate MCASL to any course of action without the expressed approval of the MCASL Executive Committee.

Article 8. Publications

Section A.

The official website of the association is: https://sites.google.com/view/mcasl/home.

Article 9. Quorum

Section A.

A quorum shall consist of those in attendance at any business meeting.

Article 10. Amendments

Any proposal to amend the Bylaws shall be approved by a two-thirds affirmative vote of the membership.


Article 11. PARLIAMENTARY AUTHORITY

The parliamentary authority for the Association will be ROBERT'S RULES OF ORDER. The rules contained in the current edition of ROBERT'S RULES OF ORDER shall govern the Association in all cases to which they are applicable.

MCASL Constitution

Article I. Name

The name of this organization shall be the Middle Cumberland Association of School Librarians (MCASL).

Article II. Objective

The purposes of the Middle Cumberland Association of School Librarians are:

  • To encourage professional growth among its members

  • To promote the improvement of school library services in our district and state; providing opportunities for media specialists to meet, exchange ideas and discuss common problems

  • To cooperate with other educators and library agencies in improving all types of library services for young people in Kentucky and the nation

Article III. Affiliations

Section 1.

This Association is a section of the Kentucky Association of School Librarians which is a section of the Kentucky Library Association.

Article IV. Membership

All persons who are employed in, or retired from, school media work in the MCASL District are encouraged and eligible to become voting members upon payment of stated annual dues. Other interested persons may become non-voting associate members upon paying stated annual dues.

Article V. Officers

Section 1.

The officers of this association shall be President, Vice-President, Secretary, and Treasurer. Officers shall constitute the Executive Committee.

Section 2.

These officers shall be elected during the association’s Spring meeting and shall take office at the close of the KASL Summer Refresher in July; unless the position is vacated unexpectedly and can be voted into office at the Fall meeting.

Article VI. Meetings

The organization meets two times a year. The district president will determine the time and place of this meeting(s). Other meetings are at the discretion of the Executive Committee.

Article VII. Amendments

Any proposal to amend this Constitution shall be approved by a majority of the Executive Committee and presented in writing to the membership for action at the next regular membership meeting. Amendments to the Constitution require approval by two-thirds of those members present and voting.

Article VIII. Official Year

The Association's fiscal year shall be July to June.
