# Terms of Use

Welcome to Market Understanding Trading (the “App”). These Terms of Use (“Terms”) govern your use of the App. By using the App, you agree to these Terms. If you do not agree, do not use the App.

## 1. Description of Service; No Financial Advice

The App provides tools for storing chart screenshots, AI‑assisted analysis of chart images, trading journals, performance metrics, and related features. The App does not provide financial, investment, or trading advice. All content (including AI‑generated content) is for educational and informational purposes only. You are solely responsible for your trading decisions and outcomes. Past performance does not guarantee future results.

## 2. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the App. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.

## 3. License; Apple EULA

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to use the App for your personal, non‑commercial use. If you downloaded the App from the Apple App Store, your use is also governed by Apple’s Licensed Application End User License Agreement (EULA), which is incorporated by reference. In the event of conflict, the Apple EULA controls to the extent required by Apple’s policies.

## 4. User Content and License

You retain ownership of content you upload or create in the App (e.g., chart screenshots, notes, journal entries). You grant us a limited, non‑exclusive, revocable license to process your content solely to provide App functionality (e.g., analyzing images, syncing across your devices if iCloud is enabled). You represent you have all necessary rights to the content you provide.

## 5. Acceptable Use

You agree not to:

- Violate any law or third‑party rights

- Upload content that is unlawful, harmful, offensive, or infringing

- Attempt to reverse engineer, interfere with, or disrupt the App or related services

- Use the App to submit sensitive personal data or confidential information

- Use AI features to generate, request, or disseminate illegal content, or to violate privacy, intellectual property, or market manipulation laws

We may remove content or suspend access for violations.

## 6. AI Features and Third‑Party Services

The App may integrate with third‑party services (e.g., OpenAI for AI analysis, Apple iCloud/CloudKit for synchronization). Your use of those services is subject to their terms and privacy policies. AI outputs may be inaccurate or incomplete. You should independently verify any information and not rely on AI outputs as financial advice.

If the App is configured to use your own OpenAI API key, requests are sent directly from your device to OpenAI. If we provide an API key or a relay, we will disclose it in‑app. We are not responsible for third‑party services and disclaim liability arising from their acts or omissions.

## 7. Subscriptions, Free Trials, and Payments

Certain features require a paid subscription processed via Apple’s App Store using StoreKit. Prices and terms are displayed in‑app and may vary by region.

- Auto‑renewal: Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the current period ends.

- Charges: Your Apple ID account is charged within 24 hours prior to the end of the current period for the next term.

- Manage: You can manage or cancel your subscription in iOS Settings → Apple ID → Subscriptions.

- Free trials (if offered): Any unused portion of a free trial period is forfeited when you purchase a subscription. Trial durations and eligibility are shown in‑app.

- Refunds: Refunds are handled by Apple in accordance with App Store policy.

## 8. Intellectual Property

The App, including its design, code, and content (excluding user content), is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

## 9. Termination

We may suspend or terminate access to the App at any time for any reason, including violations of these Terms. Upon termination, your right to use the App will cease. You may stop using the App at any time.

## 10. Disclaimers

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE OR INCOMPLETE.

## 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE APP OR SUBSCRIPTION DURING THE 12 MONTHS PRECEDING THE CLAIM.

## 12. Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the App, your content, or your violation of these Terms.

## 13. Export Controls and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. or other applicable sanctions or export restrictions. You agree to comply with all applicable export control and sanctions laws.

## 14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the jurisdiction where our company is established, without regard to conflict‑of‑laws principles. You agree to submit to the exclusive jurisdiction and venue of the courts located there, unless applicable law requires otherwise. ## 15. Changes to the Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last Updated” date. Your continued use of the App after changes indicates acceptance of the revised Terms.

## 16. Miscellaneous

- Severability: If any provision is unenforceable, the remaining provisions remain in effect.

- No waiver: Failure to enforce any provision is not a waiver.

- Assignment: You may not assign these Terms without our consent; we may assign them as permitted by law.

- Entire agreement: These Terms, together with policies referenced herein (including the Apple EULA), constitute the entire agreement between you and us regarding the App.
