WAIVER AND RELEASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Waiver and Release Agreement ("Agreement") is made and entered into this [Day] of [Month, Year], at [Place of Execution], by and between:

PARTIES

1. [RELEASOR’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Releasor’s Address], hereinafter referred to as the "RELEASOR";

2. [RELEASEE’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Releasee’s Address], hereinafter referred to as the "RELEASEE".

WHEREAS, the RELEASOR has or may have certain claims against the RELEASEE, whether related to [describe claim, e.g., contract dispute, accident, employment, debt, settlement];

WHEREAS, the RELEASOR, in consideration of [amount, settlement, agreement terms], agrees to waive and release all claims against the RELEASEE;

NOW, THEREFORE, for and in consideration of the mutual covenants herein contained, the Parties agree as follows:

1. WAIVER AND RELEASE OF CLAIMS

1.1. The RELEASOR fully and unconditionally waives, releases, and forever discharges the RELEASEE from any and all claims, liabilities, damages, actions, or causes of action, whether known or unknown, arising from [describe claim or situation].

1.2. This waiver includes, but is not limited to:

• Financial claims (e.g., debts, compensations, refunds);

• Personal injury or property damage claims;

• Contractual disputes or business claims;

• Employment-related claims (if applicable).

1.3. The RELEASOR acknowledges that this Agreement is a full and final settlement of all disputes and claims.

2. CONSIDERATION

2.1. In exchange for this waiver and release, the RELEASOR acknowledges receipt of:

• A one-time payment of PHP [Amount]; OR

• A settlement agreement, service, or other benefit as mutually agreed.

2.2. The RELEASOR agrees that no further claims, compensations, or demands shall be made after the execution of this Agreement.

3. NO ADMISSION OF LIABILITY

3.1. The Parties agree that this Agreement does not constitute an admission of guilt, fault, or liability by either Party.

3.2. The RELEASEE denies any wrongdoing but enters into this Agreement solely for the purpose of resolving disputes amicably.

4. INDEMNIFICATION

4.1. The RELEASOR agrees to hold harmless and indemnify the RELEASEE from any future claims or lawsuits arising from the subject matter of this Agreement.

4.2. The RELEASOR shall not assist or encourage any third-party claims against the RELEASEE related to this matter.

5. CONFIDENTIALITY (If Applicable)

5.1. The Parties agree to keep the terms of this Agreement strictly confidential, except where disclosure is required by law.

5.2. Neither Party shall make public statements or defamatory remarks about the other regarding the dispute.

6. BREACH AND REMEDIES

6.1. If the RELEASOR violates this Agreement by attempting to make additional claims, the RELEASEE may:

• Seek specific performance to enforce this Agreement;

• Demand liquidated damages of PHP [Amount];

• Pursue legal action for breach, with the RELEASOR bearing all legal costs.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by the laws of the Republic of the Philippines, particularly the Civil Code and applicable laws.

7.2. Any disputes shall first be resolved amicably. If unresolved, disputes shall be submitted to [Mediation/Arbitration/Court in [City/Province]].

8. GENERAL PROVISIONS

8.1. Binding Effect – This Agreement shall be binding upon the Parties, their heirs, successors, and assigns.

8.2. Severability – If any provision is found invalid, the remaining provisions shall remain in effect.

8.3. Entire Agreement – This Agreement represents the full understanding between the Parties regarding the waiver and release of claims.

8.4. Voluntary Execution – The RELEASOR acknowledges that they have read, understood, and voluntarily agreed to the terms of this Agreement.
