SERVICE AGREEMENT

This Service Agreement ("Agreement") is made and entered into this [Day] of [Month, Year], at [Place of Execution], by and between:

[SERVICE PROVIDER’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Service Provider’s Address], hereinafter referred to as the "SERVICE PROVIDER";

AND

[CLIENT’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Client’s Address], hereinafter referred to as the "CLIENT";

The SERVICE PROVIDER and CLIENT are collectively referred to as the "Parties."

WHEREAS, the CLIENT desires to engage the SERVICE PROVIDER for the provision of [Describe the type of service, e.g., consultancy, maintenance, design, IT support, etc.];

WHEREAS, the SERVICE PROVIDER agrees to provide the said services under the terms and conditions set forth in this Agreement;

NOW, THEREFORE, for and in consideration of the mutual covenants herein contained, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1. The SERVICE PROVIDER shall provide the following services:

2. TERM OF AGREEMENT

3. COMPENSATION AND PAYMENT TERMS

4. OBLIGATIONS OF THE SERVICE PROVIDER

4.2. Communicate progress and updates to the CLIENT regularly.
4.3. Maintain confidentiality regarding any sensitive information received from the CLIENT.

5. OBLIGATIONS OF THE CLIENT

The CLIENT agrees to:
5.1. Provide all necessary information, materials, and access required for the SERVICE PROVIDER to complete the services.
5.2. Make timely payments as agreed.
5.3. Cooperate with the SERVICE PROVIDER in good faith to ensure project completion.

6. CONFIDENTIALITY

6.1. Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the performance of this Agreement.
6.2. This obligation shall survive even after the termination of this Agreement.

7. TERMINATION

7.1. This Agreement may be terminated by either Party under the following conditions:

• By the CLIENT, upon providing [Number] days’ written notice, subject to payment of any completed work.

• By the SERVICE PROVIDER, upon providing [Number] days’ written notice, if the CLIENT fails to fulfill its obligations.

• For cause, if either Party violates the terms of this Agreement, the other Party may terminate immediately.

7.2. In case of early termination, the CLIENT shall compensate the SERVICE PROVIDER for all work completed up to the termination date.

8. LIMITATION OF LIABILITY

8.1. The SERVICE PROVIDER shall not be liable for any indirect, incidental, or consequential damages arising from the performance of services.
8.2. The maximum liability of the SERVICE PROVIDER under this Agreement shall be limited to the total amount paid by the CLIENT.

9. FORCE MAJEURE

9.1. Neither Party shall be held liable for failure to perform obligations due to natural disasters, war, government restrictions, or unforeseen events beyond their control.
9.2. If such circumstances persist for more than [Number] days, either Party may terminate this Agreement without penalty.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. This Agreement shall be governed by the laws of the Republic of the Philippines.
10.2. Any disputes arising from this Agreement shall first be resolved amicably. If unresolved, disputes shall be submitted to the proper courts in [City/Province], Philippines.

11. GENERAL PROVISIONS

11.1. Binding Effect – This Agreement shall be binding upon the Parties, their heirs, successors, and assigns.
11.2. Severability – If any provision is found invalid, the remaining provisions shall remain in full force and effect.
