DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment ("Deed") is made and executed this [Day] of [Month, Year], at [Place of Execution], by:

[ASSIGNOR’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Assignor’s Address], hereinafter referred to as the "ASSIGNOR";

IN FAVOR OF

[ASSIGNEE’S FULL NAME], of legal age, [civil status], [nationality], and residing at [Assignee’s Address], hereinafter referred to as the "ASSIGNEE";

WITNESSETH, that:

WHEREAS, the ASSIGNOR is the lawful owner and holder of certain rights, interests, and obligations in relation to the following property, contract, or business interest:

WHEREAS, the ASSIGNOR desires to assign, transfer, and convey all its rights, interests, and obligations related to the above-described property or contract to the ASSIGNEE;

WHEREAS, the ASSIGNEE agrees to accept such assignment and assumes all related rights, obligations, and liabilities;

NOW, THEREFORE, for and in consideration of the sum of PHP [Amount in Words] ([PHP Amount in Numbers]), or for other good and valuable consideration, the receipt of which is hereby acknowledged, the ASSIGNOR and ASSIGNEE hereby agree as follows:

1. ASSIGNMENT AND TRANSFER OF RIGHTS

1.1. The ASSIGNOR hereby absolutely and irrevocably assigns, transfers, and conveys to the ASSIGNEE all its rights, title, interest, and obligations in relation to the [describe the property, business, or contract].
1.2. The ASSIGNEE shall assume all rights, responsibilities, and obligations related to the assigned property or contract effective immediately upon execution of this Deed.

2. CONSIDERATION

2.1. The ASSIGNEE agrees to pay the ASSIGNOR the sum of PHP [Amount in Words] ([PHP Amount in Numbers]), as consideration for this assignment.
2.2. The ASSIGNEE acknowledges receipt of the assigned rights and interests and agrees to be bound by any terms and conditions associated therewith.

3. WARRANTIES AND REPRESENTATIONS

3.1. The ASSIGNOR warrants that:

• He/She is the legal owner of the assigned rights and interests.

• The assignment is free from any liens, encumbrances, or adverse claims.

• He/She has the full legal right and authority to execute this assignment.

3.2. The ASSIGNEE acknowledges that he/she has examined and accepted the assignment in its present condition.

4. INDEMNITY

4.1. The ASSIGNOR shall indemnify and hold the ASSIGNEE harmless from any claims, liabilities, or losses arising from matters occurring before the assignment date.
4.2. The ASSIGNEE shall indemnify and hold the ASSIGNOR harmless from any claims, liabilities, or losses arising after the assignment date.

5. TAXES AND EXPENSES

5.1. The following costs and expenses shall be borne as follows:

• By the ASSIGNOR: Any taxes or fees arising from prior ownership.

• By the ASSIGNEE: Transfer fees, documentary stamp taxes, registration fees, and any related costs.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1. This Deed shall be governed by the laws of the Republic of the Philippines.
6.2. Any disputes shall first be settled amicably. If unresolved, disputes shall be submitted to the proper courts in [City/Province], Philippines.

7. GENERAL PROVISIONS

7.1. Binding Effect – This Deed shall be binding upon the Parties, their heirs, successors, and assigns.
7.2. Severability – If any provision is found invalid, the remaining provisions shall remain in full force and effect.
7.3. Entire Agreement – This Deed represents the full understanding between the Parties regarding the assignment.
