Governing Law, Jurisdiction, Mediation, and Limitation of Client Losses

a. This Agreement shall be governed by and construed in accordance with the laws of Orange County, Florida State. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of Orange County, Florida State. Prior to initiating any legal action, both parties agree to make a good faith effort to resolve any disputes through mediation.

b. In the event of a dispute or disagreement arising from or relating to this Agreement, both parties agree to first attempt to resolve the matter through mediation. Mediation shall be conducted in Orange County, Florida, with a mutually agreed-upon mediator. The cost of mediation shall be shared equally between the parties unless otherwise agreed.

c. Should mediation fail to resolve the dispute within a reasonable time frame or if either party refuses to participate in mediation, then either party may pursue legal action as outlined in subsection a above.

d. Both parties agree that in the event of a claim arising from this Agreement, the client's losses shall be limited to the price paid by the client at the time of purchase, as indicated by the PayPal receipt transaction. This limitation applies to all claims, including those related to shipping losses, and is subject to the maximum coverage provided by the USPS Priority Service Small Package Insurance.

e. The parties acknowledge that the limitation of client losses specified in subsection d is reasonable and appropriate, and both parties agree to abide by it.

f. The terms and conditions of this clause regarding mediation and the limitation of client losses shall survive the termination or expiration of this Agreement.
