Bylaws
Organization
The name of the corporation is Idaho Falls Bridge Builders, Inc. (IFBB)
The street address of the registered office is 2192 West, 81st South, Idaho Falls, ID 83402. The registered agent at that address is Joseph Mitchell.
Officers
Mandatory officers (president, secretary, treasurer) are those required by Idaho state law. Other officers are allowed but not required.
Officer elections require concurrence of the officer, and a majority vote of the board members.
Officers may be removed without their concurrence only by a unanimous vote of board members.
Board of Directors
Board meetings shall be held at least once per year, and as often as needed.
A majority of board members shall be present, in person or remotely, for a board meeting to take place.
The board of directors shall consist of no fewer than three people, and no more than twelve.
Board members shall be added only by a unanimous vote of the other board members.
All board decisions except adding or removing board members, or removing officers, requires a simple majority of those present at the board meeting.
Board members are not required to have a particular religious affiliation, ethnicity, citizenship, or country of origin. They are required to review and affirm the IFBB mission, vision, and values. The mission, vision, and values statement is a living document and is not reproduced in the bylaws. A current copy shall be available on the IFBB website.
Board members shall be removed by voluntary notice given by the board member, or involuntarily by unanimous vote of the other board members.
Board members may serve an unlimited number of one year terms.
Advisory Board
Advisory board members may be recognized and called upon for particular skills or insights.
There is no requirement to have advisory board members, and no limit to how many can serve.
Members
IFBB does not have members.
Financial
Financial records shall be kept to generally accepted accounting practices.
Receipts shall be made available to financial donors.
Receipts shall be made available to donors who give property at their request, showing fair market value of the donation.
There will be a yearly independent review of the financials, to be completed no later than the end of the first quarter of the following tax year. Tax years end on Dec 31.
Upon dissolution of the IFBB, all remaining assets shall be transferred to a non-profit with similar mission, vision, and values, at the discretion of the board of directors.
Changing the Bylaws
These bylaws will be controlled, and may be amended only by a majority vote of the board of directors.
