These Terms and Conditions (“Terms”) govern your access to and use of Gridiron Kingdom, including the mobile application, website, updates, features, and related services collectively referred to as the “Service.”

The Service is operated by Game Day Studios (“Game Day Studios,” “we,” “us,” or “our”).

By downloading, accessing, purchasing from, or using Gridiron Kingdom, you agree to these Terms. If you do not agree, do not access or use the Service.

1. Eligibility

You must be at least 13 years old to use Gridiron Kingdom. If you are under the legal age of majority where you live, you may use the Service only with permission from a parent or legal guardian.

By allowing a minor to use the Service, the parent or legal guardian accepts responsibility for the minor’s activity and compliance with these Terms.

Gridiron Kingdom is not directed toward children under 13. Children under 13 may not submit personal information through the Service.

2. Entertainment Purposes

Gridiron Kingdom is a fictional college football management and simulation game intended solely for entertainment.

Game results, rankings, recruiting outcomes, player development, awards, coaching decisions, statistics, and other simulated events do not represent real-world outcomes or official athletic information.

The Service does not involve real-money gambling. No gameplay achievement, virtual item, statistic, reward, or in-game result can be exchanged for real money or anything of real-world monetary value.

3. Limited License

Subject to your compliance with these Terms, Game Day Studios grants you a limited, personal, revocable, nonexclusive, nontransferable, and non-sublicensable license to download and use Gridiron Kingdom for your own noncommercial entertainment.

You may not:

• Copy, sell, rent, sublicense, distribute, or commercially exploit the Service;

• Reverse engineer, decompile, disassemble, modify, or attempt to obtain the Service’s source code, except where applicable law expressly permits it;

• Use bots, scripts, exploits, modified software, or unauthorized tools with the Service;

• Interfere with the Service’s operation, security, advertising, or purchasing systems;

• Remove or alter copyright, trademark, ownership, or legal notices;

• Use the Service to violate any law or the rights of another person;

• Attempt to gain unauthorized access to the Service or its related systems; or

• Use Gridiron Kingdom or its content to create or train a competing product without written permission.

No ownership rights are transferred to you under these Terms.

4. Intellectual Property

Gridiron Kingdom and its original software, interface, artwork, designs, graphics, text, game systems, features, branding, logos, and other original content are owned by or licensed to Game Day Studios and are protected by intellectual-property laws.

You may not use the Gridiron Kingdom name, logo, visual assets, or other protected materials for commercial purposes without our prior written permission.

References to schools, locations, conferences, football terminology, or other third-party names are included for identification, simulation, or entertainment purposes. Unless expressly stated, Gridiron Kingdom and Game Day Studios are not affiliated with, sponsored by, endorsed by, or officially connected to the NCAA, any college or university, athletic conference, professional sports organization, or other third party.

All third-party names, trademarks, and intellectual property remain the property of their respective owners.

5. Purchases and Remove Ads

Gridiron Kingdom may offer optional in-app purchases, including a one-time Remove Ads purchase.

Prices and available products may vary by country, platform, currency, taxes, or other factors. The final price will be displayed by the applicable app marketplace before you approve the purchase.

Payments are processed by the Apple App Store or another marketplace through which the Service is distributed. Game Day Studios does not directly control payment processing, refunds, transaction approval, or marketplace account management.

Refund requests are subject to the policies of the marketplace that processed the purchase.

The Remove Ads purchase is intended to remove advertisements controlled directly through the game. It may not remove:

• Links or references to Game Day Studios products;

• Service announcements;

• App Store messages;

• Legally required disclosures; or

• Content provided outside the application.

Purchases have no cash value and may not be sold, transferred, exchanged, or redeemed for money.

If a purchase does not appear after payment, use the application’s Restore Purchases function when available or contact us at the address listed below.

6. Advertising and Third-Party Services

The Service may display advertisements or use third-party services for advertising, analytics, crash reporting, app distribution, or payment processing.

These services may be governed by their own terms and privacy policies. Game Day Studios is not responsible for the content, availability, security, or practices of third-party websites or services.

The display of an advertisement does not necessarily mean Game Day Studios endorses the advertiser, product, or service.

Your information is handled as described in the Gridiron Kingdom Privacy Policy.

7. Game Progress and Availability

We do not guarantee that saved games, dynasty progress, statistics, achievements, settings, or other gameplay data will always be available or recoverable.

Game progress may be stored locally on your device. Deleting the application, changing devices, losing access to your device, installing an update, or experiencing technical problems could result in lost progress.

You are responsible for maintaining access to your device and any backups supported by your operating system.

We may add, modify, rebalance, remove, suspend, or discontinue any feature, gameplay mechanic, content, or portion of the Service at any time. Updates may change team ratings, recruiting systems, simulations, schedules, advertisements, pricing, or other features.

We are not required to continue supporting any particular device, operating-system version, or application version indefinitely.

8. Acceptable Use

You agree not to use the Service in a manner that:

• Violates any applicable law or regulation;

• Infringes another person’s intellectual-property or privacy rights;

• Introduces malicious code or attempts to damage the Service;

• Circumvents advertisements, purchase verification, or security features;

• Manipulates application data through unauthorized means;

• Impersonates Game Day Studios or falsely claims an official relationship with Gridiron Kingdom; or

• Harasses, threatens, deceives, or harms another person.

We may restrict or terminate access when we reasonably believe these Terms have been violated.

9. Feedback

If you send us suggestions, ideas, bug reports, feature requests, or other feedback, you permit Game Day Studios to use that feedback without restriction or compensation.

You retain ownership of any original material you submit, but you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, adapt, reproduce, and incorporate the feedback into Gridiron Kingdom or other products.

Do not submit confidential information through feedback channels.

10. Privacy

Your use of the Service is also governed by the Gridiron Kingdom Privacy Policy, which explains how information may be collected, used, shared, and protected.

If there is a conflict between these Terms and the Privacy Policy concerning personal information, the Privacy Policy will control.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

Game Day Studios does not guarantee that:

• The Service will always be available, accurate, secure, or error-free;

• Defects or lost data will be corrected or recovered;

• The Service will work with every device or operating system;

• Simulated results will meet your expectations; or

• Advertisements and third-party services will always function properly.

Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.

12. Limitation of Liability

To the fullest extent permitted by law, Game Day Studios and its owners, developers, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service.

This includes loss of data, game progress, revenue, profits, opportunities, device access, or goodwill.

To the fullest extent permitted by law, our total liability for claims relating to the Service will not exceed the greater of:

1. The amount you paid directly for the Service during the 12 months before the claim arose; or

2. Fifty United States dollars (US $50).

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Game Day Studios and its owners, developers, contractors, licensors, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Your misuse of the Service;

• Your violation of these Terms;

• Your violation of applicable law; or

• Your infringement of another party’s rights.

This section does not require you to indemnify us for conduct for which indemnification cannot legally be required.

14. Suspension and Termination

You may stop using the Service at any time by deleting the application.

We may suspend, limit, or terminate access to the Service if:

• You violate these Terms;

• Your use creates a legal, security, or technical risk;

• Fraudulent or unauthorized activity is suspected;

• A platform provider requires us to take action; or

• We discontinue the Service.

Sections that logically should continue after termination—including provisions concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution—will remain in effect.

15. Apple App Store Terms

If you downloaded Gridiron Kingdom through the Apple App Store, you acknowledge that:

• These Terms are between you and Game Day Studios, not Apple;

• Apple is not responsible for developing, maintaining, supporting, or providing the Service;

• Apple has no obligation to provide maintenance or support services;

• Your use of the Service must comply with the App Store Usage Rules;

• Apple is not responsible for addressing claims concerning the Service, except where required by law;

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions against you; and

• Apple’s terms and policies may separately apply to downloads, payments, refunds, and use of the App Store.

If these Terms conflict with mandatory marketplace rules, the applicable marketplace rules will control to the extent of that conflict.

16. Changes to These Terms

We may revise these Terms to reflect changes to Gridiron Kingdom, applicable laws, marketplace requirements, or our business practices.

When changes are made, the updated Terms will be posted with a revised effective date. When legally required, we will provide additional notice or request consent.

Your continued use of the Service after revised Terms take effect means you accept the revised Terms. If you do not agree with a revision, you must stop using the Service.

17. Governing Law

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles.

Any dispute that is not eligible for small-claims court shall be brought in a state or federal court with jurisdiction over the applicable location in Rhode Island, unless consumer-protection law requires a different location or procedure.

Nothing in these Terms limits any consumer right that cannot legally be waived.

18. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

19. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

20. Entire Agreement

These Terms, together with the Gridiron Kingdom Privacy Policy and any additional terms presented within the Service, constitute the entire agreement between you and Game Day Studios concerning the Service.
