These Terms of Use (hereinafter, the “Terms of Use” or “Terms”) govern access to and use of our services through the AI Note Taker iOS/Android mobile application (hereinafter, the “Service” or “Services”), which enables users to record, upload, and process audio files to generate transcriptions, summaries, and AI chat interactions.
As used in these Terms of Use, “User”, “You”, “Your”, or “Yourself” refers to you, the person using the Services and accepting the Terms.
“ARK STUDIO”, "We," "Us," and "Our" means ARK Studio LLC and its affiliates.
“Platform” refers to our mobile application through which You may access our Services.
"User Data" means all information, data, sound recordings, and text that is submitted, posted, or otherwise transmitted by the User through the Services, including (a) audio recordings uploaded or recorded via the App and (b) the transcriptions and summaries generated by the Services based on the foregoing materials.
Access to the Services requires acceptance of these Terms of Use by Users. We ask that Users read them carefully before using the Services. If You do not accept these Terms of Use, We ask that You abstain from using the Services.
We may modify these Terms at any time without prior notification. Your continued use of the App constitutes acceptance of the modified Terms.
No Account Required: You do not need to create a specific user account with ARK Studio to use the Services. Your access is tied to your Apple ID and the local installation on your device. You are solely responsible for maintaining the security of your device and your Apple ID credentials.
Age Capacity: By accessing or using the Services, You declare that you are 18 years or older (or the age of legal majority in the country you reside) and have the legal capacity to enter into this agreement.
Ownership: You retain all ownership rights to the audio recordings you upload and the content generated (transcripts/summaries) ("User Content").
Temporary License for Processing: By submitting User Content, You grant Us a worldwide, non-exclusive, royalty-free license to host, transfer, process, and modify such content solely as necessary to provide the Service (e.g., sending audio to our AI providers for transcription).
Data Retention and Deletion Policy: We prioritize your privacy. The Service operates on a "Process and Delete" model.
Audio Files: Audio recordings sent to our cloud processors for transcription are automatically and permanently deleted from our servers within 24 hours after processing is complete.
Local Storage: Processed notes, summaries, and chat history are stored locally on your device or in your personal iCloud/cloud backup. ARK Studio does not maintain a permanent database of your specific notes or recordings.
Voice Recordings: You acknowledge that You are solely responsible for providing any required notices to, and obtaining all necessary consents from, any individuals involved in your recordings, as required by applicable laws in your jurisdiction regarding wiretapping and privacy.
Third-Party Services: Our Services rely on interoperability with third-party AI and cloud infrastructure providers (including, but not limited to, speech-to-text providers, Large Language Model providers, and cloud storage services). While these Third-Party Services are selected for their security and reliability, their operation is beyond our control. AI Accuracy Disclaimer: The Service uses artificial intelligence to generate text. You acknowledge that AI may produce inaccurate, incomplete, or misleading results ("hallucinations"). ARK Studio does not guarantee the accuracy of transcripts or summaries and suggests verifying critical information against the original audio.
Apple App Store Subscriptions: The Services are offered via auto-renewing subscriptions ("Weekly" or "Yearly") managed directly by Apple.
Payment: Payment will be charged to your Apple ID account at confirmation of purchase.
Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period.
Cancellation: You must cancel Your subscription via your Apple App Store Account Settings. ARK Studio cannot cancel your subscription for you, as we do not have access to your billing data. Deleting the app does not cancel the subscription.
Refunds: All refund requests must be directed to Apple Support. ARK Studio does not have the ability to process refunds for transactions made through the App Store.
Free Trials: If a free trial is offered, any unused portion of the trial will be forfeited when You purchase a subscription.
Changes to Pricing: We reserve the right to modify pricing at any time. Any price changes will take effect following notice to you (provided by Apple) and will apply to the next subscription period.
Operation of the Platform: ARK Studio does its best to keep the Platform in good working order. Nevertheless, we do not guarantee the availability and continuity of access to the Platform, or the absence of errors in its content. Limitation: We are not responsible for any damage to Users’ software or hardware as a result of their use of the Platform.
Acceptable Use: You agree not to use the Services for unlawful, fraudulent, offensive, or obscene activity. You agree not to reverse engineer, decompile, or attempt to extract the source code of the App. Compliance: You are solely responsible for ensuring that your recording of conversations complies with all applicable laws (including "two-party consent" laws where applicable).
Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the processing of your information (specifically the temporary processing of audio data) as set forth in our Privacy Policy.
All source code, designs, trademarks, and software related to the "AI Note Taker" App are the property of ARK Studio LLC. You are granted a limited, non-transferable, non-exclusive license to use the App for your personal or internal business use. You may not sell, redistribute, or sub-license the App.
If You send us suggestions, ideas, or feedback regarding the App, You agree that we may use such feedback for any purpose without compensation or attribution to You.
"AS IS" Basis: THE SERVICES ARE PROVIDED "AS IS" AND ARK STUDIO SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI-GENERATED RESULTS WILL BE ACCURATE, ERROR-FREE, OR COMPLETE.
IN NO EVENT WILL ARK STUDIO LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT WILL ARK STUDIO'S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNTS PAID BY YOU TO ARK STUDIO IN THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.
You agree to indemnify and hold harmless ARK Studio LLC from any claims, damages, or expenses arising from (i) Your use of the App in violation of these Terms or applicable laws (including illegal recording laws), or (ii) any User Content you upload.
These Terms are governed by and construed in accordance with the internal laws of Bangladesh [OR: Your US State if LLC is registered in US, e.g., Delaware], without giving effect to any conflict of law provision. Any legal suit arising out of this agreement will be instituted exclusively by the courts of Bangladesh [OR: Your US State].
