This Franchise Agreement (“Agreement”) is made and entered into as of [Per Date of Membership / Joining ], by and between:

Franchisee:

Recitals:
WHEREAS, the Franchisor has developed a unique system and business model for operating a [type of business], which includes proprietary methods, trademarks, and business strategies (the "System");

3. Training and Support
3.1 Initial Training: The Franchisor shall provide the Franchisee with initial training on the System, including operations, marketing, and customer service. The initial training shall take place online.
3.2 Ongoing Support: The Franchisor shall provide ongoing support to the Franchisee, including regular updates to the System, marketing materials, and access to a dedicated support team.
3.3 Marketing Support: The Franchisor shall assist the Franchisee with marketing efforts in any national or regional marketing campaigns. Marketing spend by the Franchisor will be on a sliding scale, increasing as the franchise network grows and achieves key milestones.
3.4 Marketing Budget: The Franchisor's marketing budget will be proportional to the overall success and growth of the network but a min of 10%. This budget will be strategically allocated to maximize the impact of the brand, drive customer engagement, and support franchisee success. The specific details of the Franchisor’s marketing spend will be managed internally and are not disclosed to franchisees, though the Franchisee can be assured that all efforts are made to deliver maximum ROI.
3.5 Payment Processing Fees: The Franchisee acknowledges that payment processing fees, managed through Patreon or other platforms, are a standard cost of doing business. These fees are separate from marketing investments and are factored into the overall cost structure to ensure smooth and secure transactions.
4. Operational Requirements
4.1 Brand Standards: The Franchisee agrees to operate the Franchise in accordance with the Franchisor’s brand standards and guidelines, including maintaining the quality and reputation of the System.
4.2 Compliance: The Franchisee agrees to comply with all applicable laws, regulations, and ordinances related to the operation of the Franchise.
4.3 Operational Guidelines: The Franchisee agrees to adhere to all operational guidelines provided by the Franchisor, including hours of operation, staffing requirements, and use of specific technologies.
5. Revenue and Profit-Sharing
5.1 Revenue Sharing: The Franchisee shall be paid commission [percentage]%, [Per Membership / Joining ] of all revenue generated by the Franchise, shared with the Franchisor as outlined in the Payment Terms. [Per Membership / Joining ].

6. Confidentiality and Intellectual Property
6.1 Confidentiality: The Franchisee agrees to keep all proprietary information, including trade secrets and business strategies, confidential both during and after the term of this Agreement.
6.2 Intellectual Property: The Franchisee is granted a non-exclusive license to use the Marks during the term of this Agreement. The Franchisee agrees not to use the Marks for any purpose outside the scope of this Agreement.
7. Termination and Renewal
7.1 Termination by Franchisor: The Franchisor may terminate this Agreement immediately upon notice if the Franchisee fails to comply with any material term or condition of this Agreement.
7.2 Termination by Franchisee: The Franchisee may terminate this Agreement upon [Per Membership / Joining ] or written notice to the Franchisor, subject to the terms of this Agreement.
7.3 Effects of Termination: Upon termination, the Franchisee shall cease all use of the Marks and return all materials related to the System to the Franchisor.
8. Dispute Resolution
