FounderSocial.Network Franchise Agreement

This Franchise Agreement (“Agreement”) is made and entered into as of [Per Date of Membership / Joining ], by and between:

Franchisor:
FounderSocial.Network, a [State/Country] business owned by Charles McGill (CharlesMcGill.World) as ("Franchisor").

Franchisee:
[Franchisee Name], [Per Membership / Joining ], an individual/corporation with its principal place of business at [Address], ("Franchisee").

Recitals:

WHEREAS, the Franchisor has developed a unique system and business model for operating a [type of business], which includes proprietary methods, trademarks, and business strategies (the "System");

WHEREAS, the Franchisee desires to operate a [type of business] [Per Membership / Joining ], under the Franchisor's System and use the Franchisor's trademarks, trade names, service marks, logos, and symbols (collectively, the "Marks");

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Grant of Franchise

1.1 Franchise License: The Franchisor hereby grants to the Franchisee the right and license to operate a [type of business] [Per Membership / Joining ], (the "Franchise") under the System and using the Marks within a specific territory ("Territory") as defined in this Agreement.

1.2 Term: The term of this Agreement shall commence on the date of execution and shall continue [Per Membership / Joining ], unless sooner terminated as provided herein.

1.3 Renewal: The Franchisee may continue [Per Membership / Joining ] this Agreement, subject to the Franchisee’s compliance with all terms and conditions of this Agreement and any requirements established by the Franchisor.

2. Fees and Payments

2.1 Initial Franchise Fee: The Franchisee shall pay an initial franchise fee of $[amount] (the "Initial Franchise Fee") [Per Membership / Joining ], upon execution of this Agreement. The Initial Franchise Fee is non-refundable.

2.2 Monthly Fees: The Franchisee agrees to pay a performance commission fee of $[amount], [Per Membership / Joining ], subject to tiered increases as the Franchisee’s network expands.

2.3 Commission Structure: The Franchisee shall earn commissions based on the following structure: [Per Membership / Joining ],

2.4 Payment Terms: All fees due under this Agreement shall be paid by the Franchisee to the Franchisor [Per Membership / Joining ], or on or before the [day] of each month. Late payments are not allowed.

3. Training and Support

3.1 Initial Training: The Franchisor shall provide the Franchisee with initial training on the System, including operations, marketing, and customer service. The initial training shall take place online.

3.2 Ongoing Support: The Franchisor shall provide ongoing support to the Franchisee, including regular updates to the System, marketing materials, and access to a dedicated support team.

3.3 Marketing Support: The Franchisor shall assist the Franchisee with marketing efforts in any national or regional marketing campaigns. Marketing spend by the Franchisor will be on a sliding scale, increasing as the franchise network grows and achieves key milestones.

3.4 Marketing Budget: The Franchisor's marketing budget will be proportional to the overall success and growth of the network but a min of 10%. This budget will be strategically allocated to maximize the impact of the brand, drive customer engagement, and support franchisee success. The specific details of the Franchisor’s marketing spend will be managed internally and are not disclosed to franchisees, though the Franchisee can be assured that all efforts are made to deliver maximum ROI.

3.5 Payment Processing Fees: The Franchisee acknowledges that payment processing fees, managed through Patreon or other platforms, are a standard cost of doing business. These fees are separate from marketing investments and are factored into the overall cost structure to ensure smooth and secure transactions.

4. Operational Requirements

4.1 Brand Standards: The Franchisee agrees to operate the Franchise in accordance with the Franchisor’s brand standards and guidelines, including maintaining the quality and reputation of the System.

4.2 Compliance: The Franchisee agrees to comply with all applicable laws, regulations, and ordinances related to the operation of the Franchise.

4.3 Operational Guidelines: The Franchisee agrees to adhere to all operational guidelines provided by the Franchisor, including hours of operation, staffing requirements, and use of specific technologies.

5. Revenue and Profit-Sharing

5.1 Revenue Sharing: The Franchisee shall be paid commission [percentage]%, [Per Membership / Joining ] of all revenue generated by the Franchise, shared with the Franchisor as outlined in the Payment Terms. [Per Membership / Joining ].

5.2 Event Profits: The Franchisee shall retain 100% of the profits from any events hosted by the Franchise within the Territory, subject to any applicable agreements.

6. Confidentiality and Intellectual Property

6.1 Confidentiality: The Franchisee agrees to keep all proprietary information, including trade secrets and business strategies, confidential both during and after the term of this Agreement.

6.2 Intellectual Property: The Franchisee is granted a non-exclusive license to use the Marks during the term of this Agreement. The Franchisee agrees not to use the Marks for any purpose outside the scope of this Agreement.

7. Termination and Renewal

7.1 Termination by Franchisor: The Franchisor may terminate this Agreement immediately upon notice if the Franchisee fails to comply with any material term or condition of this Agreement.

7.2 Termination by Franchisee: The Franchisee may terminate this Agreement upon [Per Membership / Joining ] or written notice to the Franchisor, subject to the terms of this Agreement.

7.3 Effects of Termination: Upon termination, the Franchisee shall cease all use of the Marks and return all materials related to the System to the Franchisor.

8. Dispute Resolution

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State/Country of [UK & EU].

8.2 Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through mediation, and if mediation fails, through binding arbitration in accordance with the rules of UK / EU Law.

9. Miscellaneous

9.1 Entire Agreement: This Agreement [Per Membership / Joining ], constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

9.2 Amendments: This Agreement may only be amended by a written document signed by both parties.

9.3 Assignment: The Franchisee may not assign this Agreement or any rights or obligations hereunder without the prior written consent of the Franchisor.

9.4 Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the respective parties at their addresses set forth above.
