The following are answers to the most common questions regarding the closure.
Why did Annie’s close?
The owner faced significant health issues that made it challenging for her to continue operations.
2. What is the status of Annie’s operations?
On October 2, 2024, ApisRegina Inc. dba Annie's Annuals & Perennials (the “Assignor”) made a General Assignment for the Benefit of Creditors (the “Assignment”) to ApisRegina (ABC), LLC (“Assignee”), pursuant to California state law.
Please note that except for the relationship created by the Assignment, and despite their similar name, Assignor and Assignee have no corporate affiliation.
A true and correct copy of the document evidencing the Assignment can be requested by mail or downloaded from: https://tplc-claims.com.
Pursuant to the Assignment, the Assignor transferred ownership of all of its rights in tangible and intangible assets (collectively, the “Assets”) to the Assignee for liquidation.
3. What is an Assignment for the Benefit of Creditors (ABC)?
An ABC is a business liquidation device available to an insolvent debtor and is an alternative to a formal bankruptcy filing. ABCs are governed by state law. As a company enters the zone of insolvency, the fiduciary obligation of its board and management is to the company’s enterprise value. An ABC allows the board and management to act in a reasonable manner to maximize value and creditor recovery while providing a framework to wind the company down and pay creditors.
In an ABC, the company transfers all its rights, title and interest in its assets to an Assignee, who liquidates the property and distributes the net proceeds to the creditors. The Assignee serves in a capacity comparable to that of a bankruptcy trustee.
In many cases, an ABC is a preferable liquidation mechanism compared to the more cumbersome federal statutory procedures governing Chapter 7 liquidations or liquidating Chapter 11 cases. Typically, ABCs involve less administrative expense and provide a faster and more flexible liquidation process.
ApisRegina (ABC), LLC, was appointed as the Assignee to oversee the wind-down and optimize returns for creditors.
Jonathan Wernick is a representative of the Assignee.
4. Will Annie’s be reopening under new ownership?
While the nursery is closed, discussions are ongoing with potential buyers who may continue the business.
5. Can Customers still redeem gift cards?
Gift cards and as well as store credits cannot be redeemed.
Gift card holders can file a claim in the estate. A claim can be filed at https://tplc-claims.com.

6. Can I still place orders at www.anniesannuals.com?
The website is not accepting orders at this time.
Please look out for updates on when ordering may resume.
7. I have a pending order; will it be fulfilled?
All open orders will not be fulfilled. A claim for a refund can be filed at https://tplc-claims.com.
8. I need to return something—what should I do?
Unfortunately, Annie’s is no longer accepting returns.
If you wish to pursue a return, you may submit a claim for review through the claims process at https://tplc-claims.com.
9. How will outstanding obligations to creditors be handled?
If you believe you have a claim for goods and services provided to Annie’s, you will need to file a proof of claim to be eligible for payment on your claim.
All outstanding invoices will be handled through the claims process and managed under the Assignee, ApisRegina (ABC), LLC.

10. How do I file a proof of claim?
To file a proof of claim, visit https://tplc-claims.com/, where you will find all the necessary forms and instructions.

11. What will happen to current purchase orders or contracts?
With Annie’s officially closed, all contracts and unfulfilled purchase orders are canceled.
12. Who do I contact with billing or contract questions moving forward?
All outstanding invoices will be managed through the claims process and managed under the Assignee, ApisRegina (ABC), LLC.
