## 1. Introduction
Welcome to Exerank. These Terms of Use ("Terms") govern your access to and use of the Exerank mobile application and related services ("Service") operated by Coşkun Tıraş, an independent developer based in Turkey ("we," "our," or "us").
By downloading, installing, or using Exerank, you agree to be bound by these Terms. If you do not agree, do not use the Service.

## 2. Description of Service
Exerank is a productivity and performance tracking app that helps you:
- Create and manage tasks with clarity scoring (ACE)
- Earn points based on difficulty, impact, and proof of completion
- Compete on leaderboards (League) with daily, weekly, and monthly rankings
- View performance analytics and insights
- Access free and premium features as described in the app
The Service is provided "as is." We may modify, suspend, or discontinue features at any time with reasonable notice where practicable. We may modify scoring algorithms, ranking logic, feature access, subscription structure, or task limits at any time in our discretion.

## 3. Eligibility
You must be at least 13 years of age (or the minimum age in your jurisdiction) to use Exerank. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

## 4. Account and Registration
- You must create an account to use the Service. You provide accurate information and keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity under your account. Notify us promptly if you suspect unauthorised access.
- One account per person. Creating multiple accounts to manipulate rankings or abuse the Service is prohibited.

## 5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
**You must not:**
- Violate any applicable law or regulation
- Infringe the rights of others (intellectual property, privacy, etc.)
- Use the Service to harass, abuse, defame, or harm others
- Attempt to gain unauthorised access to our systems, other users' accounts, or third-party services
- Circumvent technical limits (e.g. task limits, paywalls) through unauthorised means
- Reverse engineer, decompile, or disassemble the app except as permitted by law
- Use automated means (bots, scripts) to interact with the Service without our permission
- Submit false or misleading proof of task completion to manipulate scores or rankings
- Resell, redistribute, or commercially exploit the Service without our written consent
We may suspend or terminate your account if we reasonably believe you have violated these rules.
We reserve the right to adjust, recalculate, reset, or invalidate scores and rankings if manipulation, abuse, or system exploitation is detected.

## 6. User Content
You retain ownership of content you create in the app (tasks, proof text, plans, etc.). By using the Service, you grant us a limited licence to store, process, and display this content solely to provide and improve the Service (e.g. scoring, rankings, analytics). We do not claim ownership of your content.
You are responsible for your content. Do not upload content that is illegal, harmful, or violates others' rights. We may remove content that violates these Terms.

## 7. Intellectual Property
Exerank, its name, logo, design, code, and all materials we provide are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as described.

## 8. Subscriptions and Payments
The Service offers free and premium (paid) plans. In-app purchases and subscriptions are governed by:
- **Terms of Sale** — our policy on pricing, refunds, cancellation, and auto-renewal
- **Apple App Store** or **Google Play** terms — purchases are processed through these platforms
By making a purchase, you also agree to the applicable store terms and our Terms of Sale.

## 9. AI Scoring and Analytics Disclaimer
Exerank uses automated systems and artificial intelligence to estimate difficulty, impact, scoring, and performance metrics. These scores and analytics:
- Are **informational only**
- Do **not** represent professional, financial, psychological, or performance advice
- May contain inaccuracies
- Are **not** guaranteed to reflect real-world outcomes
Rankings and scores are calculated using automated systems and may change as our algorithms evolve. You acknowledge that you use scoring and analytics at your own discretion and risk.
**Exerank does not guarantee productivity improvements, financial results, career advancement, or personal outcomes.** Any insights or metrics provided are for self-reflection and tracking purposes only.

## 10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.

## 11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- WE (AND OUR AFFILIATES, LICENSORS, AND SERVICE PROVIDERS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD 100).
- WE ARE NOT LIABLE FOR FAILURE TO PERFORM DUE TO EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING OUTAGES OF THIRD-PARTY PROVIDERS (E.G. AUTHENTICATION, DATABASE, AI SERVICES), HOSTING FAILURES, OR FORCE MAJEURE EVENTS (E.G. NATURAL DISASTERS, WAR, PANDEMIC, GOVERNMENT ACTIONS).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

## 13. Termination
**By you:** You may stop using the Service at any time. You may delete your account from Settings → Account → Delete account. Deletion is permanent; your data will be removed in accordance with our Privacy Policy.
**By us:** We may suspend or terminate your account or access to the Service at any time, with or without notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately.
**Effect of termination:** Provisions that by their nature should survive (e.g. Intellectual Property, AI Scoring Disclaimer, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law) will survive termination.

## 14. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Turkey, without regard to conflict of law principles.
- Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved by good-faith negotiation.
- If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Turkey.
- If you are a consumer in the European Union, you may have mandatory consumer rights under your local law that cannot be waived by these Terms.

## 15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Updating the "Last updated" date
- Posting the new Terms in the app (Settings → Terms of Use)
- Optionally, sending an in-app or email notice
Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and delete your account.

## 16. General
- **Entire agreement:** These Terms, together with our Privacy Policy and Terms of Sale, constitute the entire agreement between you and us regarding the Service.
- **Severability:** If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
- **Waiver:** Our failure to enforce any right does not waive that right.
- **Assignment:** You may not assign these Terms. We may assign our rights and obligations without restriction.
- **No agency:** Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us.
