EthnifyAI Terms of Service

Welcome to the EthnifyAI application (the "App"). These Terms of Service (the "Agreement") are entered into between Hong Kong Jiuying Network Technology Co., Ltd ("we", "us", or "our") and you (the "User" or "you") and govern your use of the EthnifyAI App and its related services. By accessing or using the EthnifyAI App, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions of this Agreement. If you do not agree with any part of this Agreement, please do not use the EthnifyAI App.

This Agreement constitutes the final, complete, and exclusive agreement between you and us regarding the use of the EthnifyAI App and supersedes all prior discussions and agreements between the parties (including any prior End User License Agreements, Terms of Service, or Privacy Policies).

1.Acceptance of Terms

1.1 Acceptance of Agreement: By using the EthnifyAI App, you confirm that you are of legal age to form a binding contract and agree to comply with the terms of this Agreement. If you are under the legal age, you must use the App with the consent and supervision of a parent or legal guardian.

1.2 Changes to the Agreement: We reserve the right to modify this Agreement at any time. Any modifications will become effective upon our posting of the revised Agreement. We may notify you of material changes through in-App notifications, email, or other reasonable means. Your continued use of the EthnifyAI App after the effective date of any such changes constitutes your acceptance of the revised Agreement. We recommend that you review this Agreement periodically to stay informed of any updates.

2.Service Description

The EthnifyAI App is an application that utilizes Artificial Intelligence (AI) technology to analyze facial photos uploaded or taken by users, estimate the countries of origin of their ancestors, and generate ancestral portraits. Our service aims to provide an interesting, educational, and personalized cultural exploration experience.

3.Non-Scientific/Non-Medical Disclaimer

All ancestry analysis results, ancestral portraits, cultural insights, and related information provided by the EthnifyAI App are for entertainment, educational, and general informational reference purposes only, and should not be considered scientific, medical, legal, or any form of official identity verification.

Our services do not provide medical diagnoses, treatment advice, and should not be used for any legal or forensic purposes. The results provided by the App are based on statistical analysis and pattern recognition of facial features by AI algorithms, which may have limitations and do not guarantee 100% accuracy or complete alignment with your actual ancestry.

You should not rely on any information provided by the App to make important personal, medical, or legal decisions. Before using the App, or before making any decisions based on any information provided by the App, you should always consult with qualified professionals.

We are not responsible for any consequences or damages resulting from your reliance on any information provided by the EthnifyAI App.

4.User Content and Facial Data

4.1 User Content: Refers to any content that you upload, distribute, or otherwise provide via the EthnifyAI App (including, but not limited to, your facial photos, personal information, feedback, etc.). You are solely responsible for your User Content.

4.2 Facial Photos and Biometric Data:

•Ownership: The facial photos you upload or take and their derived facial feature models (biometric data) always remain your property. We do not claim ownership of your facial photos or biometric data.

•License: To provide the core ancestry analysis and ancestral portrait generation services of EthnifyAI, you grant us a limited, non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, publish, process, and display your facial photos and their derived facial feature models. This license is solely for the purpose of providing and improving the EthnifyAI App and its services to you. We commit not to use your facial photos or biometric data for any other commercial purposes, including but not limited to selling to third parties or training our or third-party general AI models, unless you explicitly consent.

•Consent: Before processing your facial photos and biometric data, we will obtain your explicit consent in accordance with the Privacy Policy.

•Deletion: Your uploaded facial photos and generated facial feature models will be immediately deleted from our servers and third-party AI temporary storage after the ancestry report is generated, unless you explicitly consent to an extended retention period.

4.3 Acceptable Use Policy: You agree that:

•The facial photos you upload must be of yourself or photos for which you have obtained legal authorization. You must not upload unauthorized photos of others.

•You must not upload, distribute, or otherwise provide User Content that infringes any third-party rights (including privacy rights, portrait rights, copyrights, etc.).

•You must not use the EthnifyAI App for any illegal, unethical, or unauthorized activities, including but not limited to surveillance, authentication, discrimination, or any actions that violate applicable laws.

5.Intellectual Property

5.1 App Ownership: The EthnifyAI App is licensed, not sold, to you. We (and our licensors, where applicable) own all right, title, and interest, including all related intellectual property rights, in and to the EthnifyAI App. This Agreement does not convey to you any rights of ownership in or related to the EthnifyAI App.

5.2 Our Content: All content in the App other than User Content, including but not limited to text, graphics, logos, images, software, and AI-generated ancestral portraits (as service output), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

6.Account Registration and Security

6.1 Account Creation: You may need to register an account to use certain features of the EthnifyAI App. You agree to provide true, accurate, complete, and up-to-date registration information.

6.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

7.Subscriptions and Fees

The EthnifyAI App may offer premium subscription services or in-app purchases. All subscriptions and purchases are subject to this Agreement and a separate Subscription Agreement (available at [link to Subscription Agreement]) as well as the terms and conditions of the app store (e.g., Apple App Store) through which you obtained the App.

8.Third-Party Services and Links

The EthnifyAI App may contain links to third-party websites, services, or resources. We are not responsible for the content, privacy policies, or practices of these third-party websites or services. You access and use these third-party websites or services at your own risk and should review their respective terms and policies.

9.Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ETHNIFYAI APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR PERFORMANCE. WE DO NOT WARRANT THAT THE ETHNIFYAI APP WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED, TIMELY, SECURELY, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE ETHNIFYAI APP IS AT YOUR SOLE RISK.

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT, OUR PRIVACY PRACTICES, OR THE ETHNIFYAI APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR ACCESS TO AND USE OF THE ETHNIFYAI APP IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA RESULTING THEREFROM. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR OUR PRIVACY PRACTICES (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS (IF ANY). IN NO EVENT SHALL OUR SUPPLIERS HAVE ANY LIABILITY ARISING OUT OF OR IN ANY WAY CONNECTED TO THIS AGREEMENT.

11.Indemnification

You agree to defend, indemnify, and hold harmless us (and our suppliers) from and against any claims, suits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) brought by third parties resulting from or relating to: (i) your use of the EthnifyAI App; (ii) your User Content; or (iii) your violation of this Agreement. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

12.Term and Termination

12.1 Agreement Effectiveness: This Agreement commences on the date you accept this Agreement (as described in the preamble) and will remain in full force and effect while you use the EthnifyAI App, unless terminated earlier in accordance with this Agreement.

12.2 User Termination: You may terminate your account and stop using the services at any time through the App settings or by contacting us. Upon termination, your right to use the EthnifyAI App will automatically terminate immediately.

12.3 Our Termination: We reserve the right, in our sole discretion, to suspend or terminate your account and access to the EthnifyAI App at any time without notice, for reasons including, but not limited to, your violation of this Agreement. Upon termination, your User Content may be deleted from our live databases. We shall not have any liability whatsoever to you for any termination of this Agreement, including the deletion of your User Content.

12.4 Survival: Even after this Agreement is terminated, the following provisions of this Agreement will remain in effect: Section 3 (Non-Scientific/Non-Medical Disclaimer), Section 4.2 (Facial Photos and Biometric Data), Section 4.3 (Acceptable Use Policy), Section 5 (Intellectual Property), Section 9 (Disclaimers), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 12.4 (Survival), Section 13 (Governing Law and Dispute Resolution), and Section 14 (Miscellaneous).

13.Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles. Any dispute, claim, or disagreement arising out of or in connection with this Agreement shall first be resolved by friendly negotiation between the parties. If negotiation fails, either party may submit the dispute to the competent courts in Hong Kong for resolution.

14.Miscellaneous

14.1 Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the EthnifyAI App and its services and supersedes all prior oral or written agreements.

14.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

14.3 Waiver: Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
