Drovat (“we,” “us,” “our”) is committed to protecting your privacy. This Policy explains how we collect, use, disclose, and safeguard your personal data when you use our Platform, in compliance with the Nigeria Data Protection Act, 2023 (NDPA) and other applicable laws.
2. Data We Collect
· Account Information: Full name, phone number, email address, emergency contacts (provided by you).
· Asset Data: Vehicle make, model, year, licence plate, and availability (for Host Drivers and Fleet Owners).
· Commercial Data: Vendor promotional materials, product listings, website links, advertising content.
· Location Data: String-based city/state inputs (e.g., “Yaba, Lagos”); live GPS coordinates when the SOS feature is active (and the app is in the foreground); ride-related location data required for matching and route display.
· Transaction & Feedback Data: Payment details (processed by Stripe—we do not store full card numbers), ride history, cancellations, ratings, and comments.
· Automatically Collected Data: Device type, IP address, app logs, and usage patterns.
3. How We Use Your Data
We process personal data for the following purposes:
· To provide, maintain, and improve the Platform (ride matching, asset listings, advertising display, SOS notifications).
· To process payments and manage subscriptions.
· To send service-related communications (e.g., ride confirmations, SOS alerts).
· To comply with legal obligations and respond to law enforcement requests.
· For legitimate interests such as analysing usage trends and preventing fraud.
Legal Basis: Performance of a contract (Terms of Service), consent (where explicitly given, e.g., for marketing), legitimate interests, and legal obligation.
4. Sharing & Disclosure
We may share your data with:
· Other Users: Host Driver’s name, photo, vehicle, and contact number shared with matched Riders; Fleet Owner and renting driver contact details shared upon a rental match.
· Service Providers: Stripe (payments), Make.com (automation workflows, SOS email dispatch), GPS API providers, and hosting services. These parties are bound by confidentiality and data processing agreements.
· Emergency Contacts: When you activate the SOS feature, your live GPS coordinates and pre-set message are sent to your designated contacts.
· Legal Authorities: Where required by law or to protect our rights and safety.
We do not sell your personal data.
5. Data Retention
We retain your personal data for as long as your account remains active, and thereafter for a period necessary to comply with legal obligations, resolve disputes, and enforce our agreements. Anonymized data may be retained indefinitely.
6. Data Security
We implement administrative, technical, and physical safeguards to protect your data. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security.
7. Your Rights Under NDPA
You have the right to:
· Access, correct, or delete your personal data.
· Restrict or object to processing.
· Withdraw consent where processing is based on consent.
· Data portability (receive your data in a structured, commonly used format).
· Lodge a complaint with the Nigeria Data Protection Commission (NDPC).

8. Children’s Privacy
The Platform is not intended for individuals under 18. We do not knowingly collect data from children.
9. Third-Party Links & Services
Our Platform uses Stripe and Make.com. Their handling of your data is governed by their respective privacy policies. We are not responsible for their practices.
10. Changes to This Policy
We may update this Policy and will notify you by posting the revised version on the Platform and updating the “Last Updated” date. Continued use after changes constitutes acceptance.

3. DRIVER / HOST AGREEMENT
This Agreement is between Drovat (“Company”) and the individual registering as a Host Driver (“You”/“Driver”). By clicking “I Agree” or providing your vehicle information, you accept this Agreement and incorporate the Terms of Service and Waiver & Release.
1. Appointment & Scope
The Company operates a digital marketplace where independent drivers can offer shared commute rides. You wish to use the Platform to find Riders. You are not an employee, agent, or legal representative of the Company.
2. Driver’s Representations & Warranties
You warrant that:
· You hold a valid Nigerian driver’s licence and any required Lagos State driving credentials (e.g., LASDRI card).
· Your vehicle is registered, roadworthy, and covered by a comprehensive motor insurance policy that includes third-party liability and passenger indemnity—meeting or exceeding Lagos State minimum requirements.
· You will maintain the insurance and provide proof upon request.
· You will comply with all traffic laws, regulations, and safe driving practices.
· You have no disqualifying criminal or driving offence history that would make your service unsafe.
3. Independent Contractor Status
· You are an independent business, solely responsible for your own taxes, social security contributions, and all business licences.
· Drovat does not control your schedule, route, or decision to accept a ride.
· You have no authority to bind Drovat, and you shall not represent yourself as an employee.
4. Platform Services & Limitations
· Drovat’s role is limited to displaying your profile and facilitating a connection with Riders and processing payments.
· Drovat does not provide transportation, does not guarantee rider volume, and does not inspect your vehicle. We are not responsible for the conduct or safety of any Rider.
5. Fees & Payments
· You agree to pay the subscription/service fees as published. Drovat may deduct its applicable commission from the fare paid by the Rider before remitting the net amount to your designated bank account.
· You are responsible for providing accurate bank details. Drovat is not liable for delays or losses caused by incorrect information.
6. SOS Feature & Passenger Safety
· If a Rider activates the SOS Feature during your trip, the Platform will transmit the rider’s device GPS coordinates. You acknowledge the feature’s limitations (active foreground app, network dependencies) and agree Drovat is not liable for any failure of the feature.
· You are solely responsible for the safety of your passengers. You agree to indemnify Drovat for any claims arising from incidents during a ride.
7. Liability & Indemnity
· To the fullest extent permitted by law, you release and discharge Drovat from any liability for injury, death, property damage, or economic loss arising from your use of the Platform or the provision of rides.
· You shall indemnify Drovat against all claims, damages, or expenses (including legal fees) resulting from your breach of this Agreement, your negligence, or any accident/incident involving your vehicle.
8. Termination
Either party may terminate this Agreement with seven (7) days’ notice. Drovat may suspend your account immediately for breach, safety concerns, or receipt of serious complaints. Upon termination, your right to use the Platform as a Host Driver ceases.
9. Governing Law & Dispute Resolution
This Agreement is governed by Lagos State law, with arbitration as per the Terms of Service.

4. FLEET OWNER RENTAL AGREEMENT
This Agreement is between Drovat (“Company”) and the Fleet Owner (“You”) listing vehicles on the Drovat Platform. By registering and posting a listing, you accept this Agreement, the Terms of Service, and the Waiver & Release.
1. Platform Role
Drovat provides a technology marketplace where Fleet Owners can list vehicles available for rent to independent drivers. The Company is not a rental car operator, leasing agent, or vehicle broker. All rental contracts are formed directly between you and the renting driver.
2. Listing & Fees
· You may upload vehicle details (make, model, plate number, availability, desired rental rate). You are responsible for the accuracy of all listings.
· You agree to pay the listing/subscription fee as set by Drovat. Fees are non-refundable.
· Drovat may, at its discretion, facilitate communication or payment of a security deposit through the Platform, but such facilitation does not make Drovat a party to the rental transaction.
3. No Vetting & No Liability
· Drovat does not screen, background-check, or guarantee the driving record, financial standing, or integrity of any driver who views or rents your vehicle. You are solely responsible for vetting potential renters and for entering into your own rental contract.
· Drovat is not liable for any loss or damage to your vehicle, including theft, accident, mechanical failure, or non-payment of rent.
· You bear all risk associated with leasing your asset.
4. Insurance & Maintenance
You must maintain comprehensive insurance covering commercial/rental use of the vehicle. You must ensure the vehicle is roadworthy and in a safe mechanical condition before each rental. You agree to indemnify Drovat against claims arising from the vehicle’s condition or use by a renting driver.
5. Disputes Between You and a Driver
Any dispute regarding rental payments, return of the vehicle, security deposit, or damage is solely between you and the driver. Drovat has no obligation to mediate, compensate, or enforce any private agreement.
6. SOS Feature
If a renting driver or passenger uses the SOS Feature in a vehicle you own, you acknowledge the feature’s limitations and hold Drovat harmless for any related failure.
7. Limitation of Liability & Indemnity
· Drovat’s liability for any claim related to this Agreement is capped at the total listing fees you paid in the three (3) months preceding the claim, or ₦50,000, whichever is less.
· You shall indemnify Drovat for all losses, claims, and damages (including legal costs) arising from your listing, any rental transaction, or breach of this Agreement.
8. Termination
This Agreement may be terminated by either party with thirty (30) days’ notice. Drovat may remove listings and suspend your account immediately for any breach.
9. Governing Law
This Agreement is subject to Lagos State law and the dispute resolution provisions of the Terms of Service.

5. VENDOR / ADVERTISER POLICY
This Vendor/Advertiser Policy (“Policy”) applies to any business or individual (“Vendor”) that places advertisements or product listings on the Drovat Platform. By submitting promotional content, you agree to this Policy, the Terms of Service, and the Waiver & Release.
1. Advertising Venue
Drovat provides digital space (banners, feeds, push notifications) for Vendors to promote their goods and services. Drovat is not a marketplace for transactions; it is solely an advertising display platform.
2. Content Guidelines
· You are responsible for the truthfulness, legality, and decency of all content you upload.
· You must not promote illegal products, counterfeit goods, hate speech, or content that infringes third-party intellectual property.
· Drovat reserves the right to reject, suspend, or remove any advertisement at its sole discretion, without refund.
3. No Endorsement or Guarantee
· Drovat does not vet, endorse, or guarantee the quality, safety, legality, or efficacy of any product or service advertised. Users interact with you at their own risk.
· All purchase contracts, deliveries, warranties, and refunds are strictly between you and the user. Drovat is not a party to any such transaction and shall not be involved in any dispute.
4. Fees & Payments
Vendors agree to pay the advertising/subscription fees as set out in the order form or rate card. All fees are non-refundable, even if an advertisement is later removed or underperforms.
5. Data and Privacy
You must comply with the Nigeria Data Protection Act and our Privacy Policy when collecting or processing user data. You may not use user data obtained through the Platform for unsolicited marketing or sell it to third parties.
6. Liability & Indemnity
· Drovat disclaims all warranties regarding the placement, reach, or conversion of advertisements.
· You agree to indemnify, defend, and hold Drovat harmless from any claims, damages, or costs arising out of your advertisements, the products or services offered, any transaction with a user, or your breach of this Policy.
· Drovat’s maximum liability, if any, is limited to the fees paid by you in the three (3) months before the claim.
7. Termination
Either party may terminate the advertising relationship upon written notice. Drovat may immediately suspend a campaign for violation of this Policy.
8. Governing Law
This Policy is governed by Lagos State law and subject to the dispute resolution mechanism of the Terms of Service.
6. STRICT LIABILITY WAIVER & RELEASE OF LIABILITY
PLEASE READ THIS DOCUMENT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. BY CHECKING “I ACCEPT” OR USING THE DROVAT PLATFORM, YOU (ON BEHALF OF YOURSELF, YOUR HEIRS, AND PERSONAL REPRESENTATIVES) AGREE TO THIS WAIVER AND RELEASE (“WAIVER”).
1. Assumption of Risk
You acknowledge that using the Drovat Platform—including but not limited to shared rides, vehicle rentals, interactions with vendors, and reliance on the SOS emergency feature—involves inherent and unforeseeable risks. These risks include, without limitation: vehicular accidents; personal injury; permanent disability or death; property damage or theft; failure of the SOS Feature or delayed emergency response; financial loss from rental or vendor transactions; and misconduct of other users.
YOU VOLUNTARILY ASSUME ALL SUCH RISKS AND ACCEPT FULL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM.
2. SOS Feature – Specific Acknowledgment
You understand that the SOS Feature:
· Only transmits GPS coordinates while the Drovat application is open and in the foreground on your device.
· Pings your location approximately every 10 seconds; it cannot operate in the background.
· Depends on cellular network availability, device battery, and third-party integrations (Make.com).
Drovat is not an emergency response provider and does not guarantee that emergency contacts will receive notifications or that any emergency service will respond.
YOU RELEASE DROVAT FROM ANY LIABILITY FOR FAILURE, DELAY, INACCURACY, OR ANY HARM RESULTING FROM USE OR NON-USE OF THE SOS FEATURE.
3. Vehicle Rental & Fleet Owner Disclaimer
· If you are a Fleet Owner, you acknowledge that Drovat does not vet or guarantee any renting driver. You assume all risk of vehicle theft, damage, and non-payment of rent. Drovat is not liable for any loss.
· If you are a renting driver, you acknowledge that Drovat does not inspect or guarantee the condition of any listed vehicle. You assume all risk of driving an unfamiliar vehicle.
· ALL PARTIES WAIVE AND RELEASE DROVAT FROM ANY CLAIM ARISING FROM THE RENTAL RELATIONSHIP.
4. Vendor Transactions
Drovat does not manufacture, supply, or warrant any product or service advertised by Vendors. Any transaction you enter into with a Vendor is solely between you and the Vendor. You waive any right to hold Drovat liable for product defects, non-delivery, misrepresentation, or any loss related to a vendor transaction.
5. General Release of Drovat
To the maximum extent permitted by Nigerian law, you hereby irrevocably release, acquit, and forever discharge Drovat and its officers, directors, employees, and affiliates from any and all claims, demands, liabilities, and causes of action, whether known or unknown, arising out of or related to your use of the Platform and Services, including negligence on the part of Drovat.
6. Indemnification
You agree to indemnify and hold Drovat harmless from any loss, liability, damage, or cost (including legal fees) incurred as a result of your use of the Platform or your breach of this Waiver.
7. Representation
You represent that you are at least 18 years old, that you have read and understood this Waiver, and that you are giving up substantial legal rights, including the right to sue Drovat.
8. Severability & Survival
If any provision of this Waiver is held unenforceable, the remaining provisions shall remain in full force. This Waiver shall survive termination of your account.
9. Governing Law
This Waiver is governed by the laws of Lagos State, Nigeria. Any dispute shall be resolved in accordance with the Terms of Service.
BY CLICKING “I ACCEPT” OR CONTINUING TO USE THE PLATFORM, YOU AFFIRM THAT YOU HAVE READ AND VOLUNTARILY AGREE TO THIS WAIVER AND RELEASE.

1. Introduction
Welcome to Drovat (“Platform,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of the Drovat mobile application, website, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Definitions
· “User” means any individual or entity that accesses the Platform.
· “Rider” means a User who books and takes shared commutes.
· “Host Driver” means an independent individual who registers a vehicle to offer shared rides.
· “Fleet Owner” means a person or business that lists vehicles for rent to drivers.
· “Vendor” means a third-party business that advertises or sells products/services through the Platform.
· “SOS Feature” refers to the emergency tracking and notification function described in Section 6.
3. Eligibility & Account
You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account. One account per legal entity; commercial entities must register with their legal name and appropriate documentation.
4. General User Obligations
All Users agree to:
· Comply with all applicable laws, including Lagos State traffic, transport, and commerce regulations.
· Not misuse the Platform, including uploading malicious code, harassing others, or using the SOS Feature for false emergencies.
· Not use the Platform to arrange illegal transportation or commerce.
· Accept that Drovat does not perform background checks on any User, except as explicitly stated.
5. Role-Specific Terms
5.1 Riders
· You book rides at your own risk. Drovat does not guarantee the availability, punctuality, safety, or conduct of any Host Driver.
· You agree to pay the displayed fare and any applicable cancellation fees. Payment is made directly to the driver; Drovat is not liable for processing errors.
· You acknowledge that Drovat is not a transportation provider and disclaims all liability for accidents, injuries, theft, or property damage during a ride.
5.2 Host Drivers
· You are an independent contractor, not an employee, agent, or partner of Drovat. You are solely responsible for all taxes, insurance, and regulatory compliance.
· You represent and warrant that you hold a valid Nigerian driver’s license, that your vehicle is registered, roadworthy, and covered by comprehensive insurance (including third-party liability and passenger indemnity) as required by Lagos State law.
· Drovat does not vet your driving record, criminal history, or vehicle condition. You accept full liability for the safety of Riders and for any accidents, injuries, or damage that occur during a ride.
· You grant Drovat a limited, royalty-free license to display your profile information and vehicle details.
· You agree to pay the applicable subscription or service fee to Drovat. Drovat may deduct its commission from rider payments before remitting the balance to you.
· Indemnity: You shall indemnify, defend, and hold harmless Drovat against any claims, losses, liabilities, or expenses arising out of your provision of transportation services, breach of these Terms, or violation of law.
5.3 Fleet Owners
· You are an independent entity listing vehicles for rent. Drovat is solely a venue that connects you with potential renting drivers.
· You represent that you own or have legal authority to lease the listed vehicles, and that each vehicle is roadworthy, duly registered, and insured.
· Drovat does not inspect, maintain, or insure your vehicles. We do not vet any driver who may rent your vehicle.
· All rental transactions, including security deposits, rental fees, return conditions, and disputes, are strictly between you and the renting driver. Drovat is not a party to any rental contract and assumes zero liability for theft, damage, non-payment, accidents, or any loss.
· You agree to pay the applicable listing/subscription fee. Fees are non-refundable.
· Indemnity: You shall indemnify Drovat against all claims, damages, or losses arising from your vehicle listings, any rental arrangement, or your breach of these Terms.
5.4 Vendors
· You may promote your products/services through the Platform. Drovat acts solely as an advertising venue.
· You represent that your content and offerings comply with all applicable laws, do not infringe third-party rights, and are safe for consumers.
· Drovat does not endorse, guarantee, or verify your products, services, or promotional claims. All transactions, fulfilment, refunds, and disputes are strictly between you and the purchasing User.
· You agree to pay the advertising/subscription fees as agreed. Fees are non-refundable.
· Indemnity: You shall indemnify Drovat against all claims arising from your advertisements, products, or any transaction made through or in connection with the Platform.
6. SOS Emergency Feature
The SOS Feature, when manually triggered, sends periodic GPS coordinates (updated every 10 seconds while the app is in the active foreground) to three pre-selected emergency contacts via automated email/webhook (using Make.com).
· Technical Limitations: The Feature cannot operate in the background; if the app is closed, the function stops. GPS accuracy depends on device hardware, cellular signal, and battery power. Drovat does not guarantee delivery of notifications or the timeliness/accuracy of location data.
· No Emergency Substitute: The SOS Feature is a supplemental tool, not a replacement for law enforcement, emergency services, or professional security. Drovat is not responsible for any failure of the Feature, delayed response, or any loss, injury, or death resulting from an emergency situation.
· Your Responsibility: You acknowledge and accept these limitations. If you rely on the SOS Feature, you do so at your own risk.
7. Payments and Cancellations
· All payments for rides, subscriptions, and advertising are processed through third-party gateways (e.g., Paystack). Drovat is not liable for unauthorized charges, processing delays, or currency conversion losses, except as required by law.
· Ride cancellations may be subject to fees as per the in-app policy. Host Driver subscriptions and Fleet Owner listing fees are non-refundable unless otherwise mandated by consumer protection regulations.
· Drovat may modify its fee structure upon reasonable notice.
8. User Content
You retain ownership of content you post (comments, feedback, etc.) but grant Drovat a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display it for operating and promoting the Platform. We may remove content that violates these Terms.
9. Prohibited Conduct
You must not: (a) use the Platform for any illegal or fraudulent purpose; (b) interfere with the Platform’s operation; (c) impersonate another person; (d) misuse the SOS Feature; (e) attempt to circumvent any fees; (f) harvest data or scrape the Platform.
10. Intellectual Property
All rights, title, and interest in the Drovat brand, software, and design are owned by us. No licence is granted except as expressly stated.
11. Third-Party Services
The Platform integrates with services such as Adalo, Make.com, Paystack, and GPS APIs. We are not responsible for their availability, actions, or data handling. Your use of such services may be subject to their own terms.
12. DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DROVAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OF LISTINGS, THE SAFETY OF RIDES OR RENTALS, THE QUALITY OF VENDOR PRODUCTS, OR THE RELIABILITY OF THE SOS FEATURE.
DROVAT DOES NOT GUARANTEE THAT DRIVERS, RIDERS, FLEET OWNERS, OR VENDORS ARE TRUSTWORTHY OR COMPETENT. ALL INTERACTIONS ARE AT YOUR OWN RISK.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, DROVAT (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS OF PROFITS, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL DROVAT’S AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID TO DROVAT IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR FIFTY THOUSAND NAIRA (₦50,000). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify and hold Drovat harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your use of the Services, or your interactions with other Users (including rides, rentals, and vendor transactions).
15. Insurance
Drovat does not provide any insurance coverage. Host Drivers and Fleet Owners must maintain, at their own expense, comprehensive insurance policies that cover their activities on the Platform. Riders are encouraged to carry personal accident/health insurance.
16. Suspension & Termination
We may suspend or terminate your account at our sole discretion, with or without cause and without prior notice, particularly for breach of these Terms, illegal activity, or safety concerns. Upon termination, your right to use the Services ceases immediately.
17. Dispute Resolution & Governing Law
· Governing Law: These Terms are governed by the laws of Lagos State, Nigeria, without regard to conflict-of-law principles.
· Arbitration: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004. The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English. All claims must be brought in the party’s individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
· Exceptions: Drovat may seek injunctive or equitable relief in the courts of Lagos State to protect its intellectual property or to prevent imminent harm.
18. Waiver & Severability
Our failure to enforce any provision shall not constitute a waiver. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, the Waiver & Release of Liability, and any role-specific agreements you have accepted, constitute the entire agreement between you and Drovat.
