Terms of Use — Deltos Notes

These Terms of Use ("Terms") govern your use of the Deltos Notes app ("Deltos Notes", the "App"). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. By using it, you represent that you meet this requirement and that you have the authority to accept these Terms.

2. License
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on Apple devices that you own or control, in accordance with these Terms and the Apple Media Services / App Store Terms. You may not copy, modify, reverse-engineer, decompile, resell, or distribute the App except as permitted by law.

3. What the App does
Deltos Notes lets you record or import audio, transcribe it, and transform it with AI into outputs such as summaries, action items, outlines, and messages. Transcription and AI generation are provided using third-party services (OpenAI), as described in our Privacy Policy. An internet connection is required for these features.

4. Your content
You retain all rights to the content you create, record, or import ("Your Content"). We do not claim ownership of Your Content. You grant us and our processors only the limited rights necessary to process Your Content in order to provide the features you request (for example, sending a recording for transcription). You are solely responsible for Your Content and for ensuring you have the right to record and process it.

5. AI-generated output — no guarantee of accuracy
Transcripts and AI-generated outputs are produced by automated systems and may be inaccurate, incomplete, or misleading. Do not rely on them for medical, legal, financial, safety, or other critical decisions without independent verification. You are responsible for reviewing outputs before relying on or acting on them. The App is a productivity tool, not professional advice.

6. Acceptable use
You agree not to use the App to:

• record or process content you do not have the right to record or process;

• violate any law or the rights of others;

• attempt to disrupt, overload, reverse-engineer, or circumvent the App's infrastructure, rate limits, or security;

• generate or process unlawful, harmful, or abusive content.

We may suspend or limit access to the processing features if we reasonably believe they are being misused.

7. Subscriptions (Deltos Pro)
The App offers optional auto-renewing subscriptions ("Deltos Pro") that unlock additional features.

• Purchases are processed by Apple through your App Store account.

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.

• If a free trial is offered, any unused portion is forfeited when you purchase a subscription, where applicable.

• You can manage or cancel your subscription in your Apple ID / App Store account settings.

• Prices are shown in the App before purchase and may vary by region and change over time.

• Except where required by law, payments are non-refundable; refund requests are handled by Apple.

Free features and the specific features included in Deltos Pro may change over time.

8. Third-party services
The App relies on third-party services, including OpenAI (transcription and AI), Apple iCloud/CloudKit (optional sync), and the Apple App Store (purchases). Your use of those services is also subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Intellectual property
The App, including its design, code, branding, and content (excluding Your Content), is owned by us and protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property except the limited license in Section 2.

10. Disclaimers
The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or that outputs will be accurate.

11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of (or inability to use) the App. To the extent liability cannot be excluded, our total liability is limited to the amount you paid for the App in the 12 months before the claim, or, where required, the minimum permitted by law.

12. Termination
You may stop using the App at any time and delete it. We may suspend or terminate your access if you breach these Terms or misuse the App. Sections that by their nature should survive termination (including Sections 4, 5, 9, 10, 11) will survive.

13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where appropriate, provide notice in the App. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law
These Terms are governed by the laws of [твоя юрисдикція — напр. Ukraine / країна реєстрації], without regard to conflict-of-law rules, except where mandatory consumer-protection laws of your place of residence apply.

15. Apple-specific terms
If you obtained the App from the Apple App Store, the standard Apple Licensed Application End User License Agreement (EULA) also applies (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/). In case of conflict between these Terms and the Apple EULA for App Store matters, the Apple EULA governs to the extent required. Apple is not a party to these Terms and is not responsible for the App or its content, but Apple and its subsidiaries are third-party beneficiaries entitled to enforce these Terms against you.
