利用規約

この利用規約（以下、「本規約」といいます。）は、Cxds Studio（以下、「提供者」といいます。）が提供するサービス（以下、「本サービス」といいます。）の利用条件を定めるものです。本サービスを利用するすべてのユーザー（以下、「ユーザー」といいます。）は、本規約に同意したものとみなされます。

■ 第1条（適用）

本規約は、ユーザーと提供者との間の本サービスの利用に関わる一切の関係に適用されるものとします。

■ 第2条（利用登録）

1. 本サービスの利用登録は、登録希望者が本規約に同意の上、提供者の定める方法によって申請し、提供者が承認することによって完了します。

2. 提供者は、以下の事由に該当すると判断した場合、利用登録を承認しないことがあります。

- 虚偽の申請をした場合

- 過去に規約違反をしたことがある場合

- その他、提供者が利用登録を不適当と判断した場合

■ 第３条（認証およびサブスクリプション管理）

1. 本サービスでは、Googleアカウントを用いた認証およびサブスクリプション契約を行います。

2. 認証およびサブスクリプション契約に関する管理は、Googleの利用規約およびプライバシーポリシーに従うものとします。

3. ユーザーは、Googleアカウントの管理について自己責任で行うものとします。

■ 第4条（利用料金および支払方法）

ユーザーは、本サービスの有料部分の利用料金を提供者が定める方法で支払うものとします。

■ 第5条（禁止事項）

ユーザーは、本サービスの利用にあたり、以下の行為を禁止します。

1. 法令または公序良俗に違反する行為

2. 犯罪行為に関連する行為

3. 本サービスの知的財産権を侵害する行為

4. サーバーやネットワークを妨害する行為

5. 不正アクセスや情報収集行為

6. 他のユーザーや第三者に不利益や不快感を与える行為

7. 反社会的勢力への利益供与行為

8. その他、提供者が不適切と判断する行為

■ 第6条（本サービスの提供の停止等）

1. 提供者は、以下の場合に事前通知なく本サービスの提供を停止または中断できるものとします。

- システム保守や更新

- 地震、火災、停電などの不可抗力

- 通信回線や設備の事故

- その他、提供者がサービス提供困難と判断した場合

2. 提供停止により発生した損害について、提供者は責任を負いません。

■ 第7条（利用制限および登録抹消）

1. ユーザーが以下の行為を行った場合、提供者は事前の通知なく、本サービスの全部または一部へのアクセスを制限または停止できるものとします。

- 本規約に違反する行為

- サブスクリプション契約の不履行または支払いトラブル

- 本サービスで定めた事項に該当する行為

- その他、提供者またはGoogleの規約に違反した場合

2. 本条に基づく措置により生じた損害について、提供者は一切の責任を負いません。

■ 第8条（免責事項）

本規約各条に免責・責任制限の特則があるときは当該特則を優先し、その他のケースは本条によります。 

1. 本サービスに起因する損害について、提供者の故意または重過失を除き責任を負いません。

2. ユーザー同士や第三者間のトラブルについて、提供者は責任を負いません。

■ 第9条（サービス内容の変更等）

提供者は、ユーザーへの事前の通知なしに、本サービスの内容を変更、追加または廃止することができるものとします。

■ 第10条（規約の変更）

提供者は以下の場合、ユーザーの同意なく規約を変更できます。

- 利用者の利益に適合するとき

- 変更が合理的と判断されるとき

変更後の規約は、提供者が第12条の方法で公表（掲示又は通知）した時点から直ちに効力を生じます。 

■ 第11条（個人情報の取扱い）

提供者は、本サービスの利用により取得した個人情報をプライバシーポリシーに従い適切に取り扱います。

■ 第12条（通知または連絡）

ユーザーへの通知または連絡は、提供者が定める方法で行います。

■ 第13条（権利義務の譲渡の禁止）

ユーザーは、提供者の事前承諾なく権利義務を第三者に譲渡できません。

■ 第14条（準拠法・裁判管轄）

1. 本規約は日本法を準拠法とします。

2. 紛争が生じた場合、提供者所在地の裁判所を専属管轄とします。

These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for using the services provided by Cxds Studio (hereinafter referred to as the "Provider") through its mobile application (hereinafter referred to as the "Service"). All users (hereinafter referred to as "Users") who use this Service are deemed to have agreed to these Terms.

■ Article 1 (Application)

These Terms shall apply to all relationships related to the use of the Service between the Users and the Provider.

■ Article 2 (User Registration)

1. User registration for the Service shall be completed when an applicant agrees to these Terms, applies in a manner specified by the Provider, and the Provider approves the application.

2. The Provider may refuse registration if it determines that the applicant falls under any of the following:

- The application contains false information.

- The applicant has previously violated these Terms.

- Other cases in which the Provider deems the registration inappropriate.

■ Article 3 (Authentication and Subscription Management)

1. The Service utilizes Google accounts for authentication and subscription contracts.

2. Management of authentication and subscription contracts shall be governed by Google's Terms of Service and Privacy Policy.

3. Users are responsible for managing their Google accounts.

■ Article 4 (Usage Fees and Payment Methods)

Users shall pay the fees for the paid parts of the Service as determined by the Provider.

■ Article 5 (Prohibited Actions)

Users shall not engage in the following actions when using the Service:

1. Acts that violate laws or public order and morals.

2. Criminal acts or acts related to criminal activities.

3. Acts that infringe the intellectual property rights of the Service.

4. Acts that interfere with servers or networks related to the Service.

5. Unauthorized access or information gathering activities.

6. Acts that cause disadvantages, damages, or discomfort to other Users or third parties.

7. Providing benefits to antisocial forces.

8. Other acts deemed inappropriate by the Provider.

■ Article 6 (Suspension of the Service)

1. The Provider may suspend or interrupt the provision of all or part of the Service without prior notice to Users if any of the following occur:

- Maintenance or updates of computer systems related to the Service.

- Natural disasters such as earthquakes, fires, or power outages that make it difficult to provide the Service.

- Accidents involving computers or communication lines.

- Other circumstances where the Provider determines that providing the Service is difficult.

2. The Provider shall not be liable for any damages incurred by Users due to the suspension or interruption of the Service.

■ Article 7 (Usage Restrictions and Deregistration)

1. The Provider may restrict or suspend access to all or part of the Service without prior notice if a User engages in any of the following:

- Violates these Terms.

- Fails to fulfill subscription contracts or encounters payment issues.

- Acts that fall under provisions specified within this Service.

- Violates the Provider's or Google's terms and policies.

2. The Provider shall not be liable for any damages resulting from actions taken under this Article.

■ Article 8 (Disclaimer)

Where any other Article of these Terms contains a specific provision regarding disclaimers or limitation of liability, such specific provision shall prevail to the extent applicable; all other cases shall be governed by this Article. 

1. The Provider shall not be liable for any damages incurred by Users in connection with the Service, except in cases of willful misconduct or gross negligence by the Provider.

2. The Provider shall not be responsible for disputes, transactions, or issues between Users or between Users and third parties.

■ Article 9 (Changes to Service Content)

The Provider may change, add, or discontinue the content of the Service without prior notice to Users.

■ Article 10 (Changes to Terms of Service)

The Provider may change these Terms without obtaining User consent in the following cases:

- When the change is in the User's general interest.

- When the change is reasonable in light of the purpose of the Service.

The amended Terms shall take effect immediately upon publication (posting or notice) by the Provider in the manner set forth in Article 12. 

■ Article 11 (Handling of Personal Information)

The Provider shall handle personal information obtained through the use of the Service appropriately in accordance with the Provider's Privacy Policy.

■ Article 12 (Notices and Communication)

Notices and communication between Users and the Provider shall be conducted using methods specified by the Provider.

■ Article 13 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or assign their rights or obligations under these Terms to third parties without prior consent from the Provider.

■ Article 14 (Governing Law and Jurisdiction)

1. These Terms shall be governed by and construed in accordance with the laws of Japan.

2. Any disputes arising from or related to the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Provider's location.
