This Agreement ("Agreement") set out the terms and conditions between the Client ("you", "your", "payor") and Civil Engineering Spreadsheets ("us", "we", "payee", "Company"), governing the use of our website and our downloadable digital files and content, including, but not limited to, templates, spreadsheets, video tutorials, PDF files, and e-books (the "Products"). Your use of our website, and our products constitutes your full acceptance of these terms and conditions. If you do not agree with these terms and conditions, you are to refrain from using our products and website. Client must be at least 18 years of age to use this service.
LICENSE AND USE
After purchasing the Products, the Client will be given lifetime access to the Product materials through direct download. The Client is hereby granted ONE (1) EXCLUSIVE, NON-SUBLICENSABLE, NON-TRANSFERABLE, LICENSE TO USE THE PRODUCT. Client agrees that the Products may not be shared with any third party. The Company reserves the right to immediately terminate Client's access to the Product if the Company suspects that the Product is being shared with another party. REFUNDS AND CHARGEBACKS
Due to the nature of digital products being immediately accessible upon purchasing, all sales are final. No refunds of any fees or other amounts paid by Client in connection with the Product will be allowed under any circumstances.
WARRANTIES AND LIABILITY
The Company makes every effort to ensure that the Product is accurate, authoritative, and fit for the use of customers. However, the Company takes no responsibility whatsoever for the sustainability of the product, and we provide no warranties as to the function or use of the product, whether express, implied, or statutory, including, without limitation, any warranties of merchantability or fitness for the particular purpose. The Client agrees to indemnify the Company against all liabilities, claims, demands, expenses, actions, costs, damages, or loss arising out of the Client's breach of this Agreement. Furthermore, the Company shall not be liable to the Client or any party for consequential, indirect, special or exemplary damages including, but not limited to, damages for loss of profits, business or anticipated benefits whether arising under tort, contract, negligence or otherwise whether or not foreseen, reasonably foreseeable or advised of the possibility of such damages.
ENTIRE AGREEMENT
This is a binding Agreement that incorporates the entire understanding of the parties, supersedes any other written or oral agreements between parties, and any modifications must be in writing, signed by both parties, and physically attached to the original agreement.
