BELFIUS HACKATHON RULES
1. DEFINITIONS
“Affiliate”: any person, partnership, joint venture, company, corporation or other form of enterprise, domestic or foreign, that directly or indirectly controls or owns, is controlled or owned by, or is under common control or ownership with Belfius.
“Belfius”: Belfius Bank NV and any current and or future Affiliate or subsidiary.
“Belfius Personnel”: members personnel of Belfius.
“Intellectual Property Rights” mean patents (including patent applications, reissues, divisions, continuations and extensions), utility models, copyrights, trade secrets, trademarks, service marks, mask work rights, privacy rights, publicity rights and any other form of intellectual property rights, know how, trade secrets and/or proprietary right protection afforded by law or the laws of any jurisdiction or bilateral or multilateral international treaty regime.
“Works”: without being exhaustive, any idea, content, work, software tool or program, or any other creation developed, discussed, presented or communicated in any manner as part of or in relation to the Belfius Hackathon.
“Price”: an award and/or a price.
2. PARTICIPATION
Participation to the Belfius Hackathon is open on an invitation basis to natural persons over 18 years of age, including Belfius Personnel.
If you are a member of Belfius Personnel, you recognize and agree that:
- your participation to the Belfius Hackathon is on a strict voluntary basis and is not linked, in any manner, to your duties as Belfius Personnel;
- your participation to the Belfius Hackathon will not constitute any performance of work in the framework of your employment contract and participation time will not constitute any kind of working time;
- no remuneration and no compensatory rest is due for your participation to the Belfius Hackathon;
- any Works will not be considered as the result of work on behalf of your employer;
- Any Price you could receive as a result of your participation to the Belfius Hackathon is in no manner to be considered as any form of remuneration in the framework of your employment contract.
Belfius reserves the right, at its sole discretion, to disqualify any participant that:
- violates these rules;
- acts in an unsportsmanlike or disruptive manner, or with intent to deceive, annoy, abuse, threaten or harass;
- acts in bad faith or any other unacceptable manner.
During the Belfius Hackathon, participants will have internet access by means of a wireless access point. Use of the wireless internet access is limited to the specific purpose of the Belfius Hackathon. Unauthorized use hereof, including but not limited to visiting criminal and/or pornographic websites, is strictly forbidden.
Belfius cannot be held liable should the Hackathon be partially or entirely changed, postponed or cancelled due to any fore majeure event and/or any reason beyond Belfius’ reasonable control. Belfius reserves (i) sole and final judgment as to interpretation of these rules and (ii) the right to change these Belfius Hackathon Rules at any time.
Belgian law with exclusion of conflict of laws applies to these rules. Parties will exclusively and finally submit their dispute to the jurisdiction of the Courts of Brussels, Belgium.
3. CONTEST
By the end of the Belfius Hackathon, a panel of judges appointed by Belfius (“Judges”) will select one or more winners of a Price.
Winners will be selected on the basis of, amongst others, the quality, innovative nature and utility of the Works.
Participant agrees to be bound by and shall not challenge the decisions of the Judges which shall be final and binding.
All taxes related to the Price shall be borne by the participant.
4. LIABILITY & INSURANCE
Participation to the Belfius Hackathon is at own risk.
Belfius is not liable for any loss or theft of personal goods.
Participant is liable for any damage Belfius may suffer during the Belfius Hackathon. However, Belfius waives recourse against the participant for any material damages to Belfius’ infrastructure in excess of five thousand Euro (€ 5.000,-) provided that the damages are covered by Belfius’ applicable insurance .
Belfius has insurance for possible physical accidents during the Belfius Hackathon.
5. INTELLECTUAL PROPERTY
Participant grants to Belfius an irrevocable, worldwide, royalty-free, exclusive, transferable license (with a right to sublicense) for the duration of the legal protection under applicable law to store, execute, transmit, display, copy, amend, adapt, distribute, print, prepare derivative works, market, promote, or otherwise use any part of Works to the fullest extent permitted by applicable law.
The participant represents and warrants that any Works: (i) do not violate any Intellectual Property Rights of any third party, (ii) contain no falsehoods or misrepresentations that could damage Belfius, (iii) are not unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or are otherwise inappropriate or destructive to Belfius brand image or goodwill, (iv) do not contain any viruses, Trojan horses, worms, malware or any other disabling devices or harmful code. The participant further warrants that it will not post advertisements or solicitations of business at the Belfius Hackathon.
The participant will indemnify, defend, and hold Belfius harmless against all losses, damages, costs and expenses (including reasonable attorneys’ fees and costs of establishing rights to indemnification and any settlement) based on any claims, demands, suits, proceedings and actions in connection with any alleged infringement of any Intellectual Property Rights of any third party.
Participant grants Belfius permission to use any pictures and/or videos that include Participant and that were taken during the Belfius Hackathon, for any public relations, promotional and/or marketing purposes. Participant herewith waives any right of remuneration.
