Terms of Use — Basis: Regulation and Meditation
Revised: August 13, 2026
These Terms of Use ("Terms") govern your access to and use of the Basis: Regulation and Meditation mobile application (the "App," "we," "us," or "our"), provided by Basis ("Company"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.
Separately, your license to download and install the App from the Apple App Store is governed by Apple's Standard End User License Agreement (or any custom EULA on file with Apple). These Terms supplement, and do not replace, that license.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the App. By using the App, you represent that you meet this requirement.
2. Description of Services
The App provides self-guided exercises and tools intended to support personal wellness, focus, and self-regulation. It includes two optional features: Screen Time & App Blocking and Lockdown Groups, each described below.
3. Not Medical or Mental Health Treatment
The exercises, content, and features offered in the App are intended for general self-help and wellness purposes only. They are not intended to diagnose, treat, cure, or prevent any medical condition or mental health disorder, and they do not constitute medical advice, psychotherapy, counseling, or any other form of professional mental health treatment.
Basis is not a healthcare provider, and unless separately and explicitly stated, our staff are not licensed medical or mental health professionals. Using the App does not create a therapist-client, counselor-client, doctor-patient, or any other clinical or professional relationship between you and Basis.
The App is not a substitute for professional diagnosis, treatment, or advice. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical or mental health condition. Never disregard or delay seeking professional advice because of something you experienced in the App.
If you are in crisis, having thoughts of harming yourself, or experiencing a medical emergency, do not rely on the App. Call 911 (or your local emergency number), or contact the 988 Suicide & Crisis Lifeline by calling or texting 988 (U.S.).
4. Screen Time & App Blocking Feature
The App includes an optional feature that, with your permission, lets you select apps on your device to restrict or limit access to, using Apple's Screen Time (Family Controls) framework. This feature operates entirely on your device and is intended for managing your own app usage.
Permission. Using this feature requires granting the relevant iOS system permission. You may revoke it at any time in your device Settings, which will disable blocking.
No Guarantee. We do not guarantee that this feature will fully prevent access to any app. It is a support tool for your personal habits and is not a substitute for professional treatment of compulsive behavior, addiction, or any mental health condition.
5. Lockdown Groups
The App allows users to form or join a "Lockdown Group." Within a group, each member independently selects which apps they personally want to restrict. The group's host cannot view or choose which apps any other member blocks — a host may only select apps for their own device.
Host Role. The host may [create the group, invite or remove members, set group duration/settings — confirm against actual functionality]. The host has no ability to view or control another member's blocked apps.
Voluntary Exit. Members may exit their own lockdown at any time to regain full access to their apps.
Group Visibility. By joining a Lockdown Group, you acknowledge that if you exit your lockdown before its scheduled end, other members of that group will receive a notification identifying you and indicating that you exited early. This applies to voluntary exits and [confirm: also to exits caused by uninstalling the App, the App crashing, or your device losing power/connectivity during lockdown].
Conduct. You agree not to harass, shame, or pressure other members of a Lockdown Group regarding their app usage, participation, or decision to exit lockdown. We reserve the right to remove any user from a group, or from the App, for violating this provision.
6. User Conduct
You agree not to: (a) use the App for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or disassemble the App except as permitted by applicable law; (c) interfere with or disrupt the App's operation; or (d) use any feature of the App, including Lockdown Groups, to monitor, harass, or exert control over another person without their knowledge and informed consent.
7. Accounts
If the App requires you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
8. Intellectual Property
The App, including its content, features, and functionality, is owned by Basis and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY EXERCISE, BLOCKING FEATURE, OR GROUP FEATURE WILL ACHIEVE ANY PARTICULAR RESULT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING RELIANCE ON ANY EXERCISE, BLOCKING FEATURE, OR GROUP FEATURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASIS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF (A) FIFTY U.S. DOLLARS ($50.00), OR (B) THE TOTAL AMOUNT YOU PAID TO US, IF ANY, FOR USE OF THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
[Still worth a quick pass by counsel — some states don't allow liability caps for gross negligence, willful misconduct, or personal injury, and a couple of state consumer-protection statutes treat aggressive caps as unenforceable "unconscionable" terms if paired with certain other clauses.]
11. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by an updated "Revised" date, and, where required by law, we will provide additional notice.
13. Governing Law
These Terms, and any dispute arising out of or relating to these Terms or your use of the App, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the App shall be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of, and venue in, such courts.
[Confirm Tarrant County is correct for your registered business address before finalizing — I inferred it from Southlake, TX, but didn't verify it against your actual filing. Also worth confirming with counsel: a Texas choice-of-law clause doesn't automatically override certain other states' consumer protection laws for users located there, and naming Texas as venue doesn't by itself guarantee a Texas court can exercise personal jurisdiction over an out-of-state user — that's assessed independently based on that user's own contacts with Texas.]
