1) Acceptance of Terms :

By working with me, you agree to these terms. If working through a platform (such as Upwork/Fiverr), the rules of that platform will take precedence. 

2) Scope of Services :

I provide the following services:

Data Entry, Data Cleaning, Data Mining, Data Collection, Database Management, Data Scraping, Web Research, Copy Paste and Much More.

Lead Research/Lead Generation (B2B Contact, B2C Contact, Prospect List, Verification)

Web Research, CRM Update, Email List Building

Scope, Deliverables, Timeline and Price will be confirmed in writing before any work begins.

3) Client Responsibilities :

Provide clear instructions, samples/templates and access (sheets/tools/CRM).

Client is responsible for legal and ethical usage. (Anti-spam, Do-Not-Call, Privacy law compliance is the client's responsibility.)

4) Revision and Delivery :

Data Entry: Free correction within [14] days after delivery.

Lead Generation: “Qualified Lead” definition will be determined in advance in writing (e.g. company type, job title, country, verified email, etc.).

Delivery Format: Typically Google Sheets/Excel/CSV or as directed by the client.

5) Quality and Accuracy :

Data Entry Target Accuracy: [98–99%+].

Errors reported with evidence will be corrected within a reasonable time.

6) Lead Replacement Policy :

Bounced/Invalid Emails: If reported within [7–14] days of delivery, up to [10–20%] replacement will be given (one-time).

Third-party tool verification (e.g. Hunter/ZeroBounce etc.) may give different results—replacement will be as per “agreed criteria”.

Replacement/refund is not applicable for unqualified usage (mass email, spam, abuse).

7) Data Sourcing & Compliance:

I only use legitimate sources (publicly available data/client approved data).

It is the client’s responsibility to ensure GDPR/CCPA/PECR/regulations compliance, especially ensuring proper legal basis before cold outreach.

Any scraping/automation will be done at the client’s direction and in accordance with the relevant terms.

8) Confidentiality and Data Protection:

Client shared data, lists, logins, etc. will be kept confidential and will only be used for project purposes.

Data may be securely deleted within [30] days of completion of work (except for legal/accounting requirements).

NDA/Data Processing Agreement (DPA) may be signed if required.

9) Intellectual Property (IP):

The client owns the final deliverables upon full payment.

I may use anonymized screenshots/metrics for portfolio/case studies—client may opt-out in writing if desired.

Third-party tool/data licenses are to be confirmed/arranged by the client (if applicable).

10) Refund Policy:

Delivery-based payment as per escrow/milestones for fixed-price projects. If the deliverable target is not met, a reasonable partial refund is considered—but data/leads already delivered/used are not refundable.

In the event of platform work, the platform’s dispute policy applies.

11) Limitation of Liability:

I am not responsible for any indirect/consequential damages, lost profits, email deliverability, third-party service downtime.

Maximum liability is limited to the total fee paid by the client for that specific project.

12) Cancellation:

Either party may cancel the work with [7] days’ notice.

In the event of cancellation, the fee for the completed portion will apply. Access/data will be revoked/returned promptly.

13) Force Majeure:

Due to natural/disaster/power-internet outage/unexpected legal restrictions, etc., the deadline will be reasonably adjusted. 

14) Law and Jurisdiction:

These Terms shall be governed by the laws of [Bangladesh/your preferred jurisdiction]. In the event of a dispute, we will first attempt to resolve it amicably, and if necessary, the jurisdiction of [Dhaka] shall apply. 

15) Terms Updates:

I may update these Terms from time to time. If the “Last Updated” date changes, it will be deemed effective.
