Institute of Industrial and Systems Engineers Constitution

Preamble

The Institute of Industrial and Systems Engineers (IISE) is a volunteer student organization that is affiliated with the University of Michigan Industrial and Operations Engineering Department. IISE strives to provide an awareness of the Industrial and Operations Department and its resources. IISE works to develop an interdepartmental relationship as well as present insight into career opportunities. By maintaining a strong relationship with the IISE National Chapter, an industry network is sustained.

Article I. Name

The name of this organization shall be the Institute of Industrial and Systems Engineers

Article II. Purpose

1. This corporation is organized and shall be operated exclusively for scientific, educational and charitable purposes. In the furtherance of such purposes, it shall be authorized: (a) To advance the general welfare of mankind through the resources and creative abilities of the Industrial Engineering profession. (b) To advance the art and science of Industrial Engineering for the general welfare of mankind. (c) To encourage and assist education and research in the art and science of Industrial Engineering. (d) To promote the unrestricted dissemination of knowledge and information by means of meetings and publications relating to the art and science of Industrial Engineering. (e) To receive, own and maintain real or personal property, or both, and to use and apply the whole or any part of the income or principal thereof exclusively for scientific or educational purposes in the art and science of Industrial Engineering. (f) To assist Colleges and Universities in the development of educational programs in the art and science of Industrial Engineering.

2. No member, trustee, officer or employee of, or member of a committee, or person connected with the Corporation, or any other private individual shall receive at any time any of the net earnings or pecuniary profit from the operations of the Corporation, provided that this shall not prevent the payment to any such person of such reasonable compensation for service rendered to or for the Corporation in effecting any of its purposes, as shall be fixed by the Board of Trustees.

3. Notwithstanding any of the foregoing provisions that may be construed to the contrary, the Institute of Industrial and Systems Engineers, shall not engage in any activity that is not educational, scientific or charitable within the meaning of Section 501 (c) (3) of the 1954 Internal Revenue Code. On dissolution of the Institute of Industrial and Systems Engineers, its assets shall be distributed to an organization organized and operated for similar education, scientific or charitable purposes, or to the Federal, State or Local Government for a public purpose. No part of the income or principal of the Institute of Industrial and Systems Engineers, shall inure to the benefit of or be distributed to any member, director or officer of the IISE or any other private individual. No substantial part of the activities of the Corporation shall be the carrying out of propaganda or otherwise attempting to influence legislation.

Article III. Membership

Section 1.

1. Membership shall be open to anyone who meets and maintains membership requirements outlined in the By Laws. In no way shall race, religion, color, national origin, ancestry, age, sex or handicap be used in determining membership eligibility or grade. 2. Organizational membership shall be available for corporations, partnerships, academic institutions, government agencies and like organizations. 3. Categories of individual and organization membership and their associated qualifications, privileges, and requirements for admission shall be specified in the By Laws.

Section 2.

Those who wish to become a member must go to the IISE professional website: http://www.iise.org/Details.aspx?id=560 and fill out the student membership documents.

Section 3.

Once a member has paid their dues, no refund can be made if the member decides to withdrawal from the organization.

Article IV. Officers

Section 1.

The following roles will make up the executive board of the student chapter of IISE.

6. Director of Merchandising

7. Director of Membership

8. Director of Continuing Education

9. Director of Publicity

10. Social Events Chair

11. Professional Development Chair

12. Nationals Liaison

13. Internal Liaison

Section 2.

A meeting designated for elections will be held annually in the month of April. All members who have paid their dues are eligible to be nominated and vote. The outgoing President will take nominations from the floor. If the nomination is accepted, those nominated members will exit the room. The remaining members in the room can give their reasoning for why they support/oppose each nominated member. Next votes are taken by a show of hands for each candidate. A simple majority vote will decide which member is elected.

Section 3.

The officers assume their position one month after elections are held. During this time they will be trained by the officer who is exiting their position. .

Section 4.

The advisor is a liaison between the professional Detroit Chapter of IISE and the University of Michigan Student Chapter.

Article V. Operations

Section 1.

The Executive Board will meet weekly as needed to manage the operation of the chapter. Any member who has paid their dues is allow to come to these meeting and voice concerns or opinions.

Article VI. Finances

Section 1.

The student chapter finances all activities through UMEC funding, the Tau Beta Pi/Institute of Industrial and Systems Engineers Book Swap, certification courses, and corporate donations.

Section 2.

The treasurer is responsible for the organization's finances.

Article VII. Amendments

Section 1.

Amendments are proposed at meetings or may be submitted through email to all officers.

Section 2.

Any member may propose an amendment.

Section 3.

Proposed amendments will be voted on at the meeting following the proposal. Any members attending that meeting may vote, and a simple majority (1/2) will decide whether the amendment is ratified.

Article VIII. Registration Renewal

Section 1.

Registration may be completed at any time and expires exactly one year following.

Article IX. Removal of Membership

Section 1.

Officers will be removed if it is discovered they are not members of Institute of Industrial and Systems Engineers. Membership of officers will be checked monthly.

Section 2.

Any officer of IISE in violation of IISE’s purpose, constitution, or who fails to fulfill their responsibilities of their role, will be removed based on the sole decision of the president. This process can be initiated at any meeting.

Section 3.

The president can be removed based on a simple (1/2) majority vote of the other Executive Board officers. This process can be initiated at any meeting.

Section 4.

The election process to fill vacant officer positions is identical to Article IV. This process will occur at the meeting that the officer is removed.

Section 5.

Members will be removed if they fail to pay their dues.

Section 6.

Membership will not be processed if their dues are not included in the registration form.
