The following terms of service (hereinafter referred to as this agreement) are provided by tst biomedical electronics Co., Ltd. (hereinafter referred to as tstbio) and are applicable to the iProtin mobile application services provided by tstbio.

You must register to use our services. Once registered, you agree to this agreement and accept the following contents. Please read the contents of this Agreement carefully. If you are unable or unwilling to be bound by this Agreement, please do not register an account to use our services.

Once you agree to this Agreement, it means that you have reached the legal age, have full capacity and authority to effectively sign this Agreement, and have fully reviewed, understood and agreed to this Agreement or agreed to your family members using our services.

If you have not reached the legal age or do not have full capacity, before using this service, you must first obtain the consent of your parents (or other authorized legal representatives) and allow you to use this service and enter into this agreement. Your use means that you have obtained such consent and permission.

If you are completely incapacitated and cannot use the Service or conclude this Agreement by yourself, please do not register to use the Service or you can ask your parents (or other authorized legal representatives) to handle it on your behalf.

Serve
The purpose of this service is to improve the efficiency of chronic disease management.
The service includes an iProtin immune quantitative analyzer for measuring data and a health data application installed on your smartphone or tablet.

Your account

You must register an account to use the program. Any information you provide to tstbio must be correct and complete. You are solely responsible for ensuring the security of your account and password and ensuring the security of the Application and the information you enter into the Application. You have no right to use or obtain other users' accounts without permission; if you find that anyone has used your account without authorization, or otherwise violated the security of your account, please notify tstbio in writing immediately .

Use of personal data

When you enter, submit or provide information in any way when using this service, you must confirm that you are the owner of the information or that you have the right to use and provide the information. When you provide information through this service, you fully authorize tstbio to use the information. However, for personal data (for definition, please refer to the "Privacy Policy", hereinafter referred to as the "Privacy Policy"), tstbio can only use the information you provide in accordance with the privacy policy and laws. You have the right to decide whether to share any personal information or data you provide with tstbio.

Opinions and comments

Once you publish or submit information through this program (this refers to information that is not personal data), you agree to grant tstbio the non-exclusive, free, permanent, irrevocable, sublicensable use and copying of the information. , modify, adapt, publish, translate, create derivative works, publish, disclose, display through various vehicles around the world, and agree to grant tstbio and its sublicensees the right to choose to use your name to publish content. Authorize

tstbio grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use for personal, non-commercial purposes. All applications and services provided under this Agreement are provided for your personal, non-commercial use only.

Notice from tstbio

tstbio will send you notifications from time to time. For example, when there is any change in your tstbio account, we may send you a notification. Some notifications allow you to manually set, cancel, or reactivate them. tstbio may also add new notifications at any time, or stop providing certain notifications at its sole discretion. Some notifications may contain different options for you to choose from.

Notifications sent by tstbio are not encrypted, so we will never mention your password in the notification. However, because the notifications sent may still include other personal information about your account, such as data analysis of health records, the contents of these notifications can still be viewed by anyone with access to your email inbox.

You understand and agree that any notifications provided to you by mobile applications and web applications may be delayed or intercepted, and tstbio will strive to provide timely notifications and accurate information. However, we cannot guarantee successful notification, nor the accuracy of notification content. You also agree that tstbio is not responsible for any delay, failure to notify, improper notification, or any error in the content of the notification, nor is it responsible for any actions taken or not taken by you or any third party as a result of the notification.

Business use of services

If you are interested in using this service for commercial, professional, or any non-personal purpose, you must contact tstbio and agree to other written terms and conditions.

Charges and Payments

Currently, it is free to use our mobile applications or web applications. If there are services or functions that require payment in the future, you will be notified first. tstbio reserves the right to request payment of some or all of the fees.

Limitation of liability

To the maximum extent permitted by law, under no circumstances shall tstbio (or its directors, employees, agents, partners, suppliers, etc.) be responsible for the loss of profits or loss of income suffered by you due to this agreement, services and related matters. , data or financial losses, or indirect, special, incidental, derivative damages, or punitive liquidated damages or compensation, etc., including but not limited to any loss of profits, revenue, goodwill or revenue, or loss The originally expected cost savings, damages or losses incurred due to your reliance on or use of the service, whether such damage is based on contract, warranty, tort liability or other basis, nor whether tstbio has foreseen or been informed affected by the possibility of such damage occurring. For direct damages caused by the use of tstbio services, tstbio's liability is capped at the total service fees charged by tstbio to you in the 12 months before the cause of the request.

tstbio provides email and online support tools. You can contact us through the Contact Service Center or visit https://www.tst.bio/ for support. tstbio does not promise to respond quickly to your requests, nor does it guarantee that we can effectively solve any problems you raise. Any advice provided by tstbio regarding the use of this service is not a guarantee and shall not be construed as a guarantee.

Terminate service

If you fail to comply with this Agreement, tstbio may terminate your use of all or part of the services at any time, which may result in the deactivation, loss or destruction of information and data related to your account. At the same time, tstbio may immediately terminate your use of this service in any way. If you wish to terminate your account, you may stop using the Service and delete the mobile application, but the provisions that by their nature survive termination will remain in effect, including but not limited to disclaimers, indemnification and limitations of liability. In addition, after your account is deactivated or terminated, we will still retain statistical, aggregate, non-personally identifiable information and data derived from or related to your account. You understand that this service may be delayed or interrupted due to system failure, or may cause inconvenience to you or data loss or errors. We will make commercially reasonable efforts to repair the system, but you agree not to hold us responsible for any of the above events. ask.

Disclaimer

Compensation

All liabilities, losses, damages, and expenses (including litigation fees and attorney fees) resulting from (1) your illegal use or abuse of the Services, or (2) your violation of this Agreement or any other laws, contracts, or policies. ), you agree to indemnify tstbio, tstbio’s affiliated companies and their employees, contractors, directors, and suppliers. Under the above circumstances, if you and tstbio are co-defendants or potential compensation obligors, tstbio has the right to independently select litigation agents, defenders and control related litigation and compensation matters. You must provide assistance and cooperate with tstbio.

Arbitration

This Agreement and related notices are made in electronic writing. When this agreement and related notices are printed out on paper, they should have the same effect as other business documents and records originally made on paper and can bind the relevant parties. You and tstbio agree that any request, arbitration or judicial proceeding related to or arising from this service shall be filed within one year from the date of occurrence of the request, arbitration or judicial proceeding. This Agreement is governed by the laws of the Republic of China and excludes the application of any foreign-related laws. Any disputes arising out of or related to this agreement (including disputes between you and tstbio, or between you and tstbio’s managers, directors, employees, agents or related companies) shall be submitted to the Arbitration Association of the Republic of China for arbitration in accordance with the Republic of China. The dispute shall be settled by arbitration in Taipei in accordance with the law and the arbitration rules of the association. The arbitral tribunal shall consist of three arbitrators. The language of arbitration shall be Chinese. The arbitration judgment is final and binding and shall bind both parties.

Change of terms

tstbio reserves the right to modify this agreement. We may change, add, or terminate all or part of the agreement at any time (including but not limited to the provisions on price and payment terms in the "Charges and Payments" paragraph), and may change, add, or terminate all or part of the agreement through announcements and mailings. Notify you by email, or via mobile application or web application, and will be effective when the announcement or email is sent. In addition, you can find out when this Agreement was last updated through the latest update date of this Agreement. You are obliged to check the changes in this Agreement frequently. If you continue to use this service, you agree to continue to be bound by the changed terms.

Other

This Agreement covers all terms between you and us regarding the services we provide and supersedes all previous oral, written or electronic communications. At the same time, you also understand and agree to the existence and validity of the product sales terms (which regulate matters related to the use of hardware). In the event of any conflict, the corresponding terms of each terms of sale shall apply, and shall only apply to the subject matter of sale referred to in such terms.

If any provision or any part of the provision in this Agreement is invalid, that provision will be limited to the maximum extent permitted by law so that this Agreement remains fully valid and enforceable.

The failure of either party to exercise its rights shall not be construed as a waiver of the rights granted under this Agreement.

tstbio may transfer the rights and obligations of this Agreement to other third parties, but you may not transfer the rights and obligations of this Agreement to any third party without the prior written consent of tstbio. This Agreement does not create any agency, partnership, joint venture or employment relationship.

All notices given under this Agreement shall be in writing. If the writing is made by electronic means (including but not limited to email, notices in this program), it will be deemed to have been delivered when sent; if it is submitted in person, it will be deemed to have been delivered when received; if it is sent quickly, registered or Double registered letters are deemed delivered when receipt is confirmed by the courier or postal system.

The titles of the various provisions of this Agreement are only used for the convenience of reading and do not affect the content and interpretation of this Agreement.
