END USER LICENSE AGREEMENT (DRIVER/RIDER)
This End User License Agreement ("Agreement") is a legally binding contract between you ("Driver" or "Rider" or "You") and Dellways Logistics Pvt Ltd ("Dellway Logistics" or "We") governing your use of the Dellway Logistics hyperlocal delivery application ("Application").
1. ACCEPTANCE OF TERMS
By registering, accessing, or using the Dellway Logistics Application, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree with any part of these terms, you may not use the Application.
2. USER RESPONSIBILITIES
2.1. Compliance: You agree to comply with all applicable laws and regulations when using the Application, including traffic laws and regulations relevant to your mode of transportation.
2.2. Service Provision: As a Driver/Rider, you agree to provide services for Dellway Logistics in accordance with the terms set by the company and to complete deliveries or rides efficiently and responsibly.
2.3. Professional Conduct: You agree to conduct yourself professionally and courteously towards customers, recipients, and other parties involved in the delivery/ride process.
3. PRIVACY
3.1. Your use of the Application is also governed by our Privacy Policy, which is incorporated by reference into this Agreement.
3.2. Dellway Logistics may collect and use information as outlined in the Privacy Policy, including your location data and other relevant information necessary for providing hyperlocal delivery/ride services.
4. RIGHTS AND RESTRICTIONS
4.1. Use of Application: Dellway Logistics grants you a limited, non-exclusive, non-transferable license to use the Application solely for providing delivery services (or rides, if applicable) through Dellway Logistics' platform.
4.2. Restrictions: You shall not use the Application for any purpose other than providing services through Dellway Logistics. You shall not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make the Application available to any third party.
5. PAYMENTS AND FEES
5.1. Payment Terms: As a Driver/Rider, you agree to the payment terms outlined by Dellway Logisticsfor the services provided through the Application.
5.2. Fees and Charges: Dellway Logistics reserves the right to deduct applicable fees or charges, including service fees or penalties, as per the company's policies.
5.3 . Wallet Money Withdraw : To withdraw money from wallet to your account, you have to withdraw cash from the wallet and this is valid only if the withdrawal amount is more than Rs 200.
5.4: Referral Bonus and offers : Dellway Logistics may change its offers and referral bonuses at any time and the Company's decision on the amount received will be binding.
6. INTELLECTUAL PROPERTY
6.1. The Application and all related intellectual property rights are and will remain the exclusive property of Speedy Logistics. No rights or licenses, express or implied, are granted to you except as expressly stated in this Agreement.
7. CONFIDENTIALITY
7.1. You agree that any information, operational procedures, or technology provided or accessed through the Application shall be treated as confidential and proprietary information of Speedy Logistics.
8. INDEMNIFICATION
8.1. You agree to indemnify and hold Dellways Logistics harmless from any claims, damages, losses, or liabilities arising from your use of the Application, your provision of services, or any violation of this Agreement.
9. MODIFICATIONS TO THE AGREEMENT
9.1. dellways Logistics reserves the right to modify, update, or revise this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement within the Application. Your continued use of the Application after any such changes constitutes your acceptance of the revised Agreement.
10. Delivery Cancellation by the drivers :
10.1 .The Courier may only cancel a Delivery Request in the following cases:
• If the Goods differ from the description given in the Delivery Request;
• If the Goods present dimensions greater than those set out in the Delivery Request;
• If the Goods have no packaging or are insufficiently packaged;
• If the Goods are not labeled correctly;
• If the Goods contain a Prohibited or Excluded Item; or
• If the Courier cannot execute the Delivery of Goods without communicating with the Client and/or the Sender and/or the Recipient and is unable to connect with the Client and/or the Sender and/or the Recipient on the telephone numbers provided.
• The cancellation by the Courier of the Delivery of Goods for the aforementioned reasons must be considered as cancellation by the Client the cancellation fee shall be billed to the Client.
11. Damaged Goods.
11.1.If a driver collects the goods from the customer's location and checks that the goods are not damaged in any way and that they are packed properly.After this, if the driver causes any damage during the delivery of the customer's goods, the driver will be responsible for will have to pay the cost of the goods .
11.2 :If the Client makes a claim relating to damaged Goods, the Courier may also ask for an estimate of repair costs for the Goods supplied by a specialist. If the Goods cannot be repaired, then the Courier would need this in writing from the specialist. Dellways Logistics will take no liability for damaged goods that are perishable within 1-3 hours.
11.3 Courier will not be liable (whether in negligence or otherwise) to the Client in respect of any loss or damage of Goods unless legal proceedings are commenced against the Courier within 7 days from the date of Delivery of Goods or the date of a claim decision.
12. Prohibited Goods.
12.1 :You are prohibited from using dellways Services for delivery of the following Prohibited Items, in respect of which dellways Logistics accepts no liability whatsoever. We do not accept liability for any consequence whatsoever resulting directly or indirectly from or in connection with any of the following Prohibited Items, regardless of any other contributory cause or event:
Any and all items which are illegal to carry own or transport or which, in the reasonable opinion of dellways Logistics , may potentially be hazardous or dangerous to the Courier or the general public, including but not limited to:
• Explosives including fireworks
• Pornographic materials
• Illegal drugs or any other contraband
• Weapons, Arms, Ammunition or associated parts, accessories, materials, ingredients or technology, including deactivated and replica weapons
• Blades of any kind longer than 1.5 inches
• Dangerous power tools such as chain saws
• Flammable materials
• Vape products including all components of vape devices, e-liquids, and related accessories
• Any item associated with tobacco and controlled substances
• Any item classified as controlled substances or restricted by any local law or regulation in force
• Any original government-approved documents, including passports, driver’s licenses, or any other official identification papers
• Dangerous chemicals
• Dangerous biological agents
• Computers, Personal computers (so called PC), laptops, tablets, notebook
• Any item packaged in a hazardous or dangerous box
12. TERMINATION
12.1. This Agreement is effective until terminated. Dellways Logistics reserves the right to terminate this Agreement, restrict, or terminate your access to the Application at any time for any reason without notice.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1. This Agreement shall be governed by and construed in accordance with the laws of Delhi NCR, without regard to its conflict of law principles.
13.2. Any dispute arising out of or relating to this Agreement shall be resolved through arbitration in Delhi NCR by a single arbitrator appointed by mutual agreement or in accordance with the Arbitration and Conciliation Act, 1996.
