THE GEARY COUNTY FISH AND GAME ASSOCIATION, INC.
The name of this organization is “The Geary County Fish and Game Association, Inc.”
The corporation is organized not for profit and exclusively for charitable, education, and scientific purposes, including, for each purpose the making of distributions to organizations that qualify as exempt organizations under Section 501 ( C ) (3) of the Internal Revenue Code 1954, as amended, or the corresponding provisions of any future U.S. Internal Revenue Law, and to the extent that such purposes may be accomplished through scientific, or educational, efforts or any charitable manner, within the meaning of said Section 501 (C) (3), the conservation and propagation of fish and wildlife and the promotion of better fishing and hunting in the State of Kansas through the collective efforts of sportsmen, farmers, federal, state and county officers and agencies and to promote and improve the relationship between sportsmen, landowners, and farmers to conservation education.
III. MEMBERSHIPS
Any citizen of the State of Kansas, upon payment of the annual dues in
advance and upon signing the pledge required of this association’s members, may become a member of this association.
VI. OFFICERS
The business and affairs of this association shall be managed by a board of eleven directors. They shall be the duly qualified and elected president, vice-president, secretary and treasurer; the immediate past president and six directors.
Meetings shall be held regularly once a month and shall be open to all members and any other interested persons. The President or Secretary may call special meetings.
A quorum of 12 members in good standing shall be necessary to conduct business at a regular or special meeting. A majority vote of members present in good standing shall be necessary to decide any matter of business. The President shall not vote except in case of ties. The Board of Directors, by a majority vote, may transact business for the association when they deem that not sufficient time is available for a regular or special meeting.
Dues in the association shall be $25.00 per year. Funds held and used by the association shall not be limited to regular membership dues, but may be gained by activities appropriate to the purpose of the association.
VIII. AMENDMENTS
This constitution may be amended only by a two-thirds vote of a quorum present at any regular or special meeting, provided notice of intention to amend has been given at least 30 days previously at a meeting.

Election of Officers and Directors shall be held annually at the last regular meeting of the calendar year, and the new Officers and Directors shall take office January 1st of the following year. A majority vote shall be sufficient to elect if a quorum is present, a quorum being a minimum of twenty (20)-voting members. Officers shall be elected for one (1) year terms. Two Directors shall be elected at each annual election for three (3) year terms. The immediate Past President shall serve as the seventh Director until replaced by the outgoing President when a new President is elected.
A vacancy in any form of the four Officers shall be filled by election at the next regular membership meeting after the vacancy occurs. The Officers by a majority shall declare that a vacancy exists.
A vacancy in any form of the seven (7) Directors not including the Past President shall be filled by the remaining Directors until such time as the vacated Director or Director’s term expires, at which time the membership will elect a Director or Director’s for three (3) year term.
The duties of the Officers and the Board of Directors are as follows: The President shall preside at all meetings, conducting the meeting in a business like manner, calling for the reading of the minutes and on committee chairman for reports, introducing the speakers, naming committees for projects and any other business that shall be required for the good of the association in general.
The Vice President shall immediately take the chair in the absence of the President, assuming the duties of the President.
The Secretary shall keep minutes of all called meetings, handle all correspondence, keep a record of the membership, and issue membership cards to all paid-up members.
The Treasurer shall keep a record of all financial affairs of the Association, collect all funds and deposit them in any Federally Insured Bank in Junction City, Kansas. Disbursements, other than as authorized in paragraph 1 hereof, shall be approved by a majority vote of a quorum present at any regular or special meeting. All disbursements shall be made by check signed by the President and Treasurer. A financial statement will be made at each regular meeting, and an audit of the funds shall be made at the end of each year.
Each Director shall attend all regular membership and Board meetings, assist in development of the annual budget, oversee disbursements of funds, assist in the conduct of general business, and be active in the public functions of the Association. The Directors shall be responsible for carrying out the program of the Association, insuring that all project committees are chaired, and assisting and guiding projects to completion.
The following standing committees shall be appointed by the President at the first regular meeting after his or her election: membership, legislation, program and publicity, wildlife habitat, education, and budget and finance. Temporary committees may be appointed by the President at his or her discretion or at the request of the Association by a majority vote of a quorum present. Duties of the committee shall be as directed by the President.
Any member upon conviction of hunting or fishing offense in the State of Kansas shall immediately cease to be a member of the Association. Reinstatement shall be at the discretion of the Board of Directors.
Regular meetings of the Association shall be held at 7:30 P.M. on the second Monday each month at a pre-designated place. Regular meetings of the Officers and Board of Directors shall be held at 7:00 P.M. on the second Thursday after the second Monday each month at a pre-designated place for the purpose of planning programs and conducting business. They shall have the privilege of flexibility to select an alternate date if necessary. Decisions of the Board shall not be valid unless approved by a majority of a quorum present, a quorum being six (6) members of the Board.
The order of business at each meeting shall be: minutes of previous meeting, treasurer’s report, committee reports, old business, new business, and entertainment.
Robert’s Rules of Order shall govern in case of a question of procedure.
Officers, Directors, and Members of the Association shall cooperate at all times with the Kansas Department of Wildlife and Parks and employees of that Department.
The by-laws may be amended at any regular or special meeting by a two-thirds vote of a quorum present, provided a thirty (30) day notice has been given to the membership.
The President is authorized to spend not to exceed $100.00 (not previously budgeted) in any one month without prior approval of the Board of Directors or the membership. The Board of Directors is authorized to spend not to exceed $300.00 (not previously budgeted) in any one month without prior approval of the membership.
