LearnUp — AI Language Learning App  |  iKame Global

By downloading, installing, registering with, accessing, or using the LearnUp application (LearnUp or Application), these Terms of Use (Terms) will automatically apply to you. Please read them carefully before using LearnUp.

These Terms constitute a legally binding agreement between you and iKame Global (Company, we, us, our) governing your access to and use of the LearnUp application and all related services (Services).

If you do not agree to these Terms, you must not download, install, or use the Application. By continuing to use LearnUp, you confirm your acceptance of these Terms.

1. About LearnUp

LearnUp is an AI-powered language learning application that provides personalized speaking practice, grammar and pronunciation feedback, vocabulary building, and micro-learning experiences. The Application uses AI technology to simulate conversations with a virtual AI Tutor, helping users improve their language skills at their own pace.

LearnUp is developed and operated by iKame Global. The Application is available on iOS (Apple App Store) and Android (Google Play Store).

2. License to Use

Subject to your compliance with these Terms, iKame Global grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on devices you own or control, solely for your personal, non-commercial learning purposes.

You are not permitted to:

• Copy, modify, or create derivative works of the Application or any part thereof;

• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Application;

• Translate the Application into other languages or create derivative versions;

• Distribute, sublicense, rent, lease, or transfer the Application or your license rights to any third party;

• Remove or alter any proprietary notices, labels, or marks on the Application;

• Use the Application for any commercial purpose without prior written consent from iKame Global;

• Use the Application to develop products or services that compete with LearnUp or iKame Global.

All intellectual property rights in and to the Application, including trademarks, copyrights, database rights, and related rights, belong exclusively to iKame Global.

3. Account Registration

To access certain features of LearnUp, you must create an account. You may register using:

• Email address and password;

• Apple ID (Sign in with Apple);

• Google account (Sign in with Google).

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify iKame Global immediately at privacy@ikameglobal.com if you suspect any unauthorized access to or use of your account.

Do not share your account credentials with others. iKame Global will not be liable for any loss or damage arising from unauthorized use of your account due to your failure to safeguard your credentials.

4. Subscriptions and In-App Purchases

4.1 Free and Premium Access

LearnUp offers both a free tier and a premium subscription (LearnUp VIP). The free tier provides limited access to features. Full access to all features — including unlimited AI Talk sessions, advanced pronunciation feedback, and full learning programs — requires a VIP subscription.

4.2 Subscription Terms

Subscriptions are offered on a weekly, monthly, or annual basis as displayed in the Application. By subscribing, you authorize iKame Global (through Apple App Store or Google Play) to charge your payment method on a recurring basis at the selected interval.

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period;

• Your account will be charged for renewal within 24 hours prior to the end of the current period;

• You may manage or cancel your subscription in your App Store or Google Play account settings;

• No refunds will be provided for unused portions of a subscription period, except as required by applicable law.

4.3 Free Trial

iKame Global may offer a free trial period for the VIP subscription. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be notified of the trial end date at the time of sign-up.

4.4 Price Changes

iKame Global reserves the right to change subscription prices at any time. We will notify you in advance of any price changes. Your continued use of the subscription after the price change takes effect constitutes your agreement to the new price.

5. User Content

5.1 Your Content

When using LearnUp, you may provide, upload, or transmit content including text inputs, voice recordings, spoken responses, and other materials (Input). The Application will generate responses, feedback, and outputs based on your Input (Output). Input and Output together are referred to as User Content.

5.2 Your Responsibilities

You represent and warrant that:

• You own or have the necessary licenses, consents, permissions, and rights to the Input you provide;

• Your use of the Application and your User Content does not violate any applicable law or third-party rights. 

• You have the legal capacity to enter into these Terms in your jurisdiction.

• If your Input contains the voice, vocal likeness, spoken responses, or any personal identifiable information of any third party, you have obtained explicit, verifiable written consent from that individual (or from a parent or legal guardian if the individual is a minor) prior to transmitting such data to or through the Services.

5.3 License to User Content

By submitting Input through the Application, you grant iKame Global a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze your User Content solely for the purposes of:

• Providing and improving the LearnUp service;

• Personalizing your learning experience;

• Developing and improving AI models and features within the Application.

This license does not allow iKame Global to sell your User Content to third parties or use it for purposes unrelated to operating and improving the Application.

5.4 Prohibited Content

You must not submit User Content that:

• Is unlawful, harmful, defamatory, obscene, or otherwise objectionable;

• Infringes on any intellectual property, privacy, or other rights of third parties;

• Contains sensitive personal information such as financial data, health records, government ID numbers, or information about children;

• Promotes violence, hatred, discrimination, or illegal activity;

• Is designed to harass, abuse, stalk, or threaten any person.

You must not allow:

• To upload, create, or generate unauthorized voice clones, audio deepfakes, or realistic vocal impersonations of any third party, including celebrities, public figures, or private individuals, without their explicit written consent;

• To upload, input, or process any third-party copyrighted materials, specifically including whole or substantial portions of books, literary works, publications, or articles for the AI to read, translate, or summarize, without holding the necessary licenses or permissions.

If your Input contains the voice, audio recording, or personal information of any third party, you explicitly represent and warrant that you have obtained all necessary explicit written consents from that individual (including celebrities, public figures, or minors via their legal guardians) before transmitting such data through the Services.

iKame Global does not endorse, verify, or control User Content. You are solely responsible for your Input and its consequences. iKame Global reserves the right to remove any User Content that violates these Terms.

6. AI Tutor and Output Disclaimer

LearnUp uses artificial intelligence to provide language learning feedback, conversation practice, grammar corrections, and pronunciation assessments. Please note:

• AI-generated Output is provided for educational and entertainment purposes only and does not constitute professional advice of any kind;

• The AI Tutor is not a qualified human language teacher, and its feedback may not always be perfectly accurate;

• Output should not be relied upon as the sole source for learning — we encourage supplementing your learning with other qualified resources;

• iKame Global does not guarantee the accuracy, completeness, or fitness for purpose of any Output generated by the Application;

• iKame Global explicitly disclaims all liability for any offensive, inappropriate, inaccurate, misleading, or objectionable content generated automatically by the AI system that is beyond the Company's intentional control. You acknowledge that the AI Tutor's responses are generated programmatically and may occasionally exhibit automated errors or behavioral biases;

• If you encounter any harmful or inappropriate Output, you are highly encouraged to immediately report the issue to us through the in-app reporting tool or by emailing legal@ikameglobal.com. iKame Global reserves the right, at its sole discretion, to review, restrict, or modify AI behaviors and filter future outputs based on user reports to ensure a safe learning environment.

LearnUp is a language learning tool. It is not a certified educational institution, and completion of courses within the Application does not constitute an official language qualification.

7. Acceptable Use

You agree to use LearnUp only for lawful purposes and in accordance with these Terms. You must not:

• Use the Application in any way that violates applicable local, national, or international law;

• Attempt to gain unauthorized access to the Application, its servers, or any systems connected to it;

• Introduce viruses, malware, or other harmful materials into the Application;

• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Application;

• Circumvent, disable, or interfere with any security features of the Application;

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

• Jailbreak or root your device to access the Application, as this may compromise security and functionality.

8. Intellectual Property

All content, features, and functionality of the Application — including but not limited to text, graphics, logos, icons, audio, video, AI models, curriculum content, and software — are the exclusive property of iKame Global or its licensors and are protected by intellectual property laws.

LearnUp, the LearnUp logo, and all related names, logos, product and service names, designs, and slogans are trademarks of iKame Global. You must not use these marks without prior written permission.

9. Connectivity and Device Requirements

Certain features of LearnUp require an active internet connection (Wi-Fi or mobile data). iKame Global is not responsible for:

• The Application not functioning fully if you do not have access to internet connectivity;

• Any data charges incurred by your mobile network provider, including roaming charges when using the Application abroad;

• Device running out of battery or other device-related issues.

The Application is currently available on iOS and Android. System requirements may change over time, and you may be required to update the Application to continue using it. iKame Global does not guarantee that the Application will always be compatible with every device or operating system version.

10. Updates and Termination

10.1 Updates

iKame Global may update or modify the Application at any time to improve features, fix issues, or comply with legal requirements. We recommend always using the latest version of the Application. Some updates may be mandatory for continued use.

10.2 Termination by You

You may stop using the Application at any time and delete it from your device. To delete your account and associated data, please contact us at privacy@ikameglobal.com.

10.3 Termination by iKame Global

iKame Global may suspend or terminate your access to the Application at any time, with or without notice, if you violate these Terms or for any other legitimate business reason. Upon termination:

• Your license to use the Application ends immediately;

• You must stop using and delete the Application from your devices;

• Any outstanding subscription fees remain due and payable.

10.4. iKame Global reserves broad and absolute authority to review, restrict, remove, disable, or block any user accounts or content that present legal, safety, reputational, or policy concerns. We further reserve the right to preserve relevant inputs, outputs, account records, and metadata to respond to legal disputes, investigate complaints, and comply with applicable laws.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION AND ALL SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE', WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

iKame Global does not warrant that:

• The Application will be uninterrupted, error-free, or free of viruses or other harmful components;

• The results obtained from using the Application will be accurate or reliable;

• Any errors in the Application will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

12. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, IKAME GLOBAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION.

In no event shall iKame Global's total liability to you for all claims arising from or related to these Terms or your use of the Application exceed the amount you paid to iKame Global in the twelve (12) months preceding the claim, or fifty US dollars (USD 50), whichever is greater.

Some jurisdictions do not allow the limitation of liability for certain types of damages, so these limitations may not fully apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless iKame Global, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Application in violation of these Terms;

• Your User Content; or unauthorized use of another person’s voice, vocal likeness, or privacy rights;

• Your infringement of any third-party intellectual property rights, including but not limited to the unauthorized input of copyrighted books, texts, or audio recordings.

• Your violation of any applicable law or third-party rights.

14. Third-Party Services and Links

The Application may integrate with or link to third-party services (including Apple App Store, Google Play, AI service providers, and analytics tools). These third-party services are governed by their own terms and privacy policies. iKame Global is not responsible for the content, practices, or policies of any third-party services.

15. Children's Use

LearnUp is not intended for children under the age of 13 (or the applicable minimum age in your jurisdiction). By using the Application, you represent that you are at least 13 years old. If you are under 18, you must have parental or guardian consent to use the Application.

If we become aware that a child under 13 has provided us with personal data, we will take steps to delete such information promptly.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where iKame Global is established, without regard to its conflict of law provisions.

We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of the applicable jurisdiction.

You and LearnUp agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding (class-action waiver).

17. Apple App Store — Additional Terms

If you downloaded LearnUp from the Apple App Store, the following additional terms apply:

• These Terms are between you and iKame Global only, not with Apple Inc. Apple has no obligation to provide maintenance or support for the Application;

• Apple is not responsible for any product liability claims, legal compliance issues, or third-party claims related to the Application;

• In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). Apple has no other warranty obligations;

• Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you as a third-party beneficiary.

18. Changes to These Terms

iKame Global reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the Application and updating the date at the top of this document. Your continued use of the Application after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Application.
