Shelter Share Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the Shelter Share mobile application (“App”), operated by Shelter Share (“we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the App.

2. Eligibility

The Shelter Share App is intended to assist individuals of all ages in finding local shelters. We recognize that some users may be under 18 and may not have a parent or guardian to grant permission for app usage. By using the App, you affirm that you are seeking shelter and support. While we encourage those under 18 to seek guidance from a trusted adult when possible, we understand that this may not always be feasible. Your use of the App implies that you accept these Terms and understand the services provided by Shelter Share.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Shelter Share App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to ensure that it remains accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to notify us immediately at sheltershareok@gmail.com of any unauthorized use of your account or any other breach of security.

4. Use of the App

4.1 Permitted Uses

You may use the Shelter Share App only for lawful purposes and in accordance with these Terms. You agree not to use the App:

In any way that violates any applicable federal, state, local, or international law or regulation.

To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

To impersonate or attempt to impersonate Shelter Share, a Shelter Share employee, another user, or any other person or entity.

To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the App, or which, as determined by us, may harm Shelter Share or users of the App or expose them to liability.

4.2 Prohibited Uses

You agree not to:

Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party's use of the App.

Use any robot, spider, or other automatic devices, process, or means to access the App for any purpose, including monitoring or copying any of the material on the App.

Use any manual process to monitor or copy any of the material on the App or for any other unauthorized purpose without our prior written consent.

5. Content Ownership and Usage Rights

5.1 Your Content

You retain ownership of all content you submit to the App, including text, photos, and other materials (“Your Content”). By submitting Your Content to the App, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in connection with the operation and promotion of the App.

5.2 Our Content

All content on the App, including text, graphics, logos, icons, images, audio clips, data compilations, and software, is the property of Shelter Share or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any of our content without our express written permission.

6. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand how we collect, use, and share information about you.

7. Disclaimers and Limitation of Liability

7.1 Disclaimers

The Shelter Share App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free from viruses or other harmful components.

7.2 Limitation of Liability

To the fullest extent permitted by law, in no event will Shelter Share, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify, and hold harmless Shelter Share, its affiliates, licensors, and service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App, including, but not limited to, Your Content, any use of the App's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the App.

9. Termination

9.1 Termination by You

You may terminate your account at any time by discontinuing your use of the App and deleting your account. Upon termination, your right to use the App will immediately cease.

9.2 Termination by Us

We reserve the right to suspend or terminate your access to the App, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any disputes arising out of or related to them or the App shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.

10.2 Dispute Resolution

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the App shall be instituted exclusively in the federal courts of the United States or the courts of the State of [Your State], in each case located in [Your County], although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Changes to Terms

12. Miscellaneous

These Terms and our Privacy Policy constitute the entire agreement between you and Shelter Share regarding the use of the App and supersede any prior agreements between you and Shelter Share.

12.2 Waiver and Severability

No waiver by Shelter Share of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Shelter Share to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Shelter Share's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Shelter Share may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

The section titles in these Terms are for convenience only and have no legal or contractual effect.
